1、 All terms and conditions shall be based on the Chinese version of Tenancy Agreement, this English version shall be for reference only. 上海房屋租賃合同SHANGHAI MUNICIPALITY TENANCY AGREEMENT(合同編號:39#2001) (Contract No. _39#2001_ )本合同雙方當事人:Parties to Contract出租人(甲方):Lessor (Party A): 出 租 方 代 理: 承租方(乙方): Les

2、see (Party B): 根據(jù)中華人民共和國合同法、上海市房屋租賃條例(以下簡稱:條例)的規(guī)定,甲、乙雙方在平等、自愿、公平和誠實信用的基礎(chǔ)上,經(jīng)協(xié)商一致,就乙方承租甲方可依 出租 的 商品房 事宜,訂立本合同。In accordance with the Laws of Contract of the Peoples Republic of China and the Tenancy Regulations of the Shanghai Municipality (hereinafter referred to as “the Provisions”), Party A and Par

3、ty B, having reached an agreement based on the principles of equality, willingness and mutual benefit, hereby enter into this Contract on matters in relation to the Lease of the Property by Party A to Party B.一、出租房屋情況1. Condition of the Lease or Pre-Lease Property1. 甲方 出租 給乙方的房屋座落在上海市 區(qū) 路 弄 號幢2001 單

4、位(以下簡稱該房屋)。建筑面積為 平方米,房屋用途 住宅,房屋結(jié)構(gòu)為鋼混。甲方已向乙方出示:Party A shall lease Party B the Property situated at Unit 2001, Block , Lane , Road, District (hereinafter referred to as “the Property”). The total gross area of the Lease Property shall be_ square meters, the purpose of the Land shall be for Consolidat

5、ed Purpose, the type of Property shall be Residential Building , the structure shall be steel and cement . The floor plan of the Property see Appendix 1 of this Contract. Party A has already presented to Party B:2. 房地產(chǎn)權(quán)證/房屋所有權(quán)證/ 滬房地產(chǎn)權(quán)證 浦字;(證書編號: 號。Shanghai Certificate of Ownership of the Property (C

6、ertificate No. ).3. 甲方作為該房屋的 房地產(chǎn)權(quán)利人與乙方建立租賃關(guān)系。簽訂本合同前,甲方已告知乙方該房屋未設(shè)定抵押。Party A being the Owner of the Property and Party B have developed a lessor/lessee relationship. Before the signing of this Contract, Party A has already informed Party B that the Property no subject to a mortgage.4. 該房屋的公用或合用部位的使用范

7、圍、條件和要求;現(xiàn)有裝修、附屬設(shè)施、設(shè)備狀況和甲方同意乙方自行裝修和增設(shè)附屬設(shè)施的內(nèi)容、標準及需約定的有關(guān)事宜,由甲、乙雙方分別在本合同附件(二)、(三)中加以列明。甲、乙雙方同意該附件作為甲方向乙方交付該房屋和本合同終止時乙方向甲方返還該房屋的驗收依據(jù)。The area and the use of the public or common part of the Property; the existing fixtures, facilities, condition of equipment and the contents, standard and other relevant m

8、atters to be ascertained in relation to the fixtures and the facilities added by Party B with the consent of Party A shall be specified in Appendix 2, 3 of this Contract. Party A and Party B have agreed the said Appendix shall represent the condition of the Property at the time of hand over of the P

9、roperty by Party A to Party B and when Party B deliver up the Property to Party A at the expiry of this Contract.二、租賃用途2. Purpose of the Property2-1乙方向甲方承諾,租賃該房屋作為 住宅 使用,并遵守國家和本市有關(guān)房屋使用和物業(yè)管理的規(guī)定。Party B warrants to Party A that the Property shall be used for Residential purpose and follows the regulat

10、ions of the State and this Municipality in relation to the use and management of Property.2-2乙方保證,在租賃期內(nèi)未征得甲方書面同意以及按規(guī)定須經(jīng)有關(guān)部門審批核準前,不擅自改變上款約定的使用用途。Party B guarantee that during the lease term, it shall not alter the purpose of the Property without Party As prior written consent as well as the approval

11、from the relevant governmental department.三、交付日期和租賃期限3. Delivery Date and Lease Term3-1 甲乙雙方約定,甲方于 2009 年 8 月 28 日向乙方交付該房屋。2009 年 8 月 28 日至 8月31 日為免租期,在此期間,乙方無須支付房屋租金,但乙方同意支付此段期間所產(chǎn)生的水電煤等公共事業(yè)費。Party A and Party B have agreed that Party A shall hand over the Property to Party B on Aug.28,2009 . Aug.28

12、,2009 to Aug.31,2009 is rent-free period, Party B shall not pay the rent of this period, but shall pay the utilities fees of this period.房屋租賃期為12個月,自 2009 年 9 月 1 日起至 2010 年 8 月 31 日止。The lease term of the Property shall be from Sep1, 2009 to Aug.31, 2010 .3-2租賃期滿,甲方有權(quán)收回該房屋,乙方應(yīng)如期返還。乙方需繼續(xù)承租房屋的,則應(yīng)于租賃期

13、屆滿前 壹 個月,向甲方提出續(xù)租書面要求,經(jīng)甲方同意后重新簽訂租賃合同。Upon expiry of the lease term, Party A shall have the right to repossess the Property in its entirety and Party B shall return it accordingly. If Party B wish to renew the lease, Party B shall submit such intention in written to Party A one months prior to the exp

14、iry of the lease and sign a new lease contract with the consent of Party A. 四、租金、支付方式和期限4. Rent, Method of Payment and Term 4-1甲、乙雙方約定,月租金人民幣 (大寫:人民幣 元整)。Party A and Party B have agreed that, the total monthly rental amount shall be RMB (China Reminbi Yuan Only).4-2 乙方應(yīng)于每三個月的 1 日前向甲方支付租金。逾期支付的,每逾期一日

15、,則乙方需按日租金的3 %支付違約金。Party B shall pay the rent by the 1 of every three months. Late payment by Party B shall be subject to a penalty of 3% of the monthly rental per day.4-3乙方支付租金給甲方的指定帳戶如下:The rental shall be paid by Party B to Party A as follows:帳  號(Account No.): 帳 戶(Beneficiary): 銀  行(Ba

16、nk) : -五、保證金和其他費用5. Deposit and Other Fees and Charges5-1甲、乙雙方約定,甲方交付該房屋時,乙方應(yīng)向甲方支付房屋租賃保證金,保證金為貳個月的租金,即人民幣 (大寫:人民幣 元整)。甲方收取保證金后應(yīng)在十個工作日內(nèi)向乙方開具收款憑證。押金在乙方結(jié)清最后一個月水、電、煤氣等其它公共事業(yè)費后并雙方房屋驗收后,甲方應(yīng)于七個工作日內(nèi)無息歸還乙方,若逾期不還,甲方將承擔滯納金,須按逾期天數(shù)加付相當于租金0.2%的滯納金。Upon signing the contract by both parties, Party B shall pay to Pa

17、rty A rental security deposit of the Property, the deposit shall be two months equivalent to the rental, that is RMB (China Renminbi Yuan Only). Party A shall issue a receipt to Party B after receiving payment of deposit within 10 working days. During the termination of the lease contract, the secur

18、ity deposit of the lease for the Property obtained by Party A shall be refunded to Party B after setting off any fees or expenses which is borne by Party B under the Contract without interest within seven working days. If Party A fails to punctually refund the deposit, it shall pay the late fee at t

19、he rate of 0.2 % of the monthly rent for each day of delay.5-2租賃期間,使用該房屋每月所產(chǎn)生的水、電、煤氣、通訊費用、ADSL月租費由乙方承擔。其他物業(yè)管理費、租賃發(fā)票費、本小區(qū)會所的雙人會員卡、每周一次房屋清潔,ADSL安裝費、有線電視安裝費及使用費由甲方承擔。During the lease term, the utility usage charges such as water, electricity, gas, communication, ADSL monthly subscription fee of the Pro

20、perty shall be borne by Party B. Management fee, rental tax invoice fee, complex club membership cards for two person, once time housekeeping per week, ADSL installation fee, local TV installation fee and service fee shall be borne by Party A.5-3 乙方 所承擔的上述費用,計算或分攤辦法、支付方式和時間:根據(jù)上述企事業(yè)單位列出的帳單憑證支付,如不按期付款

21、,滯納金由乙方承擔。Party B shall be responsible to pay the above mentioned fees and charges, the computation or amortization, method and time of payment: According to the demand notes, if delaying payment, Party B should be responsible for the penalty.六、房屋使用要求和維修責(zé)任6. Standard Required for Use of Property and

22、 Responsibility of Property Maintenance and Repair6-1租賃期間,乙方發(fā)現(xiàn)該房屋及其附屬設(shè)施有損壞或故障時,應(yīng)及時通知甲方修復(fù);甲方應(yīng)在接到乙方通知后的 叁 日內(nèi)進行維修。逾期不維修的,乙方可代為維修,費用由甲方承擔。During the lease term, if Party B discovers any damages or defects of the Property and facilities attached, Party B shall notify Party A immediately for repair. Party

23、 A shall carry out the repair within 3 days after receiving notification from Party B. Party B may repair on behalf of Party A if any delay and the repair expenses shall be borne by Party A.6-2租賃期間,乙方應(yīng)合理使用并愛護該房屋其附屬設(shè)施。因乙方使用不當或不合理使用,致使該房屋及其附屬設(shè)施損壞或發(fā)生故障的,乙方應(yīng)負責(zé)維修。乙方拒不維修,甲方可代為維修,費用由乙方承擔。During the lease t

24、erm, Party B shall reasonably take good care of the Property and the furnished facilities attached. Party B shall be responsible to repair immediately the damages caused to the Property and/or facilities due to improper and unreasonable use by Party B. If Party B refuses to repair, Party A may repai

25、r on Party Bs behalf and the expenses shall be borne by Party B.6-3租賃期間,甲方保證該房屋及其附屬設(shè)施處于正常的可使用和安全的狀態(tài)。甲方對該房屋進行檢查、養(yǎng)護,應(yīng)提前 叁 日通知乙方。檢查養(yǎng)護時,乙方應(yīng)予以配合。甲方應(yīng)減少對乙方使用該房屋的影響。During the lease term, Party A shall guarantee the normal usable and safe condition of the Property and facilities attached. Party A shall noti

26、fy Party B in 3 days advance before carrying out examination and maintenance works. Party B shall render cooperation during the examination and maintenance. Party A shall reduce the effect caused to Party B in using the Property.6-4乙方需裝修或者增設(shè)附屬設(shè)施和設(shè)備的,應(yīng)事先征得甲方的書面同意,按規(guī)定須向有關(guān)部門審批的,則還應(yīng)由 甲方 報請有關(guān)部門批準后,方可進行。乙

27、方增設(shè)的附屬設(shè)施的設(shè)備歸屬及其維修責(zé)任由甲、乙雙方另行書面約定。Except for Appendix 3 of this Contract, before carrying out any extra renovation or addition of facilities attached and equipment, Party B shall obtain the written consent of Party A and submit the same to the relevant authority for examination and approval in accorda

28、nce with the regulations. The works could only be carried out upon completion of the procedure of approval with the relevant authority by Party A . The responsibility of the maintenance of the added facilities by Party B shall be agreed by Party A and Party B in separate written agreement.七、房屋返還時的狀態(tài)

29、7. Condition of Property upon Returning7-1除甲方同意乙方續(xù)租外,乙方應(yīng)在本合同的租期屆滿后的 當 日內(nèi)返還該房屋,未經(jīng)甲方同意逾期返還房屋的,每逾期一日,乙方應(yīng)按0.5%支付該房屋占用期間的使用費。Except for the renewal of lease agreed by Party A, Party B shall return the Property within/on the same day after the expiration of lease term of the Contract. Late return of the P

30、roperty without the consent of Party A shall be subject to a charge for adverse possession of the Property at 0.5% times of rental per day.7-2乙方返還該房屋應(yīng)當符合正常使用后的狀態(tài)。返還時,應(yīng)經(jīng)甲方驗收認可,并相互結(jié)清各自應(yīng)當承擔的費用。The Property at the time of returning by Party B shall be good condition after normal use. During the return o

31、f the Property shall be examined and authorized by Party A, any fees and charges which is responsible by either party shall be cleared at the time of returning of the Property.八、轉(zhuǎn)租、轉(zhuǎn)讓和交換8. Sublease, Assignment and Exchange8-1除甲方已在本合同補充條款中同意乙方轉(zhuǎn)租外,乙方在租賃期內(nèi),需事先征得甲方的書面同意,方同將該房屋部分或全部轉(zhuǎn)租給他人。但同一間居住房屋,不得分割轉(zhuǎn)租。

32、Unless any agreement in the supplementary clauses of the Contract, Party B shall obtain the written approval from Party A before it could sublease part or all of the Property to a third party during the lease term. Party B shall not sublease part of the Property or sublease to two lessees or more th

33、an two lessees at the same time.8-2乙方轉(zhuǎn)租該房屋,應(yīng)按規(guī)定與接受轉(zhuǎn)租方訂立書面的轉(zhuǎn)租合同。并按規(guī)定向該房屋所在區(qū)、縣房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案。When Party B subleases the Property, it shall be written into a sublease contract with the lessee in writing in accordance with the regulations. The sublease contract shall be registered and filed with

34、the Real Estate Trade Management Department or the Ministry of Agricultural Systems where the Property is located.8-3在租賃期內(nèi),乙方將該房屋轉(zhuǎn)讓給他人承租或與他人承租的房屋進行交換,必須事先征得甲方書面同意。轉(zhuǎn)讓或交換后,該房屋承租權(quán)的受讓人或交換人應(yīng)與甲方簽訂租賃主體變更合同并繼續(xù)履行本合同。During the lease term, Party B shall obtain the written consent from Party A before assigning

35、 the Property to a third party for sublease or exchange the Property subleased by a third party. After the assignment or exchange, the assignee of the Property or the party to the exchange shall sign the Contract for the amendment of the lease and continue to enforce this Contract.8-4在租賃期內(nèi),甲方如需出售該房屋

36、,應(yīng)提前叁個月通知乙方。乙方在同等條件下有優(yōu)先購買權(quán)。若乙方無意購買該物業(yè),本租賃合同繼續(xù)生效。 During the lease term, if Party A is selling the Property, shall notify Party B 3 months in advance. Party B shall have the priority to purchase under the same conditions. If Party B has not intention of purchasing, Party B shall has the rights to con

37、tinue the Lease Term. 九、解除本合同的條件9. Conditions for Terminating this Contract 9-1甲、乙雙方同意在租賃期內(nèi),有下列情形之一的,本合同終止,雙方互不承擔責(zé)任:Party A and Party B shall agree that during the lease term, this Contract shall be terminated under any of the following circumstances and both parties shall not be held responsible as

38、 a result thereof:(一) 該房屋占用范圍內(nèi)的土地使用權(quán)依法提前收回的;The rights of usage of land within the scope of the Property was early resumed in accordance with the governments law;(二) 該房屋因社會公共利益被依法征用的;The Property was resumed for public interests;(三) 該房屋因城市建設(shè)需要被依法列入房屋拆遷許可范圍的;The Property has been classified as premis

39、es to be demolished according to the governments law due to the need of city development plan;(四) 該房屋毀損、滅失或者被鑒定為危險房屋的;Damages, fire hazards occurred to the Property or otherwise been classified dangerous premises;(五) 甲方已告知乙方該房屋出租前已設(shè)定抵押,現(xiàn)被處分的。Penalty as a result of the mortgage created over the Prope

40、rty as notified to Party B by Party A before the lease;9-2甲、乙雙方同意,有下列情形之一的,一方可書面通知另一方解除本合同。違反合同的一方,應(yīng)向另一方按月租金的 貳 倍支付違約金;給對方造成損失的,支付的違約金不足抵付一方損失的,還應(yīng)賠償造成的損失與違約金的差額部分:Party A and Party B have agreed that either party may terminate this Contract by written notice to the other party under any of the follo

41、wing circumstances. The party in breaching of the Contract shall pay to the other party a penalty equivalent of two times of the monthly rental; if any further damages is caused to the other party and the penalty is not sufficient to offset the damages of the other party, the breaching party shall a

42、lso compensate for the amount difference between the penalty and the damages caused: (一) 甲方未按時交付該房屋,經(jīng)乙方催告后 柒 日內(nèi)仍未交付的;Party A fails to hand over the Property accordingly and remain fail in handing over within seven days after demand given by Party B;(二)甲方交付的該房屋不符合本合同的約定,致使不能實現(xiàn)租賃目的的;或甲方交付的房屋存在缺陷,危及乙方安

43、全的。The Property which handed over by Party A has fail to fulfill the agreement of this Contract, causing failure to maintain the purpose of the lease; or the Property which handed over by Party A is defective and affects the safety of Party B;(三)乙方未征得甲方書面同意改變房屋用途,致使房屋損壞的;Party B alters the use of th

44、e Property without the written consent of Party A, causing damages to the Property;(四)因乙方原因造成房屋主體結(jié)構(gòu)損壞的;Damages caused to the main structure of the Property attributable by Party B;(五)乙方擅自轉(zhuǎn)租該房屋、轉(zhuǎn)讓該房屋承租權(quán)或與他人交換各自承租的房屋的;Party B subleases the Property, assigns the Property to or exchanges the Property wi

45、th the third party without Party As consent;(六)乙方逾期不支付租金累計超過 叁拾 日。Party B fails to pay rental for more than thirty days.十、違約責(zé)任10. Liabilities for Breach of Contract10-1該房屋交付時存在缺陷的,甲方應(yīng)自交付之日起的 柒日內(nèi)進行修復(fù),逾期不修復(fù)的,甲方同意減少租金并變更有關(guān)租金條款。For any defects exist during the time of delivery of the property, Party A s

46、hall perform the repair work within seven days after the delivery, in the event of delay and non-repair, Party A agrees to reduce the rental payable and alters the relevant rental provisions.10-2因甲方未告知乙方,該房屋出租前已抵押或產(chǎn)權(quán)轉(zhuǎn)移已受到限制,造成乙方損失的,甲方應(yīng)負責(zé)賠償。Party A shall be liable to compensate for loss incurred by P

47、arty B due to Party As failure in notifying Party B of the restriction of the Property under mortgage or assignment of interests before the lease of the Property.10-3租賃期間,甲方不及時履行本合同約定的維修、養(yǎng)護責(zé)任,致使房屋損壞,造成乙方財產(chǎn)損失或人身傷害的,甲方應(yīng)承擔賠償責(zé)任。During the lease term, if Party A fails to perform the duties of maintenance

48、 and repair under this Contract, causing damages or losses to the Property and/or personal injuries to Party B, Party A shall be liable to compensation.10-4租賃期間,非本合同規(guī)定的情況,甲方擅自解除本合同,提前收回該房屋的,甲方應(yīng)按月租金的 貳 倍向乙方支付違約金。若違約金不足抵付乙方損失的,甲方還應(yīng)負責(zé)賠償。During the lease term, if Party A terminates this Contract and tak

49、es back the Property before the expiration of the lease in any event other than those stipulated in this Contract, Party A shall pay to Party B a penalty of equivalent to two times of rent payable for the remaining days of the term. Party A shall be liable for compensation if the penalty is not suff

50、icient to offset the losses suffered by Party B.10-5乙方未征得甲方書面同意或者超出甲方書面同意的范圍和要求裝修房屋或者增設(shè)附屬設(shè)施的,甲方可以要求乙方恢復(fù)房屋原狀。Party B has renovated the Property or added facilities attached to the Property without obtaining the written consent of Party A or outside the scope of the written approval of Party A, Party

51、A may require Party B to restore the Property to its original state.10-6租賃期間,非本合同規(guī)定的情況,乙方中途擅自退租的,乙方應(yīng)按月租金的貳倍 向甲方支付違約金。若違約金不足抵付甲方損失的,乙方還應(yīng)負責(zé)賠償。甲方可從租賃保證金中抵扣。保證金不足抵扣的,不足部分則由乙方另行交付。During the lease term, except for circumstances stipulated in this Contract, if Party B withdraws from the lease without obta

52、ining the approval of Party A. Party B shall pay a penalty to Party A equivalent to two times of the rent payable for the remaining days of the term. If the penalty is not sufficient to offset the loss suffered by Party A, Party B shall be liable to compensation. Party A may offset the amount from t

53、he security deposit. If the deposit is not sufficient to offset the amount, the outstanding amount shall be paid by Party B.十一、其他條款11. Other Clauses11-1租賃期間,甲方需抵押該房屋,應(yīng)當書面告知乙方,并向乙方承諾房屋抵押后當事人協(xié)議以折價、變賣方式處分該房屋前 叁十 日書面征詢乙方購買該房屋的意見。During the lease term, if Party A shall require to mortgage the Property, P

54、arty A shall notify Party B in writing and guarantee to Party B that after the mortgage of the Property, Party Bs opinion as to the purchase of the Property would be consulted in writing thirty days before agreement on method of disposal of the Property is reached.11-2 本合同自雙方蓋章、簽字后即刻生效。生效后的15日內(nèi),甲、乙雙

55、方按規(guī)定向房屋所在地區(qū)、縣房地產(chǎn)交易中心或農(nóng)場系統(tǒng)受理處辦理登記備案,領(lǐng)取房屋租賃登記備案證明;本合同經(jīng)登記備案后,凡變更、終止本合同的,由 甲方 負責(zé)在本合同變更終止之日起的15日內(nèi),向原登記機構(gòu)辦理變更、終止登記備案手續(xù)。因甲方未辦理房屋租賃登記備案或變更、終止登記備案的,所引起的法律糾紛,由甲方承擔一切責(zé)任。This Contract shall take effect after signed by both parties. Within 15 days of the signing of this Contract, Party A shall be responsible to

56、register with the Real Estate Trade Management Department or the Ministry of Agricultural Systems where the Property is located and obtain the Certificate of Lease upon registration: In cases of modification or termination of this Contract after the registration of this Contract, Party A shall be re

57、sponsible to register the modification or termination with the original registration office within 15 days of such modification or termination. Any legal disputes arising from the failure of Party A to register the Certificate of Lease or to register the modification or termination shall be borne by Party A.11-3本合同未盡事宜,經(jīng)甲、乙雙方
