The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing. 9、 certificate certifying that the wood packaging materials in this shipment have been treated and officially marked IPPC or beneficiarys certificate of NO-WOOD packing materials.11. 裝運(yùn)通知裝運(yùn)通知: 賣方在貨物裝運(yùn)后,應(yīng)在兩天內(nèi)將合同編號、商品名稱、數(shù)量、毛重、發(fā)票金額、和起運(yùn)日期用傳真通知買方。Shipping Advice:The Sellers shall within 2 days upon the com

10、pletion of the loading of the goods, advise by fax to the Buyers of the contract No., commodity, quantity, gross weight, invoiced value,and date of dispatch.12. 品質(zhì)保證品質(zhì)保證 Guarantee of Quality:保證貨物系全新，未曾用過，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。The Sellers shall guarantee that the goods are brand new, unused and corresp

11、ond in all respects with the quality, specifications and performance as stipulated in this Contract.13. 檢驗(yàn)和索賠檢驗(yàn)和索賠 Inspection And Claims: 在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗(yàn)，并出具貨物和本合同規(guī)定相符的證明書。The manufactures shall before making delivery, make a precise and comprehensive inspection of goods as re

12、gards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the paying bank for negotiation /collectio

13、n of payment but shall not be considered as final in respect of quality, specifications, performance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.14. 不可抗力不可抗力: 無論在商品制造或裝運(yùn)或轉(zhuǎn)運(yùn)期間, 如有

14、不可抗力事件發(fā)生, 賣方將不對由此而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時, 賣方應(yīng)立即將不可抗力事件通知買方, 并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下, 賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過十周, 買方有權(quán)撤銷合同,買方在銀行所支付的費(fèi)用由賣方承擔(dān).Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the goods due

15、 to Force Majeure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers shall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to the Buyers for their acceptance a cer

16、tificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Sellers inability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still under the obligation to take all nec

17、essary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers.15. 遲交和罰款遲交和罰款:如延遲交貨除人力不可抗事故者外，賣方應(yīng)付給買方每一星期按遲交貨總值的 0.5%的遲交罰款，不足一星期的遲交日作為一星期計算，

18、此項(xiàng)罰款總額不超過全部遲交貨物總值的 5%，在議付貨款時由銀行代為扣除，或由買方在付款時進(jìn)行扣除。如果賣方交貨延期超過合同規(guī)定的 10 個星期時,買方有權(quán)取消合同.盡管取消了合同,但賣方仍須立即向買方交付上述規(guī)定罰款.Late Delivery And Penalty: In case of delayed delivery, except for force majeure cases, The Sellers shall pay to the Buyers for every week of delay a penalty amounting to 0.5% of the total va

19、lue of the goods whose delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 5% of the total value of the goods involved in late delivery and is to be deducted from the amount due to the Sellers by the paying

20、bank at the time of negotiation, or by the Buyers direct at the time of payment. The buyers can cancel the contract if the sellers delivery date is delayed up to 10 weeks according to the contract, but the sellers still must offer the above penalty to the buyers without conditions.16. 仲仲 裁裁 ：一切因執(zhí)行本合

21、同或與本合同有關(guān)的爭執(zhí), 應(yīng)由雙方友好協(xié)商解決。 如經(jīng)協(xié)商仍未能達(dá)成協(xié)議, 則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會裁決。 按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則, 由申訴一方選擇該會由該會上海分會在上海進(jìn)行仲裁。仲裁委員會的裁決為終局裁決, 對雙方均有約束力。仲裁費(fèi)用除仲裁委另有決定外, 應(yīng)由敗訴一方負(fù)擔(dān)。精選優(yōu)質(zhì)文檔-傾情為你奉上專心-專注-專業(yè)Arbitration: All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiatio

In case no settlement can be reached, the case may then be submitted to China International Economic and Trade Arbitration Commission for arbitration, which shall be conducted by its Shanghai Sub-Commission in Shanghai in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration.
