1、室內(nèi)裝修設(shè)計協(xié)議(中英文)室內(nèi)裝修設(shè)計協(xié)議AGREEMENT F HUSE INTERIR DESIGNThis AGREEMENT F INTERIR DESIGN made this date f between A (hereinafter called the Client which epressin includes their legal representatives, successrs in title an assigns) f the ne part and B practicing as design cnsultant at C (hereinafter calle

2、d “the Designer which epressin includes his/legal representatives, successrs in titles and permitted assigns) f the ther part.WHEREAS the Client intends t cnstruct and cmplete.(hereinafter called the prject);AND WHEREAS the Client is desirus f appinting the Designer t prvide prfessinal design servic

3、es fr the Prject n the terms and cnditins hereinafter appearingIT IS HEREBY AGREED BETWEEN THE PARTIES HERET AS FLLWS:本設(shè)計協(xié)議由甲方(客戶)和乙方(設(shè)計顧問)及丙方(設(shè)計公司)于日簽訂。鑒于客戶意欲建設(shè)并完成本工程;鑒于客戶愿意指定設(shè)計公司依照以下條款為本工程提供專業(yè)設(shè)計服務(wù)。因此，雙方達(dá)成協(xié)議如下：1.0 SCPE F WRK 服務(wù)范圍1.1 Interir layut and spatial re-planning f all areas.室內(nèi)布局和所有領(lǐng)域的空間重新規(guī)劃

4、。1.2 Interir design cnceptualizatin and design implementatin.室內(nèi)設(shè)計構(gòu)思和設(shè)計實施。1.3 Interir finishes advice, specificatin and implementatin.室內(nèi)飾面咨詢，規(guī)范和實施。1.4 Interir lighting cnceptualizatin, selectin and implementatin.室內(nèi)燈具構(gòu)思、選擇和實施。1.5 Interir fitures specificatin and design fr custm madebuilt in furniture

11、arged based n unit rate US Dllar Per Square Ft and designable area f Square Ft. The lump sum f US Dllars: Dllars nly (ecluding any lcal gverning withhlding taes). The fee shall be payable by the client as addressed belw in the payment schedule.在項目建設(shè)階段的概念性設(shè)計階段的費用以每英尺美元和英尺有效設(shè)計面積來計算。包干費用總計元整(不包括任何政府預(yù)扣稅

An interest f 1% shall be charged n delinquent payments past 30 days.根據(jù)設(shè)計方出示并依據(jù)3.2條要求的費用證明資料認(rèn)證的款項是到期可支付的款項。超過三十天的延遲支付款項，設(shè)計方有權(quán)收取逾期

14、tatement f services rendered, r epenses incurred.額外服務(wù)和可報銷費用應(yīng)根據(jù)設(shè)計方出示的關(guān)于相關(guān)服務(wù)或發(fā)生的費用的憑據(jù)按月支付。5.0 DEFINITIN F SERVICES 服務(wù)的定義5.1 Cnceptual Design Phase 概念性設(shè)計階段Understanding f clients need and frmulatin f cncept design fr clients apprval. Includes advising f the need fr Authrity submissins and additinal cns

15、ultants where apprpriate. Cncept Illustratins will be prepared fr the clients understanding f the design intent. N detailing is dne at this stage. Subsequent changes after the apprval f cncept design are deemed additinal services and shall be chargeable accrding t paragraph 7.0 unless therwise state

Includes preparatin f wrking drawings fr cnstructin, and selectin f materials

17、and finishes.對經(jīng)客戶批準(zhǔn)的概念性設(shè)計進行深化。包括為建設(shè)施工用的工作圖紙的準(zhǔn)備，材料和飾面的選擇。Appinted cnsultants shall be crdinated t prduce a cmplete design.制定顧問應(yīng)協(xié)調(diào)制作出一個完整的設(shè)計。Necessary detailing will be prduced at this stage.必要的細(xì)節(jié)設(shè)計將在該階段完成。Prject cst increment can be implemented at this stage if client desire fr better quality materia

18、l/finishes that is nt prvided fr in the riginal budget r additinal services.該階段客戶可以要求獲得質(zhì)量比最初商談提供或額外服務(wù)中約定的質(zhì)量更好的材料或飾面，相應(yīng)調(diào)增相關(guān)項目費用。Adjusted prject fee shall prpse by Design Cnsultant in the Fee Amendment Schedule upn clients request fr prject fee increment.調(diào)整的項目費用應(yīng)有設(shè)計咨詢單位在“費用變更單”中根據(jù)客戶要求而導(dǎo)致項目費用的增量提議。The

19、Fee Amendment Schedule shall supercede paragraph 3.2.Changes requested by the client after the apprval f prductin drawings are deemed additinal services and shall be chargeable accrding t paragraph7.0 unless therwise stated.客戶要求的對施工圖的設(shè)計變更被批準(zhǔn)后，“費用變更單”將取代第3.2條的約定，被視為額外的服務(wù)，應(yīng)根據(jù)第7條收取相應(yīng)款項，除非雙方另有約定。5.3 Prj

20、ect Dcumentatin Phase 項目文件階段Preparatin f all necessary technical specificatins fr the prject.準(zhǔn)備該項目所需的所有必要的技術(shù)性規(guī)定。All necessary design crdinatin with ther cnsultants shall be cmpleted by this stage.與其他設(shè)計單位協(xié)調(diào)所有的設(shè)計必須在該階段完成。Relevant authrity apprval fr cmmencement f wrk shall be awarded by this stage, wh

21、en apprpriate.該階段合適時間應(yīng)獲得相關(guān)部門同意開工的批示。Client shall be ntified upn cmpletin f this stage.完成該階段時應(yīng)通知客戶。Any changes requested by client at this stage shall be deemed additinal services and shall be chargeable accrding t paragraph7.0 unless therwise stated.客戶在該階段要求的任何變更應(yīng)被視為額外的服務(wù)，除非雙方另有約定，應(yīng)根據(jù)第7條收取相應(yīng)款項。5.4 C

22、nstructin Phase建設(shè)施工階段Implementatin f the apprved design.經(jīng)批準(zhǔn)同意的設(shè)計的實施Design Cnsultant shall supervise site installatin, review all selected materials in the apprved dcumentatin delivered t site, fr size quality and cnditins, and t reject materials that is nt accrding t specificatin.設(shè)計方應(yīng)監(jiān)督現(xiàn)場安裝，檢查所有批準(zhǔn)文件

23、中選定的被運至現(xiàn)場的材料，包括規(guī)格、質(zhì)量和品質(zhì)，拒收不符合規(guī)范的材料。The Design cnsultant shall prvide final inspectin and a Practical Cmpletin Certificate shall be awarded upn Cnsultants satisfactin that all wrks has been cmpleted accrdance t apprved drawings.設(shè)計方應(yīng)提供最終的檢驗以及提交表明咨詢方認(rèn)為所有工作根據(jù)批準(zhǔn)圖紙已經(jīng)完成的實際完成證明。Changes by client at this sta

25、 delays and cst incurred by such request.此外，設(shè)計方有權(quán)收取因延誤施工工期而導(dǎo)致的人工費用、間接成本、倉儲和材料費用等逾期費用，以及因此而導(dǎo)致的其他損失。6.0 AMENDMENT F APPRVED DRAWINGS BY DESIGN CNSULTANT設(shè)計終稿的變更6.1 The Design Cnsultant reserved the right t change apprved design, detailing, materials, finishes and specificatin due t unfreseen circumstan

26、ces that is nt within the cntrl f the Design Cnsultant. Such changes shall be cmmuted t the client and n additinal service charge shall be payable by the client. Hwever additinal cst incurred t labur and material shall be reimbursed by the client.由于不可預(yù)見即設(shè)計方無法掌控的情況，設(shè)計方保留對設(shè)計終稿的設(shè)計、細(xì)節(jié)設(shè)計、材料、完成和規(guī)范的修改權(quán)。此等設(shè)

27、計修改應(yīng)減輕客戶的義務(wù)，即客戶無需就該等設(shè)計的修改向設(shè)計方支付額外的費用。但額外的人工費和材料費應(yīng)由客戶承擔(dān)。7.0 CMPENSATIN FR ADDITINAL SERVICES 額外服務(wù)費用7.1 Fr prject representatin beynd that is alreadypensatin shall be cmputed as fllws: Dllars Per Hur (S$1/Hur)對于上述提到的額外服務(wù)的補償費，應(yīng)按每小時元計算7.2 This Service shall be apprved by client in writing befre the Desi

29、ey are similar requests.除非設(shè)計方同意對某項特定的額外服務(wù)給予優(yōu)惠或降低收費，否則他們對于每一特定主題的收費是單獨收費，不會因為之后而來設(shè)計要求是相似的而放棄收取費用。8.0 REIMBURSABLE EPENSES 可補償費用8.1 Reimbursable Epenses are in additin t cmpensatin fr basic and additinal services. It sst incurred by the Design Cnsultant and its emplyees in the interest f the prject, a

30、s identified in the fllwing clauses.可補償費用是指除基本和附加服務(wù)外的費用。包括設(shè)計方及其工作人員為了項目利益而發(fā)生的費用，具體由以下條款確認(rèn)。8.2 Epenses fr all trst including business class airfares with Singapre Airlines r Equivalent,5 star htel accmmdatin, surface transprtatin and luggage handling r curier services.包含新加坡航空商務(wù)艙或其他等價機票、五星級酒店住宿費、地面交通費

31、、包裹搬運費或快遞服務(wù)費在內(nèi)的相關(guān)差旅費。8.3 Epense fr prfessinal and perspective drawings and/r scale mdels at the request f the client, plus % handling charge.客戶要求的專業(yè)效果圖紙和/或測繪模型的費用以及%的手續(xù)費。8.4 Epense fr curier services, pstage and handling f drawings, specificatin and ther dcuments.快遞服務(wù)費，圖紙、說明書和其他相關(guān)文件的郵費及包裝費8.5 Epense

The Design Cnsultants wrk shall be deemed t be cmplete upn the implementatin f the wrk based n the apprved wrking drawings under the Design Develpment Phase.以下費用不得被抵扣：(1)設(shè)計方由于罰金、違約金而獲得的賠償金;(2)除了被確認(rèn)的由于設(shè)計方的責(zé)任而導(dǎo)致的

35、設(shè)計變化而產(chǎn)生的費用。基于在設(shè)計開發(fā)階段被批準(zhǔn)的設(shè)計圖紙開始施工時設(shè)計方的工作即被視為已完成。10.0 DAMAGE R DESTRUCTIN F WRKS 工程毀損10.1 If at anytime befre the cmpletin f the prject, the wrks, r equipment r any part theref shall be damaged, r destryed by peratin f war, rit, civil cmmtin, natural catastrphe, r any ther circumstances beynd the cntr

36、l f the Design Cnsultant, the client may require the Design Cnsultant t resume wrk n the prject. The Design Cnsultant may d s upn ntificatin in writing by the client. Hwever, the remedial wrk and subsequent additinal wrks relating t the prject shall be subjected t a mutually agreed fee, befre the wr

37、k is resumed.在項目竣工前的任何時間，如若發(fā)生由于戰(zhàn)斗，動亂，內(nèi)亂，自然災(zāi)害或者其他任何不在設(shè)計方控制內(nèi)的事件而導(dǎo)致工程、設(shè)備或者其他設(shè)施毀損滅失的，客戶有權(quán)要求設(shè)計方重新開始工程的相關(guān)工作。設(shè)計方應(yīng)當(dāng)在收到客戶的書面通知后開始工作。在工作重新開始前，雙方應(yīng)當(dāng)確認(rèn)好補救工作和隨后的附加工作的具體費用。11.0 CARE AND DILIGENCE 謹(jǐn)慎勤勉義務(wù)11.1 The Design Cnsultant shall eercise all skill, care and diligence, and shall discharge his bligatins under ap

38、pintment in accrdance t sund prfessinal practice.設(shè)計方應(yīng)該運用專業(yè)技能勤勉謹(jǐn)慎地履行合同，并且按照約定根據(jù)合理的專業(yè)實踐履行義務(wù)。12.0 TERMINATIN 合同終止12.1 The bligatin t prvide further services under this agreement may be terminated by either party upn 14 days written ntice in the event f substantial failure by the ther party t perfrm in

39、accrdance t the term thrugh n fault f the terminating party.如若發(fā)生導(dǎo)致合同實際履行不能的事件，一方在無過錯的前提下提前某日書面通知另一方后合同義務(wù)即告終止。12.2 The client upn may terminate this agreement nt less than 14 days written ntice t the Design Cnsultant in the event that the prject is permanently abandned. If the client abandns the prje

40、ct fr 90 cnsecutive days, the Design cnsultant may terminate the agreement by written ntice.如若工程被永久廢棄，客戶需提前某日書面通知設(shè)計方以終止合同。如果客戶持續(xù)某日廢棄該工程，設(shè)計方可書面通知終止合同。12.3 The agreement may be terminated if either party cmmits a breach f agreement and fails t remedy within 14 days after the ntificatin in writing spec

41、ifying the breach and requiring its remedy.一方違約后，另一方可以通知對方采取補救措施。違約方在收到對方的書面通知后某日內(nèi)未能成功補救的，未違約方可以終止合同。12.4 This cntracts shall terminate with immediate effect if either party cmmits an act f bankruptcy f cmmerce prceeding f winding up (ther than fr reasn f amalgamatin r recnstructin f the cmpany), r

42、if an administratr, liquidatr r receiver is appinted fr the whle r part f the business f the party.一方進入破產(chǎn)程序(公司合并或者重組除外)后，或者清算人或破產(chǎn)管理人被指派接管其全部或部分事務(wù)，本合同即告終止。12.5 In the event f any terminatin, the Design Cnsultant shall be paid fr all services rendered t the dated f terminatin, including any reimbursable epenses and terminatin epenses. The Design Cnsultant shall submit his accunt fr the balance f payment with 30 days f terminatin. The client shall pay all utstanding fees within 30 days upn the receipt f the accunt. A mnthly interest f 1% is chargeable if payment due t the Design Cnsultant is
