9、ent is allwed. Partial shipment is nt allwed.運(yùn)輸：賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。11. SHIPPING ADVICE:The sellers shall, immediately upn the cmpletin f the lading f the gds, advise by fa the buyers f the Cntract N., cmmdity, quantity, inviced value, grss weight, name f vessel and date f delivery etc.

10、 In case due t the sellers nt having faed in time, all lsses caused shall be brne by the sellers.裝運(yùn)通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。12. GUARANTEE F QUALITY:The Sellers guarantee that the Cmmdity heref is made f the best materials with first c

11、lass wrkmanship, brand new and unused, and cmplies in all respects with the quality and specificatin stipulated in this Cntract.質(zhì)量保證：賣方保證合同貨物采用比較好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。13. CLAIMS:Damages ccur in the curse f peratin by reasn f inferir quality, bad wrkmanship r the use f inferir materials,

12、 the Buyers shall immediately ntify the Sellers in writing and put frward a claim supprted by Inspectin Certificate issued by the State Administratin fr Entry-Eit Inspectin and Quarantine f P.R.C.The Certificate s issued shall be accepted as the base f a claim. The Sellers, in accrdance with the Buy

13、ers' claim shall be respnsible fr the immediate eliminatin f the defect(s), cmplete r partial replacement f the cmmdity r shall devaluate the cmmdity accrding t the state f defect(s),. If the Sellers fail t answer the Buyers within ne mnth after receipt f the afresaid claim, the claim shall be r

14、eckned as having been accepted by the Sellers.索賠：由于貨物內(nèi)在某個(gè)單位的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買方應(yīng)立即書面通知賣方，并同時(shí)隨附中國商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣方在接到買方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)；如果賣方在收到買方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣方所接受。14. FRCE MAJEURE:The Sellers shall nt be held respnsible fr the delay in shipment r nn-de

15、livery f the gds due t Frce Majeure, which might ccur during the prcess f manufacturing r in the curse f lading r transit. The Sellers shall advise the Buyers immediately f the ccurrence mentined abve and within furteen days thereafter, the Sellers shall send by airmail t the Buyers fr their accepta

16、nce a certificate f the accident issued by the Cmpetent Gvernment Authrities where the accident ccurs as evidence theref. Under such circumstances the Sellers, hwever, are still under the bligatin t take all necessary measures t hasten the delivery f the gds.不可抗力：對于制造或裝船運(yùn)輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方

17、可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。15. LATE DELIVERY AND PENALTY:Shuld the Sellers fail t make delivery n time as stipulated in the Cntract, with eceptin f Frce Majeure causes specified in Clause 15 f this Cntract. The Buyers shall

18、agree t pstpne the delivery n cnditin that the Sellers agree t pay a penalty which shall be deducted by the paying bank frm the payment. The Penalty, hwever, shall nt eceed 5% f the ttal value f the gds invlved in the late delivery. The rate f penalty is charged at .% fr every seven days. dd days le

In case the Sellers fail t make delivery ten weeks later than the time f shipment stipulated in the Cntract, the Buyers shall have the right t cancel the cntract and the Sellers, in spite the cancellatin, shall still pay the afresaid penalty t the Bu

20、yers withut delay.遲交貨和罰金：如果賣方未能按合同規(guī)定立馬交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價(jià)值的5%，罰金按每某日.%計(jì)算，少于某日的增加天數(shù)按某日計(jì)。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)，買方有權(quán)取消該合同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。16. TERMINATIN F CNTRACT:Terminate cntract by thrugh negtiatin by bth sides. Sellers shuld give back muld that have paid, The transprt csts f give back muld, t be cvered by buyers.合同終止：經(jīng)雙方協(xié)商終止合同的。賣方應(yīng)將買方已付費(fèi)的模具全部歸還買方，歸還模具產(chǎn)生的運(yùn)輸費(fèi)用，由買方支付。17.
