18、條甲項(xiàng)所列1.2.3.4.5.6.各種技術(shù)資料2套，以空郵寄交買(mǎi)方。b.mon ths before shipme nt ,the Sellers shall air-mail to the Buyers two complete sets of the technical documents mentioned in points 1,2,3,4,5and 6 under items of this Clause.(F.U.M.P)(15) 裝運(yùn)條款：TERMS OF SHIPMENT甲、每次發(fā)貨如毛重超過(guò)兩公噸，賣(mài)方應(yīng)于 本合同第8條規(guī)定的裝運(yùn)期六十天前，將合同編號(hào)、商品名稱(chēng)、數(shù)量、價(jià)值、

19、件數(shù)、毛 重、尺碼以及及貨物在裝貨口岸備舀日期函 /電告買(mǎi)方，以便買(mǎi)方訂艙。如毛重不超過(guò) 兩公噸，則賣(mài)方應(yīng)與裝貨口岸的買(mǎi)方超前享 受運(yùn)代理人直接聯(lián)系裝運(yùn)事宜。a. For each shipme nt exceedi ng two metric tons in gross weight, the Sellers shall, 60 days before the date of shipment stipulated in Clause 8 hereof, advise the buyers by cable/letter of the con tractn umber n ame of co

20、mmodity,quantity,value,number of packages, gross weight and measureme nts and date of read in ess at the port of shipme nt in order for the buyers to book shipp ing space. For each shipme nt not over two metric tons in gross weight, the Sellers shall get in direct touch with the buyers shipp ing age

21、 nt at the load ing port.乙、每發(fā)貨毛重超過(guò)兩公噸時(shí)，其訂艙事宜 將由買(mǎi)方裝運(yùn)代理人北京中國(guó)租船公司(電報(bào)掛號(hào)：ZHONGZUBEIJING)辦理，買(mǎi)方與 該公司密切聯(lián)系有關(guān)裝運(yùn)事宜。賣(mài)方則應(yīng)與 在裝貨口岸的中國(guó)租船公司裝運(yùn)代理人密 切聯(lián)系。b. Book ing of shipp ing space for each shipme nt exceedi ng two metric tons in gross weight will be atte nded to by the buyers shipp ing age nt, China Nati onal Chart

22、eri ng Corporati on, Beiji ng, China (Cable Address: ZHONGZLBEIJNG) with whom the Buyers shall keep in close con tact in the matter of shipme nt. TheSellers shall keep in close con tact with ZHONGZUS shippi ng age nt at the loadi ng port.丙、北京中國(guó)租船公司或其港口代理人于估 計(jì)承運(yùn)船到達(dá)裝貨口岸日期十天以前，將船名、預(yù)計(jì)裝船日期、合同編號(hào)初步通知賣(mài)方， 以便

23、賣(mài)方安排裝運(yùn)。事先指定的承運(yùn)船如有 變更，或其估計(jì)到達(dá)日期提前或延期時(shí)，買(mǎi) 方或其裝運(yùn)代理人應(yīng)及時(shí)通知賣(mài)方， 如果該 船未能于買(mǎi)方或其裝運(yùn)代理人所通知的到 達(dá)日期后三十天內(nèi)到達(dá)裝運(yùn)口岸， 則從第三 十一天起貨物的倉(cāng)租和火災(zāi)保險(xiǎn)費(fèi)用應(yīng)由 買(mǎi)方負(fù)擔(dān)。c. Chi naNati onalCharteri ngCorporati on, Beiji ng, China, or their shipp ing age nt at the load ing port, will send the Sellers, 10 days before the estimateddateof arrival of

24、thecarry ing vessel at the port of shipme nt a preliminarynotice indicatingthe nameof vessel, estimated date of load ing, con tract nu mber in order for the Sellersto arrange shipme nt. In case the carry ingvessel previouslydesig natedis to be replaced by ano ther vessel or in case the estimated dat

25、e of arrival of the carrying vessel is to be advaneed or postp on ed, the Buyers or their shipp ing age nt shall advise the Sellers to that effect in time. Should the vessel fail to arrive at the port of load ing within 30 days after the arrival date advised by the buyers or their shipp ing age nt,

26、the buyers shall bear the storage and fire in sura nee expe nses in curred from the 31st day.丁、承運(yùn)船及時(shí)到達(dá)裝貨口岸時(shí)，如賣(mài)方未 將貨物備妥待裝，因此而發(fā)生的空艙費(fèi)和延 滯費(fèi)均應(yīng)由賣(mài)方負(fù)擔(dān)。d. The sellers shall be liable for any dead freight or demurrage consequent upon their failure to have the goods ready for loadingafter the carryingvessel ha

27、s arrived at the port of loadingin time.戊、在貨物越過(guò)船舷并從吊鉤上卸下以前， 所有在搬運(yùn)中發(fā)生的一切費(fèi)用和風(fēng)險(xiǎn)均由 賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并從吊鉤上卸下 以后，所發(fā)生的一切費(fèi)用均由買(mǎi)方負(fù)擔(dān)。e. The Sellers shall bear all expe nsesand risks and risks involved in the han dli ng of the goods before they pass over the vessel ' s rail and are released from the tackle, wher

28、eas all expe nses involved in the loading of the goods after they have passed over the vessel's rail and have bee n released from the vessel ' s tackle shall be for the Buyers ' acco unt.(16) 裝運(yùn)通知：SHIPPING ADVICE:貨物全部裝船后，買(mǎi)方應(yīng)立即將合同編 號(hào)、商品名稱(chēng)、數(shù)量、毛重、發(fā)標(biāo)金額、船 名和開(kāi)航日期電告買(mǎi)方。如單件貨物的重量 超過(guò)9公噸或闊度3400超過(guò)毫米，

29、或兩旁 調(diào)試2350超過(guò)毫米，則賣(mài)方應(yīng)將該件重量 和尺碼告知買(mǎi)方。如由于賣(mài)方未及時(shí)將裝運(yùn) 通知電告買(mǎi)方，以致貨物未及時(shí)保險(xiǎn)而發(fā)生 的一切損失應(yīng)由賣(mài)方負(fù)擔(dān)。如貨物系屬危險(xiǎn) 品，賣(mài)方應(yīng)將其性質(zhì)及處理辦法電告買(mǎi)方和 到貨口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司。Immediately the goods are completely loaded,the Sellers Shall cable to notify the Buyers OF the con tract nu mber ,n ame ofcommodity,qua ntity,grossweightnvoiced n ame of the carry

30、 ing vessel and the date of saili ng.lf any package is above 9 metric tons in weight,of over 3400mm in width,of over 2350mm on both sides in height,the Sell-ers shall advise the Buyers of the weight andmeasureme ntsof suchpackage .incase the goods are notinsured in time oving to the Sellers having f

31、ailed to give timely advice,any and all consequent losses shall be borne by the Sellers. In the case of dangerous goods ,the Sellers SHALL cable TOno ti-fythe Buyers and the ChinaNati onalForeig nTra nsporta-ti onCorporati on at the port of desti nati on of their n ature and the method of han dli ng

32、 the n.(17) 質(zhì)量保證：CUARANTEEOF QUALITY賣(mài)方保證訂貨系用最上等的材料和頭等工 藝制成，全新，未曾用過(guò)，并完全符合本合 同規(guī)定的質(zhì)量、規(guī)格和性能。賣(mài)方并保證本 合同訂貨在正確安裝、正常使用和維修的情 況下，自化物到達(dá)到貨口岸之日起十二個(gè)月 內(nèi)運(yùn)轉(zhuǎn)良好。The Sellers shall guarantee that the goods are made of best materials,with firstclassworkma nship,bra ndno w,u nu sedandcorresp ondin allrespectswiththequality

33、,specifica-ti onsandperflrma nee as stipulated in this Con tract .Thesellersshallalsoguarantee that the goods when correctlymoun ted and properly operated and mai ntai ned,willgive satisfactoryperforma nee for a period of 12m on ths starting from the date on which the goods arrive at the port of des

34、-t in ati on.(18) 檢驗(yàn)和 索賠：INSPECTION AND CLAIMS甲.在交貨以前，制造廠就訂貨的質(zhì)量、 規(guī)格、性能、數(shù)量/重量作出準(zhǔn)確和全面 的檢驗(yàn)、并出具貨物和本合同規(guī)定相符的 證明書(shū)，該證書(shū)為議付/托收貨款而應(yīng)上 交銀行的單據(jù)的組成部分，但不得為貨物 的質(zhì)量、規(guī)格、性能和數(shù)量/重量的最后依據(jù)。制造廠應(yīng)將記載試驗(yàn)細(xì)節(jié)和結(jié)果的 書(shū)面報(bào)告附在質(zhì)量證明書(shū)內(nèi)。a. The manufacturersshall beforemaking delivery,make a precise and comprehensive inspection of the goods as r

35、egards their quality ,specificati ons ,performa n ce and quantity/weight,and issuecertificatescertify ingthat thegodds are in conformitywith thestipulati ons of thisCon tract .Thecertificates shall from an in tegral part of the documents to be presented to thepay ingbank forn egotiati on /collecti o

36、nof payme ntbut shall not be considered as final inrespectofquality,specificati on s,performa nee and quatity/weight .Particulars and results of the test carried ou by the manufacturersmust be shown in astatement to be attached to the said Quality Certificate.乙、貨物到達(dá)到貨口岸后，買(mǎi)方應(yīng)申請(qǐng)中國(guó)商品檢驗(yàn)局（以下稱(chēng)商檢局）就貨物的 質(zhì)量、

37、規(guī)格和數(shù)量/重量進(jìn)行初步檢驗(yàn)。 如發(fā)現(xiàn)到貨的規(guī)格或數(shù)量/重量與合同不符，除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)者外， 買(mǎi)方于貨物在到貨口岸缺貨后120天內(nèi)憑商檢局出具之檢驗(yàn)證書(shū)有權(quán)拒收貨物或向賣(mài)方索賠。b. After arrival of the goods at theport of destination,theBuyers shallapply to theChi naCommodityin specti onBureau(here in aftercalled the Bureau)for a prelim inary inspection of the goods in respect of

38、theirquality,specificati onsandqua ntity/weight .Ifanydiscrepa nciesare found by theBureau regarding the specifications or the qua ntity/weightorboth,except those for which either the in sura neecompa nyor theshipping company is responsible,the Buyers shall,within 120 days after discharge of the goo

39、ds at the port of destination,havethe right either toreject the goods or to claim against the Sellers on the stre ngth of the in specti on certificae issued by the Bure n.丙、在合同第17條規(guī)定的保證期限內(nèi)，如 發(fā)現(xiàn)貨物的質(zhì)量及/或規(guī)格與本合同規(guī)定 不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺 陷包括內(nèi)在缺陷或使用不良的原料，買(mǎi)方 應(yīng)申請(qǐng)商檢局檢驗(yàn)，并有權(quán)根據(jù)商檢證向 賣(mài)方索賠。c. 41、 in specti on to be carried out by the Bureau and have the right to claim aga inst the Sellers on the stre ngth of the in specti on cer-tificate issued by the Burea u.丁.賣(mài)方收到買(mǎi)方索賠通知后，如果在三十天內(nèi)不答復(fù)，應(yīng)視為賣(mài)方同意買(mǎi)方提出 的一切索賠。d. Any and all claims shall be regarded as accepted if the Sellers fail to reply withi n 3

42、0 days after receipt of the Buyers ' claim.(19) 索賠解決方法：SETTLEMENT OF CLAIMS如貨物不符合本合同規(guī)定應(yīng)由賣(mài)方者。同 時(shí)買(mǎi)方按照本合同第17條和第18條的規(guī) 定在索賠期限或質(zhì)量保證期限內(nèi)提出索 賠，賣(mài)方在取得買(mǎi)方同意后，應(yīng)按下列方 式理賠。In case the Sellers are liable for the discrepa ncies and a claim is made by the Buyers within the period of claim or qualityguara n-teeperio

43、d asstipulated in Clauses 17 and 18 of thisC on tract .theSellers shall settlethe claim upon the agreeme nt of the Buyers in the followi ng ways:甲、同意買(mǎi)方退貨，并將通貨金額以成交原幣償還買(mǎi)方，并負(fù)擔(dān)因退貨而發(fā)生的一 切直接損失和費(fèi)用，包括利息，銀行費(fèi)用， 運(yùn)費(fèi)，保險(xiǎn)費(fèi)，商檢費(fèi)，倉(cāng)租，碼頭裝卸 費(fèi)以及為保管退貨而發(fā)生的一切其它必 要費(fèi)用。a. Agree to the rejecti on of the goods and refund to the

44、 Buy-ers the value of the goods so rejected in the same curre ncy as con tracted here in,and to bear all direct losses and expenses in conn ecti onthere within cludi ngin terestaccrued,ba nkingcharges,freight,in sura neepremiumnapecti on charges,storage,stevedorechargesand all othern ecessaryexpe ns

45、esrequired for he custody and protection of the rejected goods.乙、按照貨物的疵劣程度，損壞的范圍和 買(mǎi)方所遭受的損失，將貨物貶值。b. Devaluate the goods according to thedegree ofin feriority,exte ntofdamage and amo unt of losses susta ined by the Buyers.丁、調(diào)換有瑕疵的貨物，換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣(mài) 方并負(fù)擔(dān)因此而發(fā)生的一切費(fèi)用和買(mǎi)方 遭受的一切直接損失。對(duì)換貨的質(zhì)量，賣(mài) 方仍應(yīng)按本

46、合同第17條的決定，保證十 二個(gè)月。c. Replace the defective goods with new ones which conform to the specificati ons,quality and performa neeas stipulated in this Con tract ,and bear all expenses incurred to and direct losses susta ined by the Buyers .The Sellers shall ,at the same time,guara nteethe quality of ther

47、eplaceme nt goods for a further period of 12 mon ths as specified in Clause 17 of this Con tract.(20) 人力不可抗拒事故：FORCMAJEURE:由于人力不可抗拒事故，而賣(mài)方交貨遲 延或不能交貨時(shí)，責(zé)任不在賣(mài)方。但賣(mài)方應(yīng) 立即將事故通知買(mǎi)方，并于事故發(fā)生后十四 天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事 故證明書(shū)用空郵寄交買(mǎi)方為證，并取得買(mǎi)方認(rèn)可。在上述情況下，賣(mài)方仍負(fù)有采取一切 必要措施從速交貨的責(zé)任。如果事故持續(xù)超 過(guò)十個(gè)星期，買(mǎi)方有權(quán)撤銷(xiāo)本合同The Sellers shall not be h
