1、13 Termination13.1 In the event of a termination by notice as provided (per section 2.1 ,or in the event that CHP gives NC&C advance notice that it will not renew or extend this Agreement upon its expiration;a NC&C will use commercially reasonable efforts to cancel anyObligations with respec

5、 failure to perform or the breach within sixty (60 days, from the receipt of suchwritten notice, then the damaged party may, terminate the whole or any part of this agreement. Further, if bankruptcy proceedings are instituted against NC&C, CHP may, except as otherwise terminate the whole or any

10、premises. As used herein, the "confidential information" shall include, without limitation, all Work Product, all information designated by CHP as confidential, all information or data concerning or related to CHP's products (including the discovery, invention, research, improvement, d

11、evelopment, manufacture, or sale thereof, processes, or general business operations (including sales costs profits, pricing methods, organization and employee lists, and any information obtained through access to any Information Assets/Systems (including computers, networks, voice mail, etc. which, if not otherwise described above, is of such a nature that a reasonable person would believe it to be confidential or proprietary.14.2 保密信息: 除了執(zhí)行本協(xié)議之外,NC&C公司, NC&C代理商, 員工, 或分包商都不得通過經(jīng)CHP允許進(jìn)入CHP系統(tǒng)的方式向其他單位或個(gè)人泄露或使用從CHP得到, CHP正在準(zhǔn)備或發(fā)現(xiàn)的任何CHP的機(jī)密信息, 無論是以書面, 口頭, 電子或其他任何形式.
