The Sellers shall be liable for any damage of the commodity and expenses incurred on account of improper packing and for any rust attributable to inadequateor improper protective measures taken by the Sellers in regard to the packing. 9、 certifying that the wood packaging materials in thisshipment have been treated and officially marked IPPC or beneficiarys certificate of NO-WOOD packing materials.袁11.裝運通知：賣方在貨物裝運后，應(yīng)在兩天內(nèi)將合同編號、商品名稱、數(shù)量、毛重、發(fā)票金額、和起運日期用傳真通知買方。黃 Shipping Advice: The Sellers shall within 2 days upon the completion of the

10、loading of the goods, advise by fax to the Buyers of the contract No., commodity, quantity, gross weight, invoiced value,and date of dispatch.肄 12. 品質(zhì)保證Guarantee of Quality:螂 保證貨物系全新，未曾用過，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。袂 The Sellers shall guarantee that the goods are brand new, unused and correspond in all res

11、pects with the quality, specifications and performance as stipulated in this Contract.覆 13. 檢驗和索賠 Inspection And Claims:蒙在交貨以前，制造廠應(yīng)就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量/重量做出準(zhǔn)確和全面的檢驗，并出具貨物和本合同規(guī)定相符的證明書。蒂 The manufactures shall before making delivery, make a precise and comprehensive inspection of goods as regards their qua

12、lity, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. The certificates shall form an integral part of the documents to be presented to the paying bank for negotiation /collection of payment bu

13、t shall not be considered as final in respect of quality, specifications, performance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement to be attached to the said Quality Certificate.蠆 14. 不可抗力: 無論在商品制造或裝運或轉(zhuǎn)運期間, 如有不可抗力事件發(fā)生, 賣方將不對由此

14、而導(dǎo)致的逾期或不能交貨負(fù)責(zé)。但此時, 賣方應(yīng)立即將不可抗力事件通知買方, 并于通知后十四天內(nèi)以傳真方式向買方提供一份由不可抗力事件發(fā)生地權(quán)威機(jī)構(gòu)出具的不可抗力事件證明。賣方不能取得出口許可證不得作為不可抗力。在這種情況下 , 賣方仍有義務(wù)竭盡全力盡快交貨。如不可抗力事件持續(xù)超過十周, 買方有權(quán)撤銷合同,買方在銀行所支付的費用由賣方承擔(dān).蝸 Force Majeure: The Sellers shall not be hold responsible for the delay in shipment or non-delivery of the goods due to Force Maje

15、ure, which might occur during the process of manufacturing or the course of loading or transit. The Sellers shall advice Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers should send by airmail to the Buyers for their acceptance a certificate of th

16、e accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Seller isnability in obtaining export license shall not be considered as Force Majeure. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measure

17、s to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers shall have right to cancel the Contract, the sellers bear the expenses which paid to the bank by the buyers.胭15.遲交和罰款：如延遲交貨除人力不可抗事故者外，賣方應(yīng)付給買方每一星期按遲交貨總值的0.5%的遲交罰款，不足一星期的遲交日作為一星期計算，此項罰款總額不超過全部遲交貨物總值的5%

18、 ，在議付貨款時由銀行代為扣除，或由買方在付款時進(jìn)行扣除。如果賣方交貨延期超過合同規(guī)定的10 個星期時,買方有權(quán)取消合同.盡管取消了合同,但賣方仍須立即向買方交付上述規(guī)定罰款.芃 Late Delivery And Penalty:In case of delayed delivery, except for force majeure cases, The Sellers shallpay to the Buyers for every week of delay a penalty amounting to 0.5% of the total value of the goods whos

19、e delivery has been delayed. Any fractional part of a week is to be considered a full week. The total amount of penalty shall not, however, exceed 5% of the total valueof the goods involved in late delivery and is to bededucted from the amount due to the Sellers by the paying bank at the time of neg

20、otiation, or by the Buyers direc t at the time of payment. The buyers can cancel the contract if the sellers delivery date is delayed up tweeks according to the contract, but the sellers still must offer the above penalty to the buyers without conditions.腿16.仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí)，應(yīng)由雙方友好協(xié)商解決。如經(jīng)協(xié)商仍未能達(dá)

21、成協(xié)議則應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會裁決。按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則, 由申訴一方選擇該會由,對雙方均有約束力。仲裁費用除仲裁委另有決定該會上海分會在上海進(jìn)行仲裁。仲裁委員會的裁決為終局裁決 外，應(yīng)由敗訴一方負(fù)擔(dān)。聿 Arbitration:All disputes in connection with this Contract or the execution thereof shall be settled friendlythrough negotiations. In case no settlement can be reached, the case may the

22、n be submitted to China International Economic and Trade Arbitration Commission for arbitration, which shall be conducted by its Shanghai Sub-Commission in Shanghai in accordance w ith the Commission s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final a

23、nd binding upon both parties; both parties shall not seek recourse to a law court or other authorities to appeal for revision of the decision. 24、 This contract is made in Chinese/English with equal validity, but the discords on the contract are to be explained with the English version.
