11、ts No. _directly to the buyers by courier service.13裝運(yùn)條款：13、ShipmentFOBFOB賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在物資超過船舷并脫離吊鉤往常一切費(fèi)用和風(fēng)險由賣方負(fù)擔(dān)。The sellers shall ， 30 days before the shipment date specified in the contract advise

16、t No.， names of commodity ， loading quantity ， invoice values ， gross weight ， name of vessel and shipment date by TLX/FAX/CABLE within_hours .15質(zhì)量保證：15、Quality guarantee :物資品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港個月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計制造過程中的缺陷造成的物資損害應(yīng)由賣方負(fù)責(zé)賠償。The sellers shall guarantee that the commodity must

18、 in designing and manufacturing of the manufacturer.16商品檢驗(yàn)：16、Goods inspection :賣方須在裝運(yùn)前日托付檢驗(yàn)機(jī)構(gòu)對合同之物資進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方托付檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。The sellers shall have the goods inspected by _Inspection Authority _ days before the shipment and issued the Inspection Certificate . The buyers shall have the goods

19、reinspected by $Inspection Authority after the goods arrival at the destination.17索賠17、Claims:如經(jīng)中國檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)覺物資有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。The buyers shall lodge claims against the sellers based on the Inspectio

20、n Certificate issued by China _ Inspection Authority _ Days after the arrival of the goods at the destination ， if the goods are found to be damaged ， missing or the specifications ， quantity， and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In ca

21、se the claim period above specified is not in conformity with the quality guarantee period， during the quality guarantee period， the buyers have rights to lodge claims against the sellers concerning the quality guarantee.18延期交貨違約金18、Late delivery and penalty除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意拖延交貨，賣方應(yīng)同

22、意對信用證有關(guān)條款進(jìn)行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過物資總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采納信用證支付的情況下，賣方應(yīng)將前述方法計算的違約金即付買方。If the sellers fail to make delivery on time as stipulated in the contract ， with exception of Force Majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agr

23、ee to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty ， however ， shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days ， if less that seven days. In

24、case ， the payment is not made through L/C ， the sellers shall pay the penalty counted as above to the buyers as soon as possible.19人力不可抗拒：如因人力不可抗拒的緣故造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時通知買方。19、Force Majeure :The sellers shall not hold any responsibility for partial or total non-performance of this

25、contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.20爭議之解決方式：20、Disputes settlement :任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按該會的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對雙方均有約束力。All disputes arising out of the contract or in connection with the contract ， shall be s

26、ubmitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China .
