-32-LicensedSoftwareTermsandConditions允許的軟件環(huán)境與條件核心提示：Effectiveuponthelastdatesignedbelow(theEffectiveDate)providedthatinordertobecomeeffectivethisAgreementmustbesignedbybothpartiesonorbefore_________,_________,_________(M,D,Y),AAA,a_________(STATE)corporationwithprincEffectiveuponthelastdatesignedbelow(theEffectiveDate)providedthatinordertobecomeeffectivethisAgreementmustbesignedbybothpartiesonorbefore_________,_________,_________(M,D,Y),AAA,a_________(STATE)corporationwithprincipalofficeslocatedat_________,onbehalfofitselfandDDDCompaniesasdefinedbelow(hereinaftercollectivelyreferredtoasBBB)andCCCInc,a_________(STATE)corporationwithprincipalofficeslocatedat_________(hereinafterreferredtoasLicensororCCC)agreeasfollowswithrespecttothesoftwaredescribedbelowandonAttachmentAhereto(Software).ADDDCompany(orDDD)isacompany,foreignordomesticatleast50%ofwhosecapital,assetsorvotingstockisownedorcontrolledbyBBB.AsofthedateofthisAgreement,theDDDsarelistedonATTACHMENTB.BBBmayupdateAttachmentfromtimetotimeasadditionalentitiesbecome50%ownedbyAAA.Notwithstandingtheabove,thepartiesagreethatEEECorporationwillbedeemedanDDD.AnDDDthatlicensestheSoftwareasauthorizedbythisAgreementorreceivesservicesunderthisAgreementwillbeboundbythetermsandconditionsofthisAgreement.1.LICENSE.LicensorgrantstoBBB,andBBBherebyaccepts,anonexclusivelicensetousetheSoftwareandUserDocumentationinaccordancewiththetermsandconditionssetforthherein,includingthelicensegrantrestrictionssetforthbelowandinAttachmentA.BBB’suseoftheSoftwarewillbelimitedtothecomputersystem,computersiteor,Localand/orWideAreaNetwork,andtothenumberofusers,anduserestrictionsdescribedbelowandonAttachmentA.BBBmaytransferitsuseoftheSoftwaretoabackuporreplacementcomputersystem,siteornetworkonatemporaryorpermanentbasis,providedthatBBBgivesLicensornoticeofsuchtransferanddiscontinuesitsuseontheoriginalcomputersystem,siteornetwork,andprovidedalluserestrictionsdescribedbelowandinAttachmentAarecompliedwith.BBBmayalsotransferorassignthisAgreement,alloftheSoftwarelicensedhereunderandUserDocumentationonapermanentbasisprovidedthat(a)writtennoticeofthetransferisgiventoLicensor,(b)Licensorconsentstothetransferandsuchconsentwillnotbeunreasonablywithheld,and(c)thetransfereereadsandagreestoacceptthetermsandconditionsofthisAgreement.TheSoftwareincludesFFFSoftwareandGGG.FFFSoftwareisdefinedastheFFFsoftwareproduct,consistingofFFFserversoftware(theServerSoftware),theFFFclientsoftware(theClientSoftware),anyFFFuserauthorizationstringsprovidedbyCCCfromtimetotime(theLicenseStrings),anyupdatesandupgradesorotherrelatedsoftwarecodeprovidedunderMaintenance,andFFFUserDocumentation.FFFUserDocumentationconsistsoftheGettingStartedandAdministratorManualdocumentsprovidedwiththeSoftwareaswellastheOn-linehelpintheSoftware.TheGGGisdefinedas:FFF(R)GGGSoftware,anyotherassociatedmachine-readableobjectcodeversionsaswellasotherassociatedfiles(includingallupgrades,patchesandotherfilesprovidedunderMaintenance,ifany);samplesourcecodefilesincludedwithinGGGandsuppliedbyCCCfromtimetotime(SampleCode),andtheRuntimeFFFAPI.dllfile;andtogetherwithanyassociatedmedia,printedmaterialsandonlineorelectronicdocumentation.A.FFFSERVERSOFTWARE.ForeachServerSoftwarelicensepurchasedbyBBB,BBBmaycopy,installanduseone(1)copyoftheServerSoftwareonone(1)BBBservercomputer,providedtheservercomputeriseitherataBBBlocationorhostedbyathirdpartyserviceproviderforthebenefitofBBB.B.FFFCLIENTSOFTWARE.TheClientSoftwaremaybeinstalledonanycomputer.C.USELIMITATIONs.TheSoftwaremaynotbere-sold,sub-licensed,rented,leasedortransferred(exceptasexpresslyprovidedabove).AccesstotheFFFSoftware(asahostedserviceorinanyotherfashion,whetherforfeesornofees)willnotbeprovidedtoanypersonsotherthanBBBUsers(asdefinedbelow).TheGGGSoftwarewillbeusedbyBBBorDDDemployees,orBBBorDDDhiredconsultantsorothertemporarynon-employees,foraslongassuchpersonisprovidingservicesdirectlytoBBBoraDDDinsupportofBBB’soraDDD’sbusinesspurposeshired.TheSoftwaremaynotbeusedforanypurposesotherthanthosedescribedbelow.D.USERACCESSLICENSESANDBBBUSERS.OneUserAccessLicense(each,aUAL)isrequiredforeachindividualpersonwhowillaccesstheFFFSoftwaresuchthattheFFFSoftwaremaybeaccessedbyuptothatspecifiednumberofpersonsforwhomBBBhasacquiredaUAL.UnderthisAgreement,BBBwilllicenseUALsforuseonlybyBBBUsers.OneBBBUserconsistsof:(i)oneindividualBBBorDDDemployee,or(ii)oneindividualBBBorDDDhiredconsultantorothertemporarynon-employee,foraslongassuchpersonisprovidingservicesdirectlytoBBBoraDDDinsupportofBBB’soraDDD’sbusinesspurposes,or(iii)oneindividualpersonrepresentingaBBBorDDDsupplier,vendor,clientorotherthirdpartythathasabusinessrelationshipwithBBBoraDDDindirectsupportofBBB’sorDDD’sbusinesspurposes,butonlyaslongassuchpersonisinsuchabusinessrelationshipwithBBBorDDD,andprovidedsuchpersonusestheSoftwareonlyinconnectionwithBBBorDDDbusinesspurposes.E.LICENSESTRING.*.AftertheInitialTerm,CCCwillprovideBBBwithsufficientLicenseStringstoenableusebyallauthorizedBBBUsers.LicenseStringscannotbeusedinanymannerwhichwouldeitherpermitaccesstotheFFFSoftwarebymorethanthenumberofBBBUsersauthorizedbyCCC,orallowtheServerSoftwaretoexistonmorethanthenumberofindividualservercomputersthattheBBBisauthorizedbyCCCtouse.UnlessexpresslyagreedotherwisebyCCCinwriting,eachLicenseStringmaybeinstalledonlyonetime,andmaynotbere-used,transferredorassigned(exceptassetforthintheAgreement).BBBmayberequiredtodeletecertainLicenseStringsuponreceiptofupgradedorreplacementLicenseStrings.G.GGGLICENSETERMS.BBBmayinstallanduseasmanycopiesoftheGGGasreflectedonAttachmentAtodesign,developandtestsoftwareapplications(theApplications),andBBBmayprovideBBBUserswithaccesstoApplications,providedthatallApplicationsrunonlyinconjunctionwithFFFSoftware,andprovidedthatBBBacknowledgesthatsuchApplicationsarenotwarrantedbyCCCinanymanner.BBBmaycopyandmodifytheSampleCode,andmayincludesuchmodifiedSampleCodeaspartofanApplication,providedsuchApplicationswillhavetheCCCcopyrightasappropriate.CCCmay,fromtimetotime,releasenewversionsoftheGGGand/orFFFSoftware.AgivenversionoftheGGGwillbecompatiblewiththesameversionoftheFFFSoftware(i.e.,GGG4.0iscompatiblewithFFF4.0).ItisaprimarydesigngoalofCCCtomaintainApplicationCompatibilityfromreleasetorelease.(ApplicationCompatibilityreferstoabilityofexistingapplicationtocontinuetofunctionwithanewSoftwarerelease).*.3F.ADDITIONALRESTRICTIONS.(1)BBBmaynotreverseengineer,decompile,ordisassembletheSoftware,exceptandonlytotheextentsuchactivityisexpresslypermittedbyapplicablelawnotwithstandingthislimitation.(2)Allcopyrights,patentrightsandotherintellectualpropertyrightsinandtotheSoftwareareownedbyCCCoritslicensors.BBBmaynotremoveanycopyright,trademarkorotherproprietarynoticesfromtheSoftwareorthemedia.(3)BBBisresponsibleforcompliancewithallapplicableexportorre-exportcontrollawsandregulationsifitexportstheSoftwareasallowedunderthisAgreement.2.TERM.ThetermofthislicensearesetforthonATTACHMENTA.3.PERMISSIONTOCOPY.TheSoftwareandrelateddocumentationmaybecopiedbyBBBinwrittenormachinereadableforminwholeorinpartforuseinunderstandingtheSoftware,forbackuporarchivepurposesandforpurposesofinstallationonauthorizedworkstations,providingalluselimitationsinthelicensegrantsectionarecompliedwith.BBBmayusetheGGGasintendedbytheGGGuserdocumentationtocreateApplicationsandintegrateothersoftwareprogramsthatwillrunwiththeFFFSoftware..AllcopiesoftheSoftwaremadebyBBBwillincludeanycopyrightandconfidentialpropertynoticesincludedbyLicensorintheSoftware.CONFIDENTIALITY.(a)BBBwillusereasonablecaretopreventdisclosingtootherstradesecretsofLicensorthatareidentifiedbywrittennoticeandembodiedintheSoftwareorrelateddocumentationforaperiodoftwoyearsfollowingterminationorexpirationofthisAgreement.ReasonablecareshallmeanthatcarewhichBBBnormallyusestoprotectitsownsoftwareofasimilarnature.BBB’sobligationsunderthisParagraphwillnotapplytoportionsoftheSoftwareandrelateddocumentationwhichwereorbecomepartofthepublicdomain,whicharepreviouslyknowntoBBB,orwhichareindependentlydevelopedbyBBB.(b)BBBwillnotprovidetheSoftwareandrelateddocumentationtoanyperson,otherthanBBBUsers,withoutLicensor’spriorwrittenconsent,exceptduringtheperiodanysuchpersonisperformingservicesforBBBpursuanttoacontractorpurchaseorderwithBBB.5.INDEMNITY.LicensorwarrantsthatthetransfertoBBBandBBB’suseoftheFFFSoftwareandFFFUserDocumentation(bothasoriginallyprovidedbyLicensor)willnotinfringeany(a)USpatent,or(b)copyrightsortradesecretsofanyotherentity.LicensorwilldefendBBBfromanysuchinfringementclaim,andwillindemnifyBBB(a)forexpensesofdefendingagainstsuchaclaimincludingattorneys’fees,and(b)fordamagesmadeinsettlementorawardedagainstBBBresultingfromaclaimthattheFFFSoftwareandFFFUserDocumentationinfringeanyoftheabovementionedrights,providedthatBBBnotifiesLicensorinatimelyfashionofsuchclaim,allowsLicensortodirectthedefenseandsettlementofsuchclaim,andprovidesLicensorwiththeauthority,informationandassistancethatisreasonablyrequiredforthedefenseandsettlementofsuchclaim.Intheeventaclaimofinfringementisasserted,LicensormayreplaceormodifytheSoftwaretomakeitnon-infringing,providedthatBBBagreesthatsuchreplacementormodificationachievesthesubstantiveresultsoftheoriginalversionoftheSoftware,orLicensormayprocureatitsexpensealicenseforBBBtousetherightsallegedlyinfringed,orLicensormayterminatethelicense(s)atissueand:(x)giveBBBarefundofthelicensefeepaidfortheSoftwareatissue*.Notwithstandingtheabove,LicensorwillhavenoliabilityforuseofmodifiedSoftwaretotheextentsuchmodificationresultedintheclaim.TheremediessetforthinthisSection5willbeBBB’sexclusiveremedyforanyclaimsofinfringementarisingunderthisAgreement.6.OWNERSHIP.BBBacknowledgesLicensor’srepresentationthatLicensor(orLicensor’ssuppliers)ownstheSoftwareandthecopyrightscoveringsuchSoftwareandBBBwillnotmakeanyclaimcontrarytoLicensor’sownershipoftheSoftware.7.WARRANTIES.TheWarrantyPeriodcommencesonthedateofthisAgreementandexpires_________daysafterSoftwareisinstalledandisrunningintheBBBDataCenter,or_________,_________,_________(M,D,Y),whichevercomesfirst.LicensorwarrantstoAAAthatduringtheWarrantyPeriod:(i)theFFFSoftwareconformssubstantiallywithalltheFFFUserDocumentationandthattheFFFSoftwareiscompatiblewithandwilloperateonthecomputersystemdescribedonAttachmentAhereto,and(ii)theGGGconformssubstantiallyasdescribedintheGGGProgrammer’sGuideandtheGGGOn-lineHelp,and(iii)thattheFFFSoftwarewilloperatepriorto,during,andafterthecalendarYear_________A.D.,withouterrorrelatingtodatedata,specificallyincludingbutnotlimitedtoanyerrorrelatingtocalculations,sorting,interpretation,processingoracceptanceofdatedatawhichrepresentsorreferencesdifferentcenturiesormorethanonecentury.BBBacknowledgesandagreesthatLicensordoesnotwarranttheSoftwareforYear_________Complianceincombinationwithotherthirdpartysoftware,excepttotheextentthatsuchcombinationiswarrantedinLicensor’swrittenspecifications.DuringtheWarrantyPeriodanduponBBB’srequest,LicensorwillatnoadditionalchargetoBBB:(x)correctpromptlyeachnon-conformanceoftheFFFSoftwareorGGGfromtheabovedescribedspecifications,or(y)replacethenon-conformingFFFSoftwareorGGGwithconformingFFFSoftwareorGGG,or(z)totheextenttheabovemaynotbereasonablyobtained,Licensormayatitsoption,terminatethelicenseonlyfortheFFFSoftwareatissueortheGGGatissueandrefundtheamountpaidbyBBBfortheparticularFFFSoftwareorGGGlicenseatissue.Thiswarrantyisvoidifthefailureisduetoaccident,abuseorusenotinconformancewiththeapplicableUserDocumentation.TotheextenttheSoftwareatissueisacquiredasanupgradeunderCCC’sMaintenanceprogram,thenanyrefundmadewillbebasedontheportionofthethencurrentMaintenancefeeallocatedtosuchupgrade.TheremedysetforthabovewillbeBBB’sexclusiveremedy,andLicensor’sexclusiveliability,forbreachoftheabovewarranty.(b)LicensorwarrantsthatanyservicesrenderedbyLicensorwillbeperformedinaprofessionalmannerbyqualifiedpersonnel.(c)Licensor’swarrantiesarelimitedtothosesetforthinthisAgreementanddonotincludeanyotherexpressorimpliedwarranties,includingimpliedwarrantyofmerchantabilityandfitnessforaparticularpurpose.8.SUPPORTANDMAINTENANCE.LicensorwillprovideBBBwithupdates,enhancements,modificationsorchangestotheSoftwarewhichareavailablefromLicensorforcustomersonMaintenancewhileBBBispurchasingthemaintenanceandsupportservicesspecifiedonAttachmentA,allofwhichwillbedeemedtobeSoftwarelicensedunderthetermshereof.Inaddition,LicensorwillprovidethemaintenanceandsupportservicesasspecifiedonAttachmentAhereto.9.Year_________COMPLIANCEWARRANTY.ThissectionwasmovedtoSection7.10.WAIVEROFLIMITATIONOFLIABILITY.TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,INNOEVENTSHALLLICENSORORITSSUPPLIERSBELIABLEFORANYSPECIAL,INCIDENTAL,INDIRECT,ORCONSEQUENTIALDAMAGESWHATSOEVER(INCLUDING,WITHOUTLIMITATION,DAMAGESFORLOSSOFBUSINESSPROFITS,BUSINESSINTERRUPTION,LOSSOFBUSINESSINFORMATION,ORANYOTHERPECUNIARYLOSS)ARISINGOUTOFTHEUSEOFORINABILITYTOUSETHESOFTWAREORTHEPROVISIONOFORFAILURETOPROVIDESUPPORTSERVICES,EVENIFLICENSORHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.EXCEPTINTHECASEOFANINFRINGEMENTUNDERSECTION5,INNOEVENTWILLLICENSOR’SENTIRECUMMULATIVELIABILITYTOALLPARTIESUNDERANYPROVISIONOFTHISAGREEMENTEXCEEDTHREETIMESTHEAMOUNTACTUALLYPAIDBYBBBTOLICENSORUNDERTHISAGREEMENT.11.DISCONTINUANCE.TheLicensorisintheprocessofestablishingathirdpartysourcecodeescrowarrangementwithanationally(US)recognizedsoftwareescrowagent(estimatedtobecompletedinQ1_________(YEAR))inordertolodgesourcecodefortheSoftwarewithsuchagentforthebenefitofcertainofLicensor’scustomers.Licensoragreesthatwhensuchanarrangementisinplace,BBBwillhavetheoptionofbecomingabeneficiaryofsucharrangement.CCCwillpayforanyescrowfeesrelatedtotheescrowaslongasBBBcontinuestopurchaseMaintenance.12.TERMINATION.(a)BBBmayterminatethisAgreementfornocauseuponwrittennoticefurnishedtoLicensornolessthan30dayspriortothedateofterminationspecifiedinsuchnotice,providedthatBBBwillberequiredtopaytoCCCallMaintenancefeesoutlinedinAttachmentAwhichremainunpaidonthedateoftermination.(b)BBBmayterminatethisAgreementforamaterialbreachbyLicensoroftheMaintenanceandServicestermsandconditionsofthisAgreementuponwrittennoticetoCCC,whichisgivennolessthan30dayspriortoaneffectivedateoftermination,andwhichspecifiesthenatureofsuchbreachandmeasurableactionsrequiredtocuresuchbreach.IfCCCcuressuchbreachpriortotheeffectivedateoftermination,thisAgreementshallnotterminateandwillcontinueinfullforceandeffect.TotheextentCCCdoesnotcureabreach,BBBwillpromptlyinformCCCofsuchDDDtsuchthatCCCwillhaveafurtheropportunitytocure.Uponaterminationforbreach,BBBwillbeentitledtoreceivearefundforanyprepaidMaintenanceorServicesfeescorrespondingtoservicesnotyetprovidedasoftheterminationdate.(c)BBB’srightstorefundofanySoftwarefeesshallbelimitedtorefundsallowedunderthewarrantytermsforsuchSoftware.ExceptintheeventCCCterminatesalicensegrantedhereunderunderawarrantyrefundorinfringementclaimasallowedbytheAgreementinwhichcasethelicenseatissuewillbeterminated,afterterminationofthisAgreementBBBmaycontinuetouseallSoftwarelicensesgrantedhereunderprovidedalllicensegrantrestrictionsarecompliedwith.(d)LicensormayterminatethisAgreementonlyforamaterialbreachbyBBBofthetermsandconditionsofthisAgreementuponwrittennoticetoBuyer,whichisgivennolessthan30daysp
