requiredtothebankfornegotiation/collection:標(biāo)明通知收貨人/受貨代理人的全套清潔的、已裝船的、空白抬頭、空白背書(shū)并注明運(yùn)費(fèi)已付/到付的海運(yùn)/聯(lián)運(yùn)/陸運(yùn)提單。FullsetofcleanonboardOcean/CombinedTransportation/LandBillsofLadingandblankendorsedmarkedfreightprepaid/tocollect;標(biāo)有合同編號(hào)、信用證號(hào)(信用證支付條件下)及裝運(yùn)嘜頭的商業(yè)發(fā)票一式三份；SignedcommercialinvoiceinthreecopiesindicatingContractNo.,L/CNo.(TermsofL/C)andshippingmarks.裝箱或重量單一式三份Packinglist/weightmemointhreecopies商檢證書(shū)一式三份Commerciallnvoiceinthreecopies原產(chǎn)地證書(shū)一式三份CertificateofOriginC/Ointhreecopies裝運(yùn)通知的副本Thecopyoftheshippingnotice裝運(yùn)條款(TermsofShipment)：賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前20天通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物越過(guò)船弦并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。TheSellershall,20daysbeforetheshipmentdatespecifiedintheContract ce.IntheeventoftheSeller'sfailuretoeffectloadingwhenthevesselarrivesdulyattheloadingport,allexpensesincludingdeadfreightand/ordemurragechargesthusincurredshallbefortheSeller'saccount.裝運(yùn)通知(ShippingAdvice)：一但裝載完畢，賣(mài)方應(yīng)立即通知買(mǎi)方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車(chē)/機(jī)號(hào)及啟程日期等。TheSellershall,immediatelyuponthecompletionoftheloadingofthegoods,advisetheBuyeroftheContractNo.,namesofcommodity,loadingquantity,invoicevalues,grossweight,nam eofvesselandshipmentdateimmediatelyTransshipmentisallowedandpartialshipmentisprohibited.轉(zhuǎn)運(yùn)被允許，和分批裝運(yùn)被禁止。檢驗(yàn)(Inspection)：發(fā)貨前，制造廠(chǎng)應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗(yàn)，出具檢驗(yàn)證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。貨到目的港后，買(mǎi)方將申請(qǐng)中國(guó)商品檢驗(yàn)局(以下簡(jiǎn)稱(chēng)商檢局)對(duì)貨物的規(guī)格和數(shù)量/重量進(jìn)行檢驗(yàn)，如發(fā)現(xiàn)貨物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險(xiǎn)公司或輪船公司的責(zé)任外，買(mǎi)方得在貨物到達(dá)目的港后的10日內(nèi)憑商檢局出具的檢驗(yàn)證書(shū)向賣(mài)方索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計(jì)或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時(shí)，買(mǎi)方將委托中國(guó)商檢局進(jìn)行檢驗(yàn)。Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquality,specifications,performanceandq uantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipulationsinthisContract,exceptwhentheresponsibilitieslieswithInsuranceCompanyorShippingCompany,theBuyershall,within10daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamag eofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformancearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.索賠(Claim)：買(mǎi)方憑其委托的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方提出索賠(包括換貨)，由此引起的全部費(fèi)用應(yīng)由賣(mài)方負(fù)擔(dān)。若賣(mài)方收到上述索賠后30天未予答復(fù)，則認(rèn)為賣(mài)方已接受買(mǎi)方索賠。ThebuyershallmakeaclaimagainsttheSeller(includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSelle r.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSe llerfailtoreplywithin30daysaftertheSellerreceivedtheBuyer'sclaim.遲交貨與罰款(LatedeliveryandPenalty):除合同第21條不可抗力原因外，如賣(mài)方不能按合同規(guī)定的時(shí)間交貨，買(mǎi)方應(yīng)同意在賣(mài)方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時(shí)扣除，罰款率按每一天收0.02%，不足一天時(shí)以一天計(jì)算。但罰款不得超過(guò)遲交貨物總價(jià)的3%。如賣(mài)方延期交貨超過(guò)合同規(guī)定15天時(shí)，買(mǎi)方有權(quán)撤銷(xiāo)合同，此時(shí)，賣(mài)方仍應(yīng)不遲延地按上述規(guī)定向買(mǎi)方支付罰款。買(mǎi)方有權(quán)對(duì)因此遭受的其它損失向賣(mài)方提出索賠。ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat0.02%foreveryday,odddayslessthanonedaysshouldbecountedasonedays.Butthepenalty,however,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthedelayeddelivery.IncasetheSell erfailtomakedelivery15dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.不可抗力(ForceMajeure)：凡在制造或裝船運(yùn)輸過(guò)程中，因不可抗力致使賣(mài)方不能或推遲交貨時(shí)，賣(mài)方不負(fù)責(zé)任。在發(fā)生上述情況時(shí)，賣(mài)方應(yīng)立即通知買(mǎi)方，并在14天內(nèi)，給買(mǎi)方特快專(zhuān)遞一份由當(dāng)?shù)孛耖g商會(huì)簽發(fā)的事故證明書(shū)。在此情況下，賣(mài)方仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)4星期以上，買(mǎi)方有權(quán)撤銷(xiāo)合同。TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurrencementionedaboveandwithi n14daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptanceofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incaseth eaccidentlastsformorethan4weekstheBuyershallhavetherighttocanceltheContract.爭(zhēng)議的解決(Arbitration):凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiation.Incasenosettlementisreached,thedisputeshallbesubmitte dtoChinaInternationalEconomicandTradeArbitrationCommission（CIETAC）,ShenzhenCommissionforarbitrationinaccordancewithitsrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.通知（Notices）:所有通知通過(guò) UmmQsaar港，(卸貨港應(yīng)為非美國(guó)制裁的伊拉克港口)。在收到并確認(rèn)買(mǎi)方可操作的L/C后30日內(nèi)，賣(mài)方應(yīng)向買(mǎi)方發(fā)貨物準(zhǔn)備就緒通知書(shū)。AminimumloadrateofSEVENTHOUSANDMETRICTONS(7,000MT)perweatherworkingday(PWWD)isguaranteedbytheSeller.Alsobuyermustguaranteeberthingifhereceivesthearrivalnoticewithsevendaysinadvanee.Also,allunioadingchargesatperbuyer 'scostandrisk賣(mài)方應(yīng)保證最小的裝貨率是每晴天工作日
