(以下簡稱賣方)與Z公司--總公司設(shè)于美國紐約州紐約)于__日訂定，雙方同意按下述條件買賣下面貨物：貨物：女用雙折洋傘。COMMODITY:Ladiesdoublefoldingumbrellas.品質(zhì)：雙節(jié)鐵質(zhì)鍍鉻傘柄，單面QUALITY:2sectionshaft,ironandchromeplatedshaft,unichromeplatedribs,siliconedcoatedwaterproofplainnyloncoverwithsamenylonclothsack.Size:18”*10ribsAspersamplesubmittedtoBUYERS.數(shù)量：QUALITY:10,000(Tenthousand)dozenonly.單價及總金額：UNITPRICE:US$perdozenCIFNewYork.Totalamount:US$140,000(SayUSDollarsonehundredfortythousandonly)CIFNewYork.包裝：1打裝1盒，10盒裝1箱。PACKING:Onedozentoabox,10boxestoacarton.裝船嘜頭：SHIPPINGMARK:NEWYORKNo.1&Up7.裝運：__日前裝運，但以可接受的信用狀于 __月底前開到賣方為條件，容許分批裝運及轉(zhuǎn)運。SHIPMENT:TobeshippedonorbeforeDecember__subjecttoacceptableL/CreachesSELLERSbeforetheendof__,andpartialshipmentsallowed,transshipmentallowed.付款：憑一流銀行的不可撤銷的信用狀付款，信用狀以賣方為受益人，并照貨物金額100%開發(fā)。PAYMENT:Byaprimebanker’sirrevocablesightL/CinSELLERS’favor,for100%valueofgoods.保險：賣方應(yīng)洽保險，投保Ｂ款險并加保遺失竊盜險及兵險，保險金額按發(fā)票金額的100%投保，并須規(guī)定如有索賠應(yīng)在紐約以美金支付。INSURANCE:SELLERSshallarrangemarineinsurancecoveringICC(B)plusTPNDandwarriskfor110%oftheinvoicevalueandprovideforclaim,ifany,payableinNewYorkinUScurrency.檢驗：貨物須經(jīng)一家獨立公證行檢驗，其出具質(zhì)量及數(shù)量檢驗證明書應(yīng)為最后認定標(biāo)準。INSPECTION:Goodsistobeinspectedbyanindependentinspectorandwhosecertificateofqualityandquantityistobefinal.11.FLUCTUATIONSOFFREIGHT,INSURANCEPREMIUM,CURRENCY,ETC.運費、保險費、幣值等的變動(1)茲同意本契約內(nèi)所列價格全是以目前國際貨幣基金平價匯率 35元兌換美金元為準。倘若這項匯率在押匯時有任何變動，則價格應(yīng)根據(jù)這項變動比照調(diào)整及清償，俾賣方的臺幣收入不因而減少。ItisagreedthatthepricesmentionedhereinareallbaseduponthepresentIMFparityrateofNT$35tooneUSDollar.Incase,thereinanychangeinsuchrateatthetimeofnegotiatingdrafts,thepricesshallbeadjustedandsettledaccordingtothecorrespondingchangesoasnottodecreaseSELLERS ’proceedsinNTDollars.契約中所列價格全是以目前運費率及(或)兵險和水險保險費率為準。裝運時運費率及(或)保險費率如有增加，應(yīng)歸由買方負擔(dān)。Thepricesmentionedhereinareallbaseduponthecurrentrateoffreightand/orwarandmarineinsurancepremium.Anyincreaseinfreightand/orinsurancepremiumrateatthetimeofshipmentshallbeforBUYER ’Srisksandaccount.交貨前如原料及組成配件的成本增加甚巨，賣方保留調(diào)整契約中所列價格的權(quán)利。SELLERSreservetherighttoadjustthepricesmentionedherein,ifpriortodeliverythereisanysubstantialincreaseinthecostofrawmaterialorcomponentpart.稅捐等：對于貨物或包件、原料，或履行契約有關(guān)活動所課征的稅捐或規(guī)費，如由產(chǎn)地國課征，歸由賣方負擔(dān)；如由目的國課征，則歸由買方負擔(dān)。TAXESANDDUTIES,ETC.:Anyduties,taxesorleviesimposeduponthegoods,oranypackages,materialoractivitiesinvolvedintheperformanceofthecontractshallbeforaccountoforigin,andforaccountofBYUERSifimposedbythecountryofdestination.索賠：對所裝貨物如有索賠情事發(fā)生，則請求索賠的通知必須于貨物抵達卸貨港后即刻以書面提示賣方，并且必須給賣方有調(diào)查的機會。俏若運送船只到達卸貨港后 21天內(nèi)沒有提示這項預(yù)先的書面通知以及提供調(diào)查機會，則索賠應(yīng)不予受理。在任何情況下，賣方對于使用貨物引起的損害，或?qū)τ陂g接或特別的傷害，或?qū)τ诔鲨Υ秘浳锇l(fā)票金額的款項均不負責(zé)。CLAIMS:Intheeventofanyclaimarisinginrespectofanyshipment,noticeofintentiontoclaimshouldbegiveninwritingtoSELLERSpromptlyafterarrivalofthegoodsattheportofdischargeandopportunitymustbegiventoSELLERSforinvestigation.Failingtogivesuchpriornotificationandopportunityofinvestigationwithintwenty-one(21)daysafterthearrivalofthecarryingvesselattheportofdischarge,noclaimshallbeentertained.Inanyevent,SELLERSshallnoberesponsiblefordamagesthatmayresultfromtheuseofgoodsorforconsequentialorspecialdamages,orforanyamountinexcessoftheinvoicevalueofthedefectivegoods.不可抗力：因戰(zhàn)爭、封鎖、革命、暴動、民變、民眾騷擾、動員、罷工、工廠封鎖、天災(zāi)、惡劣氣候、疫病或其它傳染病、貨物因火災(zāi)或水災(zāi)而受毀壞、在交貨港因暴風(fēng)雨或臺風(fēng)而阻礙裝船，或在裝船前任何其它賣方所無法控制的事故發(fā)生，而致貨物的全部或一部份未能交貨，這未交貨部份的契約應(yīng)予取消。然而，在裝運期限截止前，如貨物業(yè)經(jīng)備妥待運，但因前述事故之一發(fā)生而致未能裝運，則買方于接到賣方請求時，應(yīng)以修改信用裝方式或其它方式延長裝運期限。FORCEMAJEURE:Non-deliveryofalloranypartofthemerchandisecausebywar,blockage,revolution,insurrection,civilcommotions,riots,mobilization,strikes,lockouts,actofGod,severeweather,plagueorotherepidemic,destructionofgoodsbyfireofflood,obstructionofloadingbystormortyphoonattheportofdelivery,oranyothercausebeyondSELLERS ’controlbeforeshipmentshalloperateascancellationofthesaletotheextentofsuchnon-delivery.However,incasethemerchandisehasbeenpreparedandreadyforshipmentdeadlinebuttheshipmentcouldnotbeeffectedduetoanyoftheabovementionedcauses,BUYERSshallextendtheshippingdeadlinebymeansofamendingrelevantL/Corotherwise,upontherequestofSELLERS.仲裁：有關(guān)本契約買賣雙方間所引起的任何糾紛、爭議或歧見，可付諸仲裁。這項仲裁應(yīng)于臺灣臺北舉行，并應(yīng)依仲裁協(xié)會規(guī)則處理及進行。ARBITRATION:Anydisputes,controversiesordifferenceswhichmayarisebetweentheparties,outof,orinrelationtoorinconnectionwiththiscontractmayberefereedtoarbitration.SucharbitrationshalltakeplaceinTaipei,Taiwan,RepublicofChina,andshallbeheldandshallproceedinaccordancewiththeruleoftheArbitrationassociationofRepublicofChina.16.適用法：本契約的成立、效力、解釋，以及履行均受 國法律管轄。PROPERLAW:Theformation,validity,
