4)optionalwellsafterfour(4)firmwellsatCOMPANY’Soptionsubjecttothefollowing:完成4口確定井的施工后，?承包商為公司施工4口待定井，這取決于以下情況：a)COMPANYshallgiveCONTRACTORawrittennoticeindicatingitsexercisingofitsoptionthatCONTRACTORmakesRigavailabletodrilloptionalwellsatCOMPANY’Sdesignatedlocations,subjectto(b)hereunder.1)公司書面通知承包商，表明其施工4口待定井的決定。承包商的鉆機(jī)能夠在以下2)款條件下動(dòng)遷到公司指定的待鉆井井場。b)CONTRACTORshallmaketheRigavailabletodrillatCOMPANY’Slocation(s)afteronemonthfromthedateofthesaidnotice,oruponthedateofthefirstreleaseoftheRigfromanythirdpartycurrentoperationswhicheverdateislater.2)承包商接到公司上述通知一月后或其鉆機(jī)一旦從當(dāng)前施工的任何第三方釋放，以遲后的日期為準(zhǔn)，承包商能夠?qū)@機(jī)動(dòng)遷到公司指定的井場。c)TheTermsandConditionsofthisContractshallapply,asis,totheoptionalwell(s).3)本合同當(dāng)前的條款同樣適用于待定井。Clause2.3Termination合同終止2.3.1COMPANYmay,atitsoption,terminatethisContractwithoutobligationorliabilitytoCONTRACTORifCONTRACTOR’SRighasnotarrivedatCOMPANY’SfirstlocationreadytospudawelllocationdesignatedbyCOMPANYwithinonemonthaftersigningtheContract.Inthatcase,CONTRACTORshallnotbeentitledtoanypaymentswhatsoeverfromCOMPANY.簽訂合同后一個(gè)月內(nèi)，如果承包商沒有把鉆機(jī)動(dòng)遷到公司指定的第一口井井場，沒有做好開鉆準(zhǔn)備，公司有權(quán)選擇終止該合同。在這種情況下公司對(duì)承包商?不負(fù)任何責(zé)任或義務(wù)，承包商無權(quán)向公司索償任何款項(xiàng)。2.3.2IntheeventtheRigbecomesatotalloss(whichshallalsoincludeconstructivearrangedand/orcompromisedtotalloss)thisContractshallterminatewithoutnoticeandsuchterminationshallbeeffectiveasofthetimewhentheRigceasesdrillingoperationswithinthescopeofthisContractandnofurtherpaymentsshallbepayabletoCONTRACTORexceptforexpensesalreadyincurred.CONTRACTORshallberesponsible,atitsexpense,fortheremovaloftheRiganditsequipmentintheeventofsuchloss.在承包商鉆機(jī)全部滅失的情況下(包括推定全損和約定全損),本合同將終止而無需通知承包商。在合同工作范圍內(nèi)，鉆機(jī)停止施工的時(shí)間為合同終止的有效時(shí)間。除去已發(fā)生的費(fèi)用外，合同終止后，承包商不再享受公司的任何償付。在這種情況下，承包商自付費(fèi)用把其鉆機(jī)和設(shè)備運(yùn)離現(xiàn)場。2.3.3Intheevent,foranyreason(including,butnotlimitedto,ForceMajeure),theRigfailstobegintheWorkatthedesignateddrillinglocationwithinseven(7)daysfromtheCommencementDate,thenCOMPANYshallhavetheoptionofterminatingthisContracteffectiveupongivingwrittennoticetotheCONTRACTOR.不管出于任何原因（包括，但不限于不可抗力），如果鉆機(jī)在起始日7天后沒能在指定的井場開工，那么，公司可書面通知承包商立即終止合同。2.3.4COMPANYshallhavetherighttoterminatethisContractuponfifteen(15)daysadvancewrittennoticeintheeventthatperformanceofdrillingoperationsisdelayedorpreventedforreasonsofForceMajeure(asdefinedhereinafter)foraperiodofthirty(30)consecutivedays,orintheeventdrillingoperationscannotbeperformedbecauseof,orinconnectionwith,repairsormodificationstoCONTRACTOR’SRigorequipmentwhichexceedorareexpectedtoexceedthirty(30)days.如果由于不可抗力(如下所述)致使施工延遲或受阻連續(xù)達(dá)30天，或者由于承包商鉆機(jī)、設(shè)備修理、整改，或與修理、整改有關(guān)的時(shí)間超過或預(yù)計(jì)超過連續(xù)30天，公司有權(quán)提前15天書面通知承包商終止該合同。2.3.5IntheeventCONTRACTOR,makesanassignmentforthebenefitofcreditors,makesanarrangement,composition,orcompromisewithitscreditorsunderanyapplicablelawsorhasareceiverappointedinrespectofthewholeoranypartofitsassets,thenCOMPANYshallbeentitled(withoutprejudicetoitsotherrightsorremedies)forthwithtoterminatethisContractbynoticeinwritingtoCONTRACTOR.COMPANY’SselectiontoterminatethisContractshallnotrelieveCONTRACTORofitsobligationstotakesuchactiontoprotectthewellonwhichCONTRACTORisthenatWorkasCOMPANYmayindicate.如果承包商破產(chǎn)，為了清償債務(wù)而轉(zhuǎn)讓，根據(jù)某一適用的法律與債權(quán)人達(dá)成協(xié)議、和解或契約，或委任接收人接管其全部或部分資產(chǎn)，公司有權(quán)書面通知承包商立即終止合同（不影響公司享有的其他權(quán)利或補(bǔ)救措施）。公司選擇終止本合同并不免除承包商采取措施保護(hù)正在施工井井身的義務(wù)。2.3.6IntheeventCOMPANYelectstoterminatethisContractundertheprovisionsofthisArticleII,theCOMPANYwillnotbeliableforpaymentofanydailyratesunderthisContractwithrespecttoanyperiodfollowingtheeffectivedateofsuchtermination.如果公司根據(jù)本合同第二條款終止合同，公司無義務(wù)支付承包商合同有效期終止后的任何日費(fèi)。2.3.7CONTRACTORmay,atitsoption,terminatethisContractuponfifteen(15)daysadvancewrittennoticeincaseofnonpaymentofCONTRACTORundisputedmonthly“dailyrates”Invoiceswithin60daysaftertheInvoiceduedate,CONTRACTORwillreleasethewellwithoutunduehazard.如果承包商提交的發(fā)票無異議，到期后60天內(nèi)仍未得到償付時(shí)，承包商可提前15天書面通知公司終止本合同。然后，承包商安全地將其設(shè)備運(yùn)離井場。ARTICLEIII-MOBILIZATION,DEMOBILIZATION第三條款?動(dòng)遷、遷返Clause3.1Mobilization動(dòng)遷CONTRACTORshallbepaidlumpsumofU.S$285,850(Twohundredandeighty-fivethousandeighthundredandfiftyU.SDollars)formobilizingtheRiganditsPersonneltotheCOMPANY’SfirstdesignateddrillinglocationfromZaafarnaDoverfield.承包商把其鉆機(jī)和人員從扎發(fā)臘那道沃爾油區(qū)動(dòng)遷到公司指定的第一口井場，公司付給承包商動(dòng)遷費(fèi)285,850美元(貳拾捌萬伍千捌佰伍拾美元)。Clause3.2Demobilization遷返費(fèi)CONTRACTORshallprovideforandbearforitsownaccountthecostofdemobilizingtheRiganditsPersonnelfromtheCOMPANY’Sdrillinglocation(s)aftertheCOMPANYhasreleasedtheRig.CONTRACTORshallbearandpayforallcosts,expensesandfeesincurredintransportingtheRigfromitslastdrillinglocationincluding,butnotlimitedto,alltrucking,towing,exportandallportchargesandfeesifapplicable.公司釋放鉆機(jī)后，承包商自負(fù)費(fèi)用將其鉆機(jī)和人員從公司的井場遷返。承包商承擔(dān)從公司最后一個(gè)井場撤離運(yùn)輸過程中發(fā)生的所有費(fèi)用，包括但不限于卡車、拖車、出口費(fèi)用以及可能涉及的所有港口費(fèi)和手續(xù)費(fèi)。4.1.2CONTRACTORshallalsoprovideatitsexpenseanyitemsofequipment,spareparts,supplies,services,orPersonnelwhicharenotmentionedinAppendices"A","B"or"C",butwhicharerequiredfortheoperationandmaintenanceofCONTRACTOR’SRigandequipmentfornormalonshoredrillingoperations,accordingtogoodoilfieldpractice.對(duì)于附件AB和C中沒有明確規(guī)定的設(shè)備、備用件、?材料、?服務(wù)或人員，但，根據(jù)通行的油田慣例，為了正常的陸地鉆井施工，為了承包商鉆機(jī)及設(shè)備的運(yùn)行和維護(hù)，又需要這些設(shè)備、備用件、材料、?服務(wù)或人員，承包商應(yīng)自付費(fèi)用提供這些項(xiàng)目。Clause4.2PersonnelandAdditionalLabor人員和額外的用工COMPANYrequiresallpersonnelinthepositionofrigmanagerandtoolpusherstobeinpersonalpossessionofavalidwellcontrolcertificate,IADC/WellCaporIWCF.COMPANYalsorequiresthatCONTRACTOR’Ssupervisorypersonnel,includingsuperintendents,toolpushersanddrillersmusthaveaworkingknowledgeofEnglish.公司要求平臺(tái)經(jīng)理、帶班隊(duì)長的崗位人員具有國際鉆井承包商協(xié)會(huì)或國際井控協(xié)會(huì)頒發(fā)的有效井控證書，要求承包商的監(jiān)督管理人員，包括總監(jiān)、帶班隊(duì)長和司鉆必須具有一定的專業(yè)英語知識(shí)。4.2.2IntheeventCOMPANYrequestsadditionalCONTRACTORlabor,COMPANYagreestopayCONTRACTOR’Sactual,documentedcostsincurredbyCONTRACTORasaresultofsuchadditionalCONTRACTORlaborinaccordancewithCONTRACTOR’Susualemploymentandaccountingpracticesincluding,butnotlimitedto,allcompensation,employeebenefitsandallowances,cateringandtransportationcosts,plus10%ofsuchcosts.AnyadditionallaboremployedbyCONTRACTORpursuanttothissub-clauseshallbeconsideredCONTRACTOR’SPersonnelforthepurposesofthisContract.如果公司要求承包商提供額外的勞工，公司同意償付承包商由此實(shí)際發(fā)生的、有文件證明的費(fèi)用外加10%的手續(xù)費(fèi),。根據(jù)承包商的雇用合同和會(huì)計(jì)慣例，這些費(fèi)用包括但不限于額外勞工的工資、福利、津貼、餐飲及交通費(fèi)用。為履行本合同，承包商根據(jù)本款雇用的任何額外的勞工應(yīng)視為承包商的雇員。Clause4.3PersonnelBenefits員工福利CONTRACTORshallberesponsibleforprovidingallhealthandwelfarerequirementsofitsPersonnelincludinghousing,food,medicalattention,andotherbenefits,includinganybenefitsrequiredbythesociallegislationorregulationofanycountryhavingjurisdictionovertheRig,theWork,COMPANYorCONTRACTOR.承包商負(fù)責(zé)其人員，包括食宿、醫(yī)療和其他津貼在內(nèi)的保健和福利，包括對(duì)“鉆機(jī)”、“施工”、公司或承包商有管轄權(quán)的任何國家的社會(huì)法律或制度要求的各種津貼。Clause5.3CalculationandFinalityofRates日費(fèi)的計(jì)算和最終決定TheRatesquotedinClause5.2shallbecalculatedtothenearesthalf-hour(1/2)andCOMPANYshalldeterminetheeffectivedate,houranddurationofeachapplicablerate.ThereshallbenorateincreasesduringtheContractPeriodtodrillfour(4)firmwellsandfour(4)optionalwells.Anyextrawell(s)willbesubjectedto10%abovethecontractrates.5.2條款中各種日費(fèi)的計(jì)算精確到半小時(shí)，公司決定每類日費(fèi)的有效日期、鐘點(diǎn)及其持續(xù)時(shí)間。在施工4口確定井和4口待定井的整個(gè)合同期間，各類日費(fèi)保持不變。施工任何合同以外的井，日費(fèi)增加本合同日費(fèi)的10%。Clause5.4CostsAssociatedwithShelteredInspections/Repairs.與工廠檢修/修理有關(guān)的費(fèi)用IntheeventtheRigistakeninforinspectionandrepair,maintenance,structuralmodificationsorrepairsofstructuraldefects,therelatedrepaircostsandexpenseswillbeforCONTRACTOR’Saccount;andtheratespayablehereundershallbereducedtozerountiltheRigreturnsandresumesoperations.如果鉆機(jī)被送到工廠檢修、保養(yǎng)、整改結(jié)構(gòu)或修理結(jié)構(gòu)缺陷，承包商負(fù)責(zé)與修理有關(guān)的成本和花費(fèi)。根據(jù)本合同，各種應(yīng)付日費(fèi)均應(yīng)為零，直到鉆機(jī)返回井場恢復(fù)施工為止。Clause5.5AdditionalInspectionsRequestedbyCOMPANY公司要求的額外檢測TheprovisionsofClause5.4hereofshallnotbeapplicablewithrespecttoadditionalorincidentalinspections,requestedbyCOMPANY,whicharenotrequiredundertheprovisionsofthisContract.Duringanysuchadditionalcompanyrequestedinspections,theRepairRateshallbeapplicable.對(duì)于合同沒有要求的，但公司要求的額外或隨機(jī)檢查不適用于以上5.4條款。公司要求的任何額外檢查適用于修理日費(fèi)。Clause5.6SitePreparationsandRoadconstruction井場準(zhǔn)備和道路施工CONTRACTORshallmakethesitepreparationandconstructtheaccessroadsasperCOMPANYspecificationsuponawrittenrequestfromtheCOMPANY.CONTRACTORShavetherightstousetheirsubcontractorsundertheCONTRACTORSresponsibility.SitepreparationschargewillbesubmittedtotheCOMPANYinduetime.一經(jīng)公司書面要求，承包商應(yīng)根據(jù)“公司的標(biāo)準(zhǔn)修建井場及進(jìn)入井場的道路。承包商有權(quán)根據(jù)其職責(zé)雇用分包商。承包商應(yīng)及時(shí)提交給公司修建井場和進(jìn)入道路的費(fèi)用發(fā)票。ARTICLEVITAXES第六條款?稅務(wù)Clause6.1CONTRACTOR’SObligationstoPayTaxesAssessed.承包商的納稅義務(wù)CONTRACTORshallpayalltaxesassessedagainstCONTRACTORinconnectionwiththeWorkperformedorequipmentfurnishedbyCONTRACTORhereunder(exceptasotherwisehereinprovided)andagreestoindemnifyCOMPANYandholdCOMPANYsafeandharmlessagainstanyandallclaimsorliabilityforincome,excessprofits,andothertaxes,andfines,penaltiesandinterestthereonassessedorleviedbytheEgyptianGovernmentoranypoliticalsubdivisionsthereoforbythegovernmentofanyothercountryorpoliticalsubdivisionsthereofagainstCONTRACTORorCONTRACTOR’Ssub-contractorsoragainstCOMPANYfor,oronaccountof,anypaymentmadeto,orearnedby,CONTRACTORorCONTRACTOR’Ssub-contractorsinrespectoftheWork/servicesperformedhereunder.承包商應(yīng)繳納與施工或施工設(shè)備有關(guān)的，理應(yīng)繳納的所有稅款（除非本合同另有說明），同意保證公司不受損害，并保障公司免于任何索賠，免于因收入和超額利潤引起的責(zé)任，免于因公司，關(guān)于合同的施工和服務(wù)，而付款；承包商、承包商的分包商收款，由埃及政府或任何政府部門、其他國家政府或任何政府部門對(duì)承包商、承包商的分包商或公司而征收的所得稅、超額利潤稅、以及其他各種稅款、罰款、罰金和由此產(chǎn)生的利息。CONTRACTORfurtheragreestoprotectandkeepCOMPANYsafeandharmlessfromalltaxesandrelatedfines,penalties,andinterestthereonassessedorleviedagainstoronaccountofwages,salariesorotherbenefitspaidtoanyofCONTRACTOR’Semployeesoremployeesofitssub-contractors,andalltaxesassessedorleviedagainstoronaccountofanypropertyorequipmentofCONTRACTORorofitssub-contractors.承包商還同意保護(hù)公司免于，由于?承包商支付其雇員或其分包商雇員的工資、薪水或其他津貼，和由于承包商或其分包商的財(cái)產(chǎn)或設(shè)備而征收的各種稅、有關(guān)的罰款、罰金以及由此產(chǎn)生的利息。ARTICLEXIWORKINGCONDITIONS第十一條?工作條件Clause11.1InstructionbyCOMPANY公司指令CONTRACTOR,withoutprejudicetotheprovisionofClause11.3,shallcomplywithallinstructionsoftheCOMPANY,whichmayfromtimetotimebegivenandwhichareconsistentwiththeprovisionsofthisContract,andshallbesubjecttoinstructionsbygovernmentagencies,classificationsocietiesandunderwriters.SuchinstructionswillbeconfirmedinwritingbyCOMPANYandmayincludeinstructionsastodrilling,completionandworkovermethodsorceasingoperationsinprogress.在不影響11.3條款下，承包商應(yīng)遵守公司發(fā)出的所有指令。公司根據(jù)本合同條款經(jīng)常給承包商發(fā)出指令，這些指令受政府機(jī)構(gòu)、船級(jí)社和保險(xiǎn)人的制約。這些指令可能包括對(duì)正在進(jìn)行中的鉆井、完井、修井方法和停止施工的指令，都將由公司書面確認(rèn)。Clause11.2ScopeofOperations施工范圍SubjecttoArticleIIIherein,CONTRACTORshallberesponsibleforarrangingforthetransportationoftheRiganditsrequiredpersonneltothefirstdrillinglocation,thecompleteoperationsoftheRigandfortheoveralldirectionofthemovingoperationsbetweenlocationsandfromthelastlocation.EachdrillinglocationwillbeidentifiedbytheCOMPANY.TheCONTRACTORshalldrill,deepen,workover,test,
