英文技術(shù)服務(wù)合同

TechnicalServiceContract

ThisTechnicalServiceContract(the“Agreement”)isenteredintoon________(the“EffectiveDate”)byandbetween________(the“Customer”),withitsprincipalplaceofbusinessat________,and________(the“ServiceProvider”),withitsprincipalplaceofbusinessat________.

1.Services

TheServiceProvideragreestoprovidetechnicalservicestotheCustomerasdescribedinExhibitA(the“Services”).TheServiceswillbeperformedbyqualifiedpersonnelunderthedirectionoftheServiceProvider.TheServiceProviderwilluseitsbesteffortstoprovidetheServicesinatimely,efficient,andprofessionalmanner.

2.Payment

TheCustomerwillpaytheServiceProviderassetforthinExhibitA.ThefeesfortheServicesareduewithinthirty(30)daysofthedateoftheinvoice.TheCustomerwillalsoreimbursetheServiceProviderforallreasonableanddocumentedexpensesincurredinconnectionwiththeServices.

3.TermandTermination

ThisAgreementwillcommenceontheEffectiveDateandwillcontinueuntiltheServicesarecompleted.EitherpartymayterminatethisAgreementuponwrittennoticeiftheotherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysofthewrittennotice.

4.Confidentiality

TheServiceProviderwillmaintaintheconfidentialityofallinformationdisclosedbytheCustomeroritsaffiliatesinconnectionwiththeServices.TheServiceProviderwillnotusesuchinformationforanypurposeotherthantoperformtheServicesandwillnotdisclosesuchinformationtoanythirdpartieswithouttheCustomer’spriorwrittenconsent.

5.LimitationofLiability

TheServiceProviderwillnotbeliabletotheCustomeroranythirdpartyforanyindirect,special,consequential,orincidentaldamagesarisingoutoforinconnectionwiththisAgreementortheServices,regardlessofthecauseofaction.TheServiceProvider’sliabilitytotheCustomerforanyclaimarisingoutoforinconnectionwiththisAgreementortheServiceswillbelimitedtothefeespaidbytheCustomerfortheServices.

6.GoverningLawandJurisdiction

ThisAgreementwillbegovernedbyandconstruedinaccordancewiththelawsoftheStateof________withoutgivingeffecttoanychoiceoflaworconflictingprovisionorrule.AnylegalactionarisingoutoforinconnectionwiththisAgreementwillbebroughtexclusivelyinthestateorfederalcourtslocatedin________.

7.Assignment

NeitherpartymayassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptthattheServiceProvidermayassignthisAgreementtoanaffiliateortoasuccessorininteresttoallorsubstantiallyallofitsbusiness.

8.EntireAgreementandAmendments

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.ThisAgreementmaynotbeamendedexceptinwritingsignedbybothparties.
