英文產(chǎn)品采購(gòu)合同范本

ProductPurchaseAgreement

ThisProductPurchaseAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[date],byandbetween:

[CompanyName],acompanydulyincorporatedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoasthe"Buyer"),

and

[SupplierName],acompanydulyincorporatedandexistingunderthelawsof[country],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoasthe"Supplier").

WHEREAS,theBuyerisengagedinthebusinessof[specifybuyer'sbusiness];

WHEREAS,theSupplierisengagedinthebusinessofmanufacturingandsupplying[specifysupplier'sproducts];

WHEREAS,theBuyerdesirestopurchasecertainproductsfromtheSupplier,andtheSupplieragreestoselltheproductstotheBuyer,subjecttothetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:

1.ProductSpecifications

1.1TheBuyershallprovidetheSupplierwithdetailedspecificationsoftheproductstobepurchased.Thesespecificationsshallinclude,butshallnotbelimitedto,quantity,quality,size,design,andanyotherrelevanttechnicaldetails.

1.2TheSuppliershallmanufacturetheproductsstrictlyinaccordancewiththespecificationsprovidedbytheBuyer.

2.PurchaseOrders

2.1TheBuyershallsubmitpurchaseorderstotheSupplierspecifyingthedesiredquantityofproducts,deliverydate,andanyotherrelevantdetails.

2.2TheSuppliershallacknowledgereceiptofthepurchaseorderwithin[number]daysandconfirmitsacceptanceoftheorder.

2.3Anychangesormodificationstopurchaseordersshallbeagreeduponinwritingbybothparties.

3.PriceandPayment

3.1Thepriceoftheproductsshallbeasagreeduponbythepartiesandspecifiedineachpurchaseorder.

3.2PaymentshallbemadebytheBuyertotheSupplierwithin[number]daysfromthedateofdeliveryoftheproducts.

3.3Latepaymentsshallaccrueinterestatarateof[rate]%permonthorthemaximumallowablerateunderapplicablelaw,whicheverislower.

4.DeliveryandAcceptance

4.1TheSuppliershalldelivertheproductstotheagreed-uponlocationonorbeforethedeliverydatespecifiedineachpurchaseorder.

4.2TheBuyershallinspecttheproductsupondeliveryandshallnotifytheSupplierofanydefectsordiscrepancieswithin[number]daysfromthedateofdelivery.

4.3IftheBuyerfailstonotifytheSupplierwithinthespecifiedtimeframe,theproductsshallbedeemedaccepted.

5.Warranty

5.1TheSupplierwarrantsthattheproductsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[number]monthsfromthedateofdelivery.

5.2Intheeventofanydefectscoveredunderwarranty,theSuppliershall,atitssolediscretion,repair,replace,orrefundthedefectiveproducts.

6.IntellectualProperty

6.1TheSupplierrepresentsandwarrantsthattheproductsdonotinfringeupontheintellectualpropertyrightsofanythirdparty.

6.2TheBuyershallindemnifyandholdtheSupplierharmlessagainstanyclaims,damages,orexpensesarisingoutofanyallegedinfringementofintellectualpropertyrights.

7.Confidentiality

7.1BothpartiesshallkeepallconfidentialinformationreceivedfromtheotherpartystrictlyconfidentialandshallnotdiscloseorusesuchinformationforanypurposeotherthantheperformanceofthisAgreement.

8.Termination

8.1EitherpartymayterminatethisAgreementupon[number]days'writtennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.

8.2Terminationshallnotrelieveeitherpartyofanyobligationsincurredpriortotheeffectivedateoftermination.

9.GoverningLawandJurisdiction

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country].

9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbeexclusivelysubmittedtothejurisdictionofthecourtsof[country].

10.EntireAgreement

10.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten.
