EndUserLicensingAgreementThisENDUSERSOFTWARELICENSEAGREEMENT(this“Agreement”)ismadebyandbetweenPEREGRINEVISUALSTORY .,a inOntarioCanada,(“PeregrineLabs”),andyou,aseitheranindividualorasingleentity(“Licensee”).onsiderationofthemutualcovenantscontainedhereinandforothergoodandvaluableconsideration(thereceiptandsufficiencyofwhichisacknowledgedbyeachpartyhereto)thepartiesagreeasfollows:SECTION1.LICENSESubjecttothelimitationsofSection2,PeregrineLabsherebygrantstoLicenseealimited,non-exclusiveandnon-transferablelicensetoinstallanduseamachinereadable,objectcodeversionofthissoftwareprogram(the“Software”)alongwiththe ationandsupportingmaterial(collectively,the ation”)solelyforLicensee'sowninternalbusinesspurposes(collectively,the“License”);provided,however,License ghttoinstallandusetheSoftwareandthe ationislimitedtothoserightsexpresslysetoutinthisAgreement.snotexpresslygrantedhereunderare byPeregrineLabs.SECTION2.RESTRICTIONSONWithoutPeregrineLabs’spriorwrittenconsent,Licenseeshallassign,sublicense,transfer,pledge,lease,rent,shareorexporttheSoftware,the ationor ghtshereunder;alterorcircumventthecopyprotectionmechanismsintheSoftwareorreverseengineer, disassembleorotherwiseattempttodiscoverthesourcecodeoftheSoftware;modify,adapt,translateorcreatederivativeworksbasedontheSoftware use,orallowtheuseof,theSoftwareor ationonanyprojectotherthanaprojectproducedbyLicensee(an“AuthorizedProject”);alloworpermitanyone(otherthanLicenseeandLicensee'sauthorizedemployeestotheextenttheyareworkingonanAuthorizedProject)touseorhaveaccesstotheSoftwareor copyorinstalltheSoftware ationotherthan presslyprovidedforherein;takeanyaction,orfailtotakeaction,thatcouldadverselyaffectthe s,servicemarks,patents,tradesecrets,copyrightsorotherin lectualpropertyrightsofPeregrineLabs.Furthermore,forpurposesofthisSection2,theterm“Software”shall ludeanyderivativesoftheSoftware.LicenseeshallinstallanduseonlyasinglecopyoftheSoftwareononecomputer,unlesstheSoftwareisinstalledina“floatinglicense”environment,inwhichcaseLicenseemayinstalltheSoftwareonmorethanonecomputer;provided,however,Licenseeshallnotatany imeusemorecopiesoftheSoftwarethanthetotalnumberofvalidSoftwarelicensespurchasedbyLicensee. IntheeventwhereLicenseepurchasesasi icenseoftheSoftwaretheLicenseewillbegranted9999(ormoreifspecificallyrequestedbytheLicensee)floatinglicensesoftheSoftwareperlocation(asinglephysicallicenseserverservinglicensestomachinesatthesameaddress).SECTION3.BACK-UPNotwithstandingSection2,LicenseemaystoreonecopyoftheSoftwareand ationoff-lineandoff-siteinasecuredlocationownedorleasedbyLicenseeinordertoprovideaback-upforarchivalpurposes.InnoeventmayLicenseeusetheback-upcopyoftheSoftwareor ationtocircumventtheusageorotherlimitationssetforthinthisAgreement.LicenseeacknowledgesthattheSoftwareand ationandallin theretoareandshallremainthesolepropertyofPeregrineLabs.Licenseeshallnotremove,orallowthe ludedinandontheSoftwareor ortakeanyotheractionthatcouldadverselyaffectthepropertyrightsofPeregrineLabsoranyThirdPartyLicensor.TotheextentthatLicenseeisauthorizedtomakecopiesoftheSoftwareor ationunderthisAgreement,Licenseeshallreproduceinandonallsuchcopiesanycopyrightand/orotherproprietaryrightsnoticesprovidedinandonthematerials dbyPeregrineLabshereunder.NothinginthisAgreementshallbedeemedtogiveLicenseeanyrightsinthe s,servicemarks,patents,tradesecrets,copyrightsorotherin lectualpropertyrightsofPeregrineLabsoranyThirdPartyLicensor,andLicenseeshallbestrictlyprohibitedfromusingthename, sorservicemarksofPeregrineLabsoranyThirdPartyLicensorin SECTION5.LICENSELicenseeunderstandsthatthebenefitsgrantedtoLicenseehereunderarecontingentuponLicensee'spaymentinfullofthelicensefeepayable onnectionherewith(the“LicenseFee”).AslongasLicenseepaystheapplicablefeeforannualsupport,upgradesandupdates(“AnnualUpgradeandSupportProgram”),PeregrineLabsoritsauthorizedresellerwillprovideLicenseewithaccesstoupgradesandupdates,ifany,madeavailablebyPeregrineLabsonthetermsandconditionssetforthinthisAgreement,unlesssuchupgradeorupdatecontainsasepara icense.Thetermshallbeginuponthedateofpurchaseandcontinuefor12months,unlessotherwiseexpresslyagreedtoinwritingbyPeregrineLabs.SECTION7.TAXESANDLicenseeagreestopay,andindemnifyPeregrineLabsfromclaimsfor,anylocal,stateornationaltax(exclusiveoftaxesbasedo e),duty,tarifforotherimpostrelatedtoorarisingfromthetransactioncontemtedbythisAgreement.PeregrineLabswarrantsthat,foraperiodofn y(90)daysafterdeliveryoftheSoftware:(a)themachinereadableelectronicfilesconstitutingtheSoftwareand ationshallbe fromerrorsthatmayarisefromtheelectronicfiletransferfromPeregrineLabsand/oritsauthorizedresellertoLicensee;and(b)tothebestofPeregrineLabs'sknowledge,Licensee'suseoftheSoftwareinaccordancewiththe not,inandofitself,infringeanythirdparty'scopyright,patentorotherin lectualpropertyrights.Exceptaswarranted,theSoftwareand ationisbeingprovided“asis.”THEFOREGOINGLIMITEDWARRANTYISINLIEUOFALLOTHERWARRANTIESORCONDITIONS,EXPRESSORIMPLIED,ANDPEREGRINELABSDI MERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,REGARDLESSOFWHETHERPEREGRINELABSKNOWSORHASREASONTOKNOWOFLICENSEE'SPARTICULARNEEDS.PeregrineLabsdoesnotwarrantthattheSoftwareor Licensee'suseoftheSoftwarewillbeuninterruptedorerror .NoemployeeoragentofPeregrineLabsisauthorizedtomodifythislimitedwarranty,nortomakeadditionalwarranties.Noactionforanybreachoftheabovelimitedwarrantymaybecommencedmorethanone(1)yearafterLicensee'sinitialreceiptoftheSoftware.Totheextentanyimpliedwarrantiesmaynotbedi edunderapplicablelaw,thenANYIMPLIEDWARRANTIESARELIMITEDINDURATIONTON Licenseeagreestoindemnify,holdharmlessanddefendPeregrineLabsandPeregrineLab'saffiliates,officers,directors,shareholders,employees,authorizedresellers,agentsandotherrepresentatives(collectively,the“ReleasedParties”)fromallclaims,defensecosts( luding,butnotlimitedto,attorneys'fees),judgments,settlementsandotherexpensesarisingfromorconnectedwiththeoperationofLicensee'sbusinessorLicensee'spossessionoruseoftheSoftwareor InnoeventshalltheReleasedParties'cumulativeliabilitytoLicenseeoranyotherpartyforanylossordamagesresultingfromanyclaims,demandsoractionsarisingoutoforrelatingtothisAgreement(ortheSoftwareor ationcontemtedherein)exceedthecostofasinglelicensepreviouslypaidtoPeregrineLabsoritsauthorizedresellerforuseoftheSoftware.Furthermore,INNOEVENTSHALLTHERELEASEDPARTIESBELIABLETOLICENSEEUNDERANYTHEORYFORANYINDIRECT,SPECIAL,AL,PUNITIVE,EXEM LOSSOFBUSINESSORLOSSOFPROFITS)ORTHECOSTOFPROCUREMENTOFSUBSTITUTEGOODSORSERVICES,REGARDLESSOFWHETHERTHERELEASEDPARTIESKNOWORHAVEREASONTOKNOWOFTHEPOSSIBILITYOFSUCHDAMAGESANDREGARDLESSOFWHETHERANYREMEDYSETFORTHHEREINFAILSOFITSESSENTIALPURPOSE.NoactionarisingoutoforrelatedtothisAgreement,regardlessofform,maybebroughtbyLicenseemorethanone(1)yearafterLicensee'sinitialreceiptoftheSoftware;provided,however,totheextentsuchone(1)yearlimitmaynotbevalidunderapplicablelaw,thensuchperiodshalllimitedtotheshortestperiodallowedbylaw.SECTIONThisAgreementiseffectiveuponLicensee'sacceptanceofthetermshereof(bydownloadingthesoftwarefromPeregrineLabswebsite)andLicensee'spaymentoftheLicenseFee,andtheAgreementwillremainineffectuntiltermination.IfLicenseebreachesthisAgreement,PeregrineLabsmayterminatetheLicensegrantedhereunderbynoticetoLicensee.IntheeventtheLicenseisterminated,LicenseewilleitherreturntoPeregrineLabsallcopiesoftheSoftwareand ationinLicensee'spossessionor,ifPeregrineLabsdirectsinwriting,destroyallsuchcopies.Inthelatercase,ifrequestedbyPeregrineLabs,LicenseeshallprovidePeregrineLabswitha signedbyanofficerofLicenseeconfirmingthattheforegoingdestructionhasbeen LicenseeagreesthattheSoftwareand ationareproprietaryand informationofPeregrineLabsandthatallsuchinformationandanycommunicationsrelatingthereto(collectively,“Information”)are andafundamentalandimportanttradesecretofPeregrineLabsLicenseeshall InformationonlytoLicensee'semployeeswhoareworkingonanAuthorizedProjectandhavea“need-to-know”such Information,andshalladviseanyrecipientsof thatitistobeusedonlyasauthorizedinthisAgreement.Licenseeshallnotdisclose Informationorotherwisemakeany InformationavailabletoanyotherofLicensee'semployeesortoanythirdpartieswithouttheexpresswrittenconsentofPeregrineLabsLicenseeagreestosegregate,totheextentitcanbereasonablydone,the Informationfromthe ordertopreventcommingling.Licenseeshalltakereasonablesecuritymeasures,whichsu easuresshallbeatleastasgreatasthemeasuresLicenseeusestokeepLicensee'sown informationsecure(butinanycaseusingnolessthanareasonabledegreeofcare),toholdtheSoftware, Informationinstrictconfidenceandsafecustody.PeregrineLabsmayrequest,inwhichcaseLicenseeagreestocomplywith,certainreasonablesecuritymeasuresaspartoftheuseoftheSoftwareandation.Licenseeacknowledgesthatm unauthorizeddisclosureof Information,andthatPeregrineLabsshallbeentitled,withoutwaivinganyotherrightsorremedies,tosuchinjunctiveorequitablereliefasmaybedeemedproperbyacourtofcompetentjurisdiction.LicenseeshalladvisePeregrineLabsondemandofalllocationswheretheSoftwareor ationisusedorstored.LicenseeshallpermitPeregrineLabsoritsauthorizedagentstoinspectallsuchlocationsduringnormalbusinesshoursandonreasonableadvancenotice.Sections2,4,5,7,8,9,10,11,13,14,15,16,17,18and19shallsurviveanyterminationorexpirationofthisTotheextentthatanySoftwaremadeavailablehereunderissubjecttorestrictionsuponexportand/orreexportfromtheUnitedStates,LicenseeagreestocomplywithallexportlawsandrestrictionsandregulationsoftheUnitedStatesDepartmentofCommerceorotherUnitedStatesorothersovereignagencyorauthority, ludingtheUnitedState portAdministrationRegulations,andnottoexport,orallowtheThisAgreementistheexclusiveagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesanyandallpriororalorwrittenagreements,negotiations,orotherdealingsbetweenthepartiesconcerningsuchsubject.ThisAgreementmaybemodifiedonlybyawritteninstrumentsignedbybothparties.IfanyactionisbroughtbyeitherpartytothisAgreementtheotherpartyregardingthesubjectmatterhereof,theprevailingpartyshallbeentitledtorecover,inadditiontoanyotherreliefgranted,reasonableattorneys'feesandexpensesoflitigation.ShouldanytermofthisAgreementbedeclaredvoidorunen byanycourtofcompetentjurisdiction,suchdeclarationshallhavenoeffectontheremainingtermsofthisAgreement.Thefailureofeitherpartytoen otherpartyintheeventofanybreachhereundershallnotbedeemedawaiverbythatpartyastosubsequent mentofrightsorsubsequentactionsintheeventoffuturebreaches.ThisAgreementshallbe
