cranes/derricksonly.Incaseofgearlessvessels,USD1.0/MTwillbeaddedintotheaboveprices.Gearedvesselswithunworkablecranes/derricksaspertheBuyer’sdeclarationinthevesselnominationwillbeconsideredasgearlessvessels.合同的以上單價(jià)僅為帶吊機(jī)的價(jià)格。如船舶沒有吊機(jī)，需在以上價(jià)格加上1美金/噸。如由買方指定的船宣告此吊機(jī)不行用，也視為無吊船舶。Quantityadjustmentduetototalmoisture(onlyforinvoicingpurpose):Incasetheactual onesafeberthand/oranchorageareaofCamphaport,theminimumsailingdraftofwhichis9.0m裝載港：一個(gè)安全的泊位/錨地在錦普港，航行最小的吃水為9mDestinationport: AnyportofChina卸貨港：任何中國港口3.4.Shipmentperiod:CargoesshallbeshippedinbulkfairlyevenlyspreadfromthedateofsigningthecontracttoMarch31,2013.ShipmentscheduleshallbeagreedbybothPartiesintheprinciplethattheBuyerisresponsibletosufficientlyarrangevesselstotakedeliveryofthecommittedquantity.TheBuyershallnotbeentitledtoclaimtheSellerincasetheperformancesecurityisforfeittotheSellerasperarticle7hereinduetotheBuyer’sfailuretofairlyevenly spreadtakedeliveryofthetotalcommittedquantity.331日。具體時(shí)間由雙方協(xié)定，買方有責(zé)任安排足夠大的船來商定的貨量。全向賣方提出索賠。Article4: LOADINGCONDITIONSANDLOADINGRATE4：裝貨條款和裝貨率Loadingprocedure:Bothpartiesagreedtheloadingprocedureasbelow：裝貨流程：雙方同意按如下條款進(jìn)展裝載：TheBuyershallmakevesselnominationfortheSeller’sconfirmationbyfaxore-mailatleastseven(7)dayspriortheestimatedtimeofarrival(ETA)ofvesselatloadingport,statingclearly:name,thenationality,andparticularsofnominatedvesselandherlaydays(maximum-5days).TheSellershallinformhisvesselacceptanceornon-acceptancebyfaxore-mailwithin1workingdaytotheabovesaidnomination.Incaseofnon-acceptanceofvessel,thereasonsneedtobeprovided.(1〕7天前買方必需通過或郵件的方式將船舶報(bào)(最多-5天)。個(gè)工作日內(nèi)以郵件或者方式是否承受此船，假設(shè)不承受則需要供給拒收緣由。TheBuyershalldefinitelyandofficiallybookthevesselrightaftertheSeller’svesselacceptance.IftheBuyerintendstochangetheacceptedvessel,hemustadvisebyfaxore-mailtohavetheSeller”sconfirmationinaccordingofpoint4.1,item(1)mentionedabove.4.1條款以郵件或者方式告之賣方。Five(5)dayspriortoETAoftheacceptedvesselatloadingport,theBuyerortheShipmastershallcabletotheSellerindicatingthedateofpresentation5天，買方或者船長需用無線電通知賣方船舶動態(tài)。Three(3)dayspriortothedateofpresentationofthevessel,atelegraphicnoticeonprecisedateofarrivalandquantitytobeshippedshouldbesenttotheSellerorSeller’srepresentativeattheloadingport.需在船到達(dá)提前3天前告知賣方或者在裝港賣方的代表準(zhǔn)確抵達(dá)時(shí)間和船只裝貨的貨量。Forfulfillingnecessaryentryformalitiesofthevesselintotheloadingportwithowner”spayingagencydisbursementfeespriortothevessel”sarrival,theowner/shipmastertogetintouchwiththeshippingagent:為完成船舶必要的進(jìn)港手續(xù)，船東需在到達(dá)前支付代理費(fèi)用，船東/船長和代理取得聯(lián)系。以下是裝港代理的地址：VinacominShippingAgencyJointStockCompany(VICOSA)- Fax.No.84-33-3821980/3866137Onarrivalattheloadingport,whichmeansonarrivalatapositionwithinorneartheloadingportwherewaitingvesselsusuallylie,afterfreepratiqueandinallrespectsvesselisreadytoload,whetherthevesselinberthornot,theshipmasteristohandoverduringworkingtimetoSeller’srepresentativeattheloadingportawrittenNoticeofReadiness(NOR)indicatingtimeatwhichvesselisreadytoloadcargo.船舶一旦到達(dá)裝港，或者裝港的接近地時(shí)，辦理完入境手續(xù)，不管船舶是否靠泊，船東都可以在工作時(shí)間向賣方代表遞交了標(biāo)示此船已全面預(yù)備裝貨的備妥通知書。Workingtimestartsfrom8:00to12:00inthemorningandfrom13:00to16:30intheafternoonfromMondaythroughSaturday(HanoiStandardTime).8：00-12：00，下午13：00-16：30〔Hongai標(biāo)準(zhǔn)時(shí)間〕Laytimeforloadingshallcommenceat13:00ifNORisgivenbefore12:00andat8:00nextworkingdayifNORisgivenduringafternoonofficehours,whethervesselinberthornot,unlesssoonercommenced,insuchcasetimeactuallyusedbeforecommencementoflaytimetocountaslaytime.假設(shè)NOR在12:00前遞交裝卸時(shí)間將從13:00起算，假設(shè)NOR在下午遞交裝卸08:00起算，不管船舶是否靠泊，除非能很快開頭裝貨，此種狀況開頭實(shí)際裝貨前的時(shí)間將被記入裝卸時(shí)間。Timeforloadingshallnotcountbetween16:30onSaturdayand8:00onMondaynorbetween16:30onthelastworkingdayprecedingaHolidayofS.R.ofVietnamand8:00onthefirstworkingdaythereafter,unlessused,insuchcasetimeactuallyusedtocountaslaytime. 從周六的16:30到周一的08:0016:30到節(jié)后第1個(gè)工作日的08:00這兩段時(shí)間不被記入裝卸時(shí)間，假設(shè)在這兩段時(shí)間內(nèi)確有裝貨，那么實(shí)際裝貨的時(shí)間也將被記入裝卸時(shí)間。Shouldthevesselarriveatloadingportearlierthanagreedlaydays,waitingtimeforlaydayscommencementisfortheBuyer’saccountunlesssoonerloadingcommenced,insuchcasetimeforactualusetocount. 商定的受載期之前到達(dá)裝港，等待裝貨的時(shí)間將記入買方的賬戶，除非能很快開頭裝貨，應(yīng)當(dāng)以實(shí)際所用的時(shí)間作為裝卸時(shí)間。Shouldthevesselarriveatloadingportlaterthancancelingdateoflaydays,waitingtimeforloadingofthevesselisfortheBuyersaccountunlessused,insuchcaselaytimecommencementshallbecountedatthetimewhenthevesselstartsloading.假設(shè)船舶在商定的受載期之后到達(dá)裝港，等待裝貨的時(shí)間將記入買方的賬戶，在這種狀況下將以實(shí)際開頭裝貨時(shí)間起算裝卸時(shí)間。Timeforshiftingaswellasfordraftingshallnotaccountaslaytime vesselisalreadyonthedemurrage.除非船舶已經(jīng)滯期，否則移泊及做水尺時(shí)間將不被記入裝卸時(shí)間。Habourdues,portcharges,pilotageandotherchargesappertainingtovesselorallcostwithreferencetovessel(shares,victual,etc.)attheloadingporttobeforthevessel”saccount.在裝貨港口的入港稅，港口費(fèi)用，引航和其他附屬費(fèi)用都?xì)w船舶賬目。LoadingRate:CQD裝載率:CQDDemurrage/Despatch:NOTBEAPPLIED滯期/速遣:不使用4.5.Requirementsforvessel(s):船舶要求Carryingvessel(s)mustbeseaworthy,singledeck,bulkcarrierandmaximum33yearsofage.運(yùn)輸船舶必需是適航的，當(dāng)層甲板，能裝散裝貨物和最長船齡為33年。IncaseofgearlessvesselsthecostforfloatingcranesshouldbeattheSeller”saccount.Thiscostisincludedinthecostofthecommodity.假設(shè)船舶沒有吊機(jī)，浮吊的費(fèi)用應(yīng)算入賣方帳下。此費(fèi)用應(yīng)包含在貨值內(nèi)。Incase of gearedvessels, cranes/derricksmust besuitable for grabsoperation,ingoodworkingconditionwithminimumcapacityof10MTforvesselwithcargosizeof15,001 –25,000MTand15MTforvessel withcargosizeover25,000MT.Ifgear(s)ofthevesselisnotworkableduringloadingtimeatanchorage,thecostforfloatingcranes,ifany,shouldbeattheBuyer”saccountseparatelyfromcostofgoods. 假設(shè)船舶的吊機(jī)須適合抓斗操作，在良好的工作條件，當(dāng)貨物15,001-25,00010噸，假設(shè)貨量超過25000噸最少抓15噸。假設(shè)在錨地裝貨的時(shí)間，船吊不能正常工作，浮吊本錢從貨物本錢中應(yīng)分開，記在買方的帳戶。Article5: ANALYSISANDSURVEY質(zhì)量分析與做水尺QualityofeachshipmentshallbedeterminedatloadingportbyQUACONTROLthroughappropriatesampling,analysesandmethodsinaccordancewithISOstandardsinforce.Basingonsuchresults,QUACONTROLshallissue“CertificateofQuality”forthecargoaccordingly.QUACONTROL嚴(yán)格以ISOQUACONTROL依據(jù)檢測結(jié)果出具相應(yīng)的質(zhì)量證書。WeightofeachshipmentwillbedeterminedatloadingportbyQUACONTROLby vessel’s draft survey (draft survey method). Basing on such QUACONTROLshallissue“CertificateofQuantitybyDraftSurvey”forthecargoaccordingly.QUACONTROL做水尺計(jì)重，基于檢驗(yàn)結(jié)果，QUACONTROL應(yīng)當(dāng)出具水尺檢測重量證書。However,incaseQUACONTROLcertifiesthatthecarryingvesseldoesnothasenoughconditionsand/ordocumentsfordeterminingtheweightbydraftsurveymethod,andthisisconcededbyship’srepresentative,weightofcargowillbedeterminedbybargedraftsurveyorbyscale.Inthiscase,QUACONTROLshallissue“CertificateofQuantitybyWeight”. 證明裝運(yùn)船舶不具備做水尺計(jì)重的條件，并由船方代表確認(rèn)，那么貨物重量將由駁船的水尺或者刻度來計(jì)算。QUACONTROL應(yīng)當(dāng)出具重量證書。Costoftheabove-mentioneddeterminationofquality&weightshallbefortheSeller’saccount.以上確定貨物質(zhì)量和重量的費(fèi)用均由賣方擔(dān)當(dāng)。Forthewitness,umpiresamplestobekeptfor60(sixty)daysatloadingportafterthedateofB/Lforclaimresolvepurpose,ifsuchclaimmayoccur. 60天，假設(shè)有索賠產(chǎn)生，可以為以后索賠所用。Resultsofdeterminationofquality&weightofcommodityatloadingportshallbefinalforinvoicingpurpose.裝港質(zhì)量檢與重量檢的結(jié)果是最終的，并將用于出具在商業(yè)發(fā)票WiththeacceptanceoftheSeller,theBuyerathiscostandriskmayinviteotherindependentinspectionorganizationtodeterminequalityandweightofthecargo.TheBuyershouldcoordinatewiththeSellerinissuingrespectivecertificatesinaccordancewiththerequirementofopenedL/C.的證書。Article6: PAYMENT支付方式PaymentshallbemadeinUSDollars.PaymentbyDocumentaryCredits(D/Cs)orpaymentinarrearsareacceptableaspertheBuyer’soptioninaccordancewithpoints6.2.,6.3.below:以美金結(jié)算。由以下6.2和6.3條款，由買方的選擇付款承受跟單信用證和提前支付都是賣方可以承受的。PaymentbyDocumentaryCredits以跟單信用證方式支付AnIrrevocableDocumentaryCredit(L/C)shallbeopenedbyfirstclassbanksagreebytwoparties,covering100%shipment(s)valueinfavorofthevietnamnationalcoalandmineralindustriesholdingcorporationlimited(vinacomin).SuchL/CshallbeopenedwithfulldetailsbytelexandmustbereachedtheSellernotlaterthan7dayspriortotheestimatedtimeofarrival(ETA)ofthevesselatloadingport.100%貨物價(jià)值，以賣方為受益人。此信用證在估量船到達(dá)7天前由給賣方。TheapplicantforL/CshouldonlyeithertheBuyerormentionedbelowcompany:開證人須是買方或者以下公司+CompanyName:CHINANATIONALBUILDINGMATERIALSANDEQUIPMENTIMP&EXPCORP.中建材集團(tuán)進(jìn)出口公司+Company Name: PROSPERITY MATERIALS (INTERNATIONAL)LIMITED公司名稱：香港昌興物料IncasetheL/Cisopenedbyotherapplicant,besidestheBuyer,theBuyercommitstotakefullresponsibilityforthefinancialabilityandlegalstatusoftheL/CapplicantandtoundertakethatL/Cshallbeopenedin withformofL/CprovidedbytheSeller.TheBuyeralsoconfirmsthatheisfullyresponsibleforhisobligationsunderthecontract.假設(shè)開L/C是由其他申請人，除了買方外，買方承諾擔(dān)當(dāng)財(cái)政力量和L/C申請人法律地位的擔(dān)當(dāng)全部責(zé)任，保證依據(jù)賣方供給的信用證的格式開證。買方也確認(rèn)將全面負(fù)責(zé)其合同規(guī)定的義務(wù)。L/CistobeadvisedthroughCitibankHanoibranchoranyotherbankagreedbythetwoparties.信用證的通知行是越南花旗銀行分行或者其它銀行。Paymentatsightshallbemadebytelegraphictransferremittance(TTR)for100%theinvoicevalueuponpresentationoffollowingshippingdocumentstoanybankinVietnam.一旦向越南的銀行遞交如下單證，付款是即期，包含貨物100%的貨值FullsetofcleanonboardOceanBillofLading(B/L)madeouttoorderandblankendorsedormadeouttoorderofL/Cissuingbank;marked“Freightcollector“Freightpayableascharterparty”.提單Three (3) originals of Commercial Invoice signed by the indicatingContractnumber,L/Cnumber,theApplicantandshowingthevesselisgearedorgearless.發(fā)票Three(3)originalsofCertificateofQuantitybydraftsurveyorbyweightissuedbyQUACONTROL,Quangninh重量證Three(3)originalsofCertificateofQualityissuedbyQUACONTROL,Quangninh,showingactualresultsofgoodsinspection:質(zhì)量證+Totalmoisture(asreceived),pct.+Ash(drybasis),pct.+Volatilematter(drybasis),pct.+Sulfur(drybasis),pct+Calorificvalue(drybasis),kcal/kg+Size,mmThree(3)originalsofCertificateofOriginissuedbytheBeneficiaryshowingthegoodsareofVietnameseorigin.原產(chǎn)證L/C項(xiàng)下的任何修訂。假設(shè)沒有修改信用證，此證明不需要。Beneficiary’scertificateconfirminghisacceptanceornon-acceptanceofanyamendmentmadeundertheL/CquotingtherelevantL/C項(xiàng)下的任何修訂。假設(shè)沒有修改信用證，此證明不需要。(a)(b)(c)(d)
