________________________________（2）數(shù)量Quantity：_______________________________________________________________________________________（3）單價(jià)及價(jià)格條款UnitPriceandTermsofDelivery:________________________________________________________________________________________________________（除非另有規(guī)定，"FOB"、"CFR"和"CIF"均應(yīng)依照國(guó)際商會(huì)制定的《2000年國(guó)際貿(mào)易術(shù)語(yǔ)解釋通則》(INCOTERMS2000)辦理。）(ThetermsFOB,CFR,orCIFshallbesubjecttotheInternationalRulesfortheInterpretationofTradeTerms(INCOTERMS2000)providedbyInternationalChamberofCommerce(ICC)unlessotherwisestipulatedherein.)（4）金額Amount：_______________________________合計(jì)Total:________________________________裝運(yùn)數(shù)量允許有___％的增減Moreorlessallowed_____％（5）包裝Packing:______________________________________________________________________________（6）裝運(yùn)口岸PortofLoading:_________________________________（7）目的口岸PortofDestination:________________________________（8）裝船標(biāo)記ShippingMarks:_____________________________________（9）裝運(yùn)期限TimeofShipment:貨物將在收到信用證____天內(nèi)裝出。Within________daysafterreceiptofL/C.（）允許轉(zhuǎn)船,（）允許分批裝運(yùn)，最多可以分（）批。Transhipment()allowed,Partialshipment()allowedandcargocanbeshippedoutnomorethan()lots.（10）付款條件（TermsofPayment）：買(mǎi)方須于_____________前將保兌的、不可撤銷(xiāo)的、可轉(zhuǎn)讓的、可分割的即期付款信用證開(kāi)到賣(mài)方，該信用證的有效期延至裝運(yùn)期后_____天在中國(guó)到期，并必須注明允許分批裝運(yùn)和轉(zhuǎn)船。ByConfirmed,Irrevocable,TransferableandDivisibleL/CtobeavailablebysightdrafttoreachtheSellerbefore______，andtoremainvalidfornegotiationinChinauntil______aftertheTimeofShipment.TheL/Cmustspecifythattransshipmentandpartialshipmentsareallowedornot.買(mǎi)方未在規(guī)定的時(shí)間內(nèi)開(kāi)出信用證，賣(mài)方有權(quán)發(fā)出通知取消本合同，或接受買(mǎi)方對(duì)本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。TheBuyershallestablishaLetterofCreditbeforetheabove-stipulatedtime,failingwhich,theSellershallhavetherighttorescindthisContractuponthearrivalofthenoticeatBuyerortoacceptwholeorpartofthisContractnonfulfilledbytheBuyer,ortolodgeaclaimforthedirectlossessustained,ifany.（11）保險(xiǎn)（Insurance）：按發(fā)票金額的110%投保________險(xiǎn)，由________負(fù)責(zé)投保。Covering_____Risksfor110%ofInvoiceValuetobeeffectedbythe____________.投保險(xiǎn)別以本售貨合同中所開(kāi)列的為限，買(mǎi)方如要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)賣(mài)方同意，因此而增加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。Allrisksinsuredshouldbeincludedwithinthiscontract.IftheBuyeraskstoincreasetheinsurancepremiumorscopeofrisks,heshouldgetthepermissionoftheSellerbeforetimeofloading,andallthechargesthusincurredshouldbebornebytheBuyer.（12）單據(jù)Documents:賣(mài)方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國(guó)商品檢驗(yàn)局或工廠出具的品質(zhì)證明、中國(guó)商品檢驗(yàn)局出具的數(shù)量/重量簽訂書(shū)；如果本合同按CTF條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。TheSellersshallpresenttothenegotiatingbank,CleanOnBoardBillofLading,Invoice,QualityCertificateissuedbytheChinaCommodityInspectionBureauortheManufacturers,SurveyReportonQuantity/WeightissuedbytheChinaCommodityInspectionBureau,andTransferableInsurancepolicyorInsuranceCertificatewhenthiscontractismadeonCIFbasis.（13）品質(zhì)和數(shù)量的異議與索賠QualityandQuantityDiscrepancyandClaim:貨到目的口岸后，買(mǎi)方如發(fā)現(xiàn)貨物品質(zhì)或數(shù)量與合同規(guī)定不符，除屬于保險(xiǎn)公司或船公司的責(zé)任外，買(mǎi)方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣(mài)方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。Incaseofqualitydiscrepancy,claimshouldbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshouldbefiledbytheBuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationsareliable.（14）不可抗力Forcemajeure:由于人力不可抗拒事故，而賣(mài)方交貨遲延或不能交貨時(shí)，責(zé)任不在賣(mài)方。但賣(mài)方應(yīng)立即將事故通知買(mǎi)方；并于事故發(fā)生后15天內(nèi)書(shū)面提交有關(guān)證明。如果事故持續(xù)超過(guò)10個(gè)星期，買(mǎi)方有權(quán)撤銷(xiāo)本合同。TheSellersshallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoFORCEMAJEURE.However,theSellersshalladviseBuyersimmediatelyofsuchoccurrenceandwithin15daysthereafter,shallprovidewithwrittenevidencetotheBuyersissuedbythecompetentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocancelthisContract.（15）仲裁Arbitration:凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)上海分會(huì)根據(jù)該仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeprovisionalRulesofProcedurespromulgatedbythesaidArbitrationCommission.ThearbitrationshalltakeplaceinShanghaiandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothpar
