第三章

5.3

其它：Others

甲方需委派一位人員，就此工程設計方向的事宜上，負責批復乙方的設計。如甲方要求乙方對已同意的設計提供重大修改，或進行合同之外的設計工作，應被視為額外服務項目，收費應由甲乙雙方共同協(xié)定。PartyAshallappointastafftoinchargeofPartyB’sengineeringdesignapproval.IfPartyArequestPartyBtobemakemajoradjustmentonthedesignapprovedbyPartyA,orworkonthedesignoutofthiscontractscope,shouldbeconsideredanadditionalservice,feesshouldbedesignbymutualagreementofbothparties.

第六章

雙方責任Chapter6Responsibilitiesofparties6.1

甲方責任

ResponsibilitiesofPartyA

6.1.1

甲方按本合同協(xié)定提交的內(nèi)容，在協(xié)定的時間內(nèi)向乙方提交資料及文件，并對其完整性、正確性及時限負責。另外，甲方還應提供關(guān)于場地條件的數(shù)據(jù)，包括公用事業(yè)、地理條件、道路使用權(quán)、限制條件等。

PartyAshallsubmitthedataanddocumentscontentinaccordingtothiscontractstipulated,inagreedtimelimit,andberesponsibleforitsintegrity,correctnessandtimelimit.Inaddition,PartyAshallalsoprovidethedataabouttheconditionsatthejobsite,includingutilities,geographicalconditions,roaduseright,constraints,etc.

6.1.2

甲方提交上述資料及文件超過規(guī)定期限15天以內(nèi)，乙方按合同規(guī)定交付設計文件時間順延；期限超過15天以上時，乙方有權(quán)重新確定提交設計文件時間。

6.1.3

甲方變更委托設計項目、規(guī)模、條件或因提交的資料錯誤，或所提資料作較大修改，以致造成乙方設計需返工時，雙方除需另行協(xié)商簽訂補充合同（或另訂合同）、重新明確有關(guān)條款外，甲方應按乙方所耗工作量向乙方支付返工費。

PartyBdesignreworkedcausesbyPartyAchangedesignprojects,scale,conditionsorbecauseofthepresentedmaterialmistakes,ormentionedmaterialmajorrevision.Bothpartiesshallsignasupplementaryagreement(orsignanewagreement)andredefinerelevantterms,PartyAshallpayassociatedreworkfeetoPartyBinaccordingtotheworkload.

6.1.4

在合同履行期間，甲方要求終止或解除合同，乙方未開始設計工作的，不退還甲方已付的定金；已開始設計工作的，甲方根據(jù)乙方已進行的實際工作量，另行議定。

6.1.5

甲方應按本合同第五章規(guī)定的金額和時間向乙方支付設計費用，每逾期一天，需承擔應支付金額千分之二的逾期違約金。逾期超過十四天以上時，乙方有權(quán)暫停履行下階段工作，并書面通知甲方。

6.1.6

甲方要求乙方比合同規(guī)定時間提前提交設計文件時，甲方應支付趕工費。

PartyArequestsPartyBtosubmitthedesigndocumentsbeforecontractstipulatedtime,PartyAshallpaytherushcost.

6.1.7

甲方應為乙方派駐現(xiàn)場的工作人員提供工作、生活交通等方面的便利條件，但費用由乙方自行承擔。PartyAshouldprovidePartyB'son-sitestaffswork,livingandtrafficconveniences,butthecostshallbebearbyPartyB.

6.1.8

甲方應保護乙方的設計版權(quán)，未經(jīng)乙方同意，甲方對乙方交付的設計文件不得向第三方轉(zhuǎn)讓，否則，乙方有權(quán)索賠。PartyAshallprotectPartyB’sdesigncopyright,PartyAshouldnottransferthedesigndocumentstothirdpartywithouttheagreementofPartyB,orelse,PartyBhastherighttoclaimforcompensation.

6.1.9

甲方有權(quán)在本項目對外宣傳時使用乙方標識。

6.2

乙方責任

乙方按本合同協(xié)定提交的內(nèi)容、份數(shù)、在協(xié)定的時間內(nèi)向甲方提交成果，并對其完整性、正確性、及時性負責。2.1Partybshallsubmittheresultcontent,numberofcopiesstipulatedintheagreementintime,andberesponsibilityofitscompleteness,correctnessandtimeliness.

6.2.2

乙方對設計文件出現(xiàn)的遺漏、錯誤或甲方不滿意之處負責修改或補充。由于乙方設計錯誤造成工程質(zhì)量事故損失，乙方除負責采取補救措施外，應免收受損失部分的設計費，并根據(jù)損失程度向甲方償付賠償金。經(jīng)甲方或上級主管部門審查后，在原定任務書設計范圍內(nèi)的必要修改，乙方負責承擔。

PartyBshallmodifyorresupplythedesigndocumentifthereappearedomissions,falseorunsatisfiedbyPartyA.DuetotheengineeringqualityaccidentslosscausedbyPartyB'sdesignerror,partyBshallreducetherelevantpartdesignfee,inadditiontotakeremedialmeasuresandbeliabilityforcompensationaccordingtothelosstoPartyA’sdamages.AfterexaminationbyPartyAorsuperiordepartmentsincharge,amendmentsrequestwithinthescopetheoriginalspecificationdesign,PartyBshallbeliable.

6.2.3

由于乙方自身原因，延誤了設計文件交付時間，每延誤一天，應減收該項目設計費的千分之二。DuetoreasonofPartyB,ifdeliverytimebeingdelayed,PartyBshouldreducetheprojectdesignfeeof2/1000perdelayeddays.

6.2.4

乙方交付設計文件后，參加有關(guān)上級審查及根據(jù)審查結(jié)論負責不超出原定計劃任務書范圍內(nèi)的必要調(diào)整補充。不再計取費用。

Afterdeliveringdesigndocuments,PartyBshallparticipateinrelevantsuperiorexamination,andaccordingtothereviewconclusiontoaddnecessaryadjustment.Supplementwithinthescopeoforiginalplantask,shallnotchargeforanyadditionalfee.

6.2.5

乙方不得向第三方擴散、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙等技術(shù)經(jīng)濟資料。如發(fā)生以上情況，甲方有權(quán)索賠。PartyBshallnotspreadortransferproductdrawings,othertechnicalandeconomicdatasubmittedbyPartyAtothirdparty.Ifabovecircumstancehappened,PartyAhastherighttoclaimforcompensation.

6.2.6

乙方同意配合甲方按工程進度要求調(diào)整出圖順序，付款方式可另行協(xié)商。PartyBagreestocoordinatePartyAtoadjustdrawingdeliverorderaccordingtotheschedulerequire,paymentmethodcanbeseparatelynegotiatebybothparties.

6.2.7

乙方必須根據(jù)設計標準、技術(shù)規(guī)范、設計任務說明等相關(guān)景觀設計標準進行設計，提交符合質(zhì)量的設計文件。PartyBmustsubmitthequalitydesigndocumentsinaccordancewithdesignstandards,technicalspecificationsanddesigntaskofrelevantlandscapedesignstandards.

6.2.8

乙方必須在滿足方案標準的前提下，選料用材時要注意到景觀效果和造價的關(guān)系，作到既滿足景觀效果的要求，又最大限度的降低造價。PartyBshallchoosematerialsqualityinaccordancewithlandscapeeffectandpriceunderthestandardsofscheme,insatisfiestherequirementseffectandmaximumreducecost.

第七章

補充條款

Supplementalcondition

7.1

合同終止

Terminationofcontract7.1.1

甲方因自身原因不能履行本合同，應按照合同付清已完成階段設計任務對應的設計費,

并承擔合同總額的10%給乙方作為違約金，合同終止。PartyAunabletoperformthecontractduetoitsownreason,shouldpaythedesignfeeofcompletedphaseinaccordancewiththecontract,andbearthe10%ofthetotalcontractamountasliquidatedpenalty,terminatethecontract.

7.1.2

乙方因自身原因無法履行合同，應退回全部設計費用，并承擔合同總額的10%給甲方作為違約金，合同終止。PartyBunabletoperformthecontractduetoitsownreason,shouldpay10%ofthetotalcontractamountasliquidatedpenalty,andterminatethecontract.

7.1.3

由于不可抗力因素致使合同無法履行時，雙方應及時協(xié)商解決。Whenunabletofulfillthecontractduetoforcemajeurefactors,bothpartiesshouldberesolvedthroughconsultationinatimelymanner.
