鑒于：賣方在這里的代表為其總經理，GUNAWANSAPUTRA先生，和買方在這里的代表為其國際

經理，KEHONGHUA先生，都同時具備完整的公司授權，證明，代表和保對方可完成本協定

的各項要求并分別可在以下同意的時間和條件下提供在這里所指的產品和資金，及

鑒于：賣方在此同意和作出不可撤銷的，堅定的合同，以提供共500公噸（+/T0%）在此合同

的第2條款里有更充分描述的印尼的鉛-鋅礦石。

現在，并考慮到前述的許可，賣方和買方雙方以最大的誠意同意以下列條款和條件參加本合同:

第1條:原產地

羥品:鉛-鋅礦石

規(guī)格：鉛+鋅..................50%

數量：500公噸（+/-10%）

原羥閾：印度尼西亞

裝貨港：任何在印度尼西亞的港口

目的地：中國

由賣方出售給買方的鉛-鋅礦石數量為500公噸（+/T0%）,由根據第6條款規(guī)靶的鉛（Pb）

+鋅（Zn）含量為50%。

所有稱重和采樣的工作應由INTERTEKCALLEBBRETT/ITS/PT.CITRABUANAINDOLOKA或

SUC0F1ND0在裝貨港按照國際標準和習慣進行。所有有關費用由賣方負責。

第2條:產品詳情和規(guī)格

a.產品詳情

i.產品：印度尼西亞鉛-鋅礦石

ii.規(guī)格：鉛（Pb）=25%+鋅（Zn）=25%,和最低鉛和鋅含量分

別為鉛（Pb）=15%+鋅（Zn）=10%,最低總含量為

25

%。

iii.礦石大小/尺寸：0-100亳米

b.化學成分

貨物必須附有由INTERTEKCALLEBBRETT/ITS/PT.CITRABUANAIND0L0KA或SUCOFINDO

i.所有鉛-鋅礦石應以塑料袋包裝，每袋總重量應為50-52公斤。

ii.該袋在用后將不會回收和將由鉛-鋅礦石的^重量扣除0.4%作大當袋的重量。

第3條:價格

（2000年國際貿易術語解釋通則FOB型則）

1.價格條款

1.1.FOB至印度尼西亞雅加達港口。

1.2.每單位礦石的基本價格和美元的轉換率將會參考在上海期貨交易所（SHME）相應礦產的

價格以作計算。（）

1.3.轉換率和礦石的基型價格將以他們周一在SHME的價格計算。該基型價格為每槿礦產的

平均價格。

1.4.計算出來的單位基型價格的有效期為一周。每星期將會進行更新。

1.5.買方將在每部分裝運出發(fā)至少3天前發(fā)出雙方同意書於賣方。

1.6.雙方同意信里將確定每部分裝運的交付時間表，轉換率，以及相應的基型價格。

2.價格公式

鉛（PB）

在上海期貨交易所鉛的價格x47%（買方成本）X鉛含量（基于實驗室測試結

在SHME基礎上重新整理的美元-人民幣轉換率果）

鋅（ZN）

在上海期貨交易所鋅的價格x36%（買方成本）鋅含量（基于實驗室測試結

X果）

在SHME基礎上重新整理的美元-人民幣轉換率

以下是以2008年8月27日SHME價格基礎上示靶上述價格計算公式的例子：

鉛=（（18.200人民幣x47%）/6.8357）/100=12.513美元/%鉛含量/公噸

鋅=（（14.200人民幣x36%）/6.8357）/100=7.5837美元/%鋅含量/公噸

3.拒絕條款

如礦石的鉛（Pb）含量低于15%和鋅（Zn）含量低于10%,所有貨物將被拒絕和停止付

款。

第4條：裝運數量與合約價值

裝運的數量是500公噸鉛-鋅礦石，鉛（Pb）=25%+鋅（Zn）=25%,總含量為50

%,價值卷二十五萬?千二百零八元七角五分美元（US$251,208.75）。（基于鉛=25%,

鋅=25%）

上述合約價值的計算是基於SHME於2008年8月27日的價格和假設含量是鉛=25%和鋅=25

%。

第5條：交付時間表

a.部分裝運量必須在一（1）個月內完成。每次裝運必須不得少于100公噸。

b.每次裝運的鉛-鋅礦石應用標本貨柜。貨物必須在賣方收到買方的信用狀七（7）天內

裝載完畢。

第6條：核查和檢視

a.檢視

在裝貨港，礦石的數量和質量應由INTERTEKCALLEBBRETT/ITS/PT.CITRABUANA

IND0L0KA或SUCOFINDO進行檢視。所有有關費用由賣方負責。稱重和采樣的工作亦將

在裝貨港由INTERTEKCAI.LEBBRETT/ITS/PT.CITRABUANAINDOLOKA或SUCOFINDO

進行。所有有關費用由買方負責。礦石的重量，數量和質量在此以后應被視為不可更改

和對雙方俱有約束力。

鉛-鋅礦石的檢測方法將由INTERTEKCALLEBBRETT/ITS/PT.CITRABUANAINDOLOKA

或SUCOFINDO決定。

鉛-鋅礦石的檢測方法應按照國際慣例暹行。

裝箱三天前，賣方通知買方備貨情況和貨倉地點，買方有權在裝船前查明情況，賣方

在檢驗機構在檢測抽樣時通知買方派代表在場共同監(jiān)督取樣。

b.付款時應出示的文件

在付款畤，^方愿向膏方提名的^付^行出示以下文件：

a.整套（全部叁份正本及叁份副本）由貨船船長簽署和具清晰船名戳記的潔凈海運提

單，正本空白背書，并通知由買方指定的信用狀申請人，和標有“運費到付”；及

裝船的實際毛重/凈重。

b.叁份已簽的商業(yè)發(fā)票正本，發(fā)票必需有商品描述、單位價格、總金額和貨物的重量。

c.叁份包裝清單的正本。

d.由商會或產品原產地政府部門頒發(fā)的產地瞪，正本一份和副本?份。

e.由INTERTEKCALLEBBRETT/ITS/PT.CITRABUANAINDOLOKA或SUCOFINDO在

裝貨港遵照合同規(guī)范頒發(fā)的數量及重量瞪書，正本一份和副本叁份。

f.賣方向信用狀申請人在上述提單日期五（5）天內送交的出貨通知，說明以下船舶

的詳情：

i.船名；

ii.提單編號和日期；

iii.說明商品的全部細節(jié)、毛重、凈重和預計抵達時間。

第7條:付款方式

a.買方必須於這項合同簽署口期后十天內開出發(fā)票金額100%不可撤銷、不可轉讓、見票即

付及以賣方為受益人的信用狀。若買方在截止日期前未能滿足此條件成功申請信用狀，

賣方有權取消此已簽訂的合同。

b.信用狀將由主要銀行發(fā)出，并于賣方提出全套合同貨物相關文件彳爰100%見票即付。

c.與信用狀提付相關的全套合同貨物文件將是在6.b條款里列出的所有文件。

d.當合同簽訂后和賣方收到買方指定開證公司開出信用證預告通知書后，賣方應立即開具

貨物總價值百分之二、不可撤銷的履約保函。該保函以買方指定開票公司為受益人，有

效期保持至本合同執(zhí)行和結算完畢為止。如賣方不能按合同條款履行協議，買方則有權

沒收履約保證金。

第9條:保險

買方應按付運金額的110%購買一切險和戰(zhàn)爭險的保險，以他作為唯?受益人并負責所需保險費

用。

第10條:不可抗因素

這條款是海洋合同里的標準條款，豁免任何一方可於當發(fā)生他們無法控制的，如地震、洪水或戰(zhàn)

爭時可不履行其於這合同里的義務。

賣買雙方同意銀行資料應被視為是高度機密及必須作這樣的處理。在沒有任何方事先的指示或

同意下任何形式溝通銀行資料是不被允許的。溝通形式必須在銀行與銀行的基礎上或其他銀行協

議的方式下進行。

第11條：有約束力的仲裁

如締約雙方未能於二十（20）天內就任何關於這合同條款的糾紛達成友好協議，爭端將由印度

尼西亞國際經濟貿易仲裁委員會裁決。委員會所作出的裁決應被接納及對雙方有最終的約束力

的。仲裁費用將由敗訴一方支付，除非委員會另作批示。

第12條：所有權和風險

貨物的所有權和風險在貨物裝到船上接由賣方轉移至買方。

第13條：合同的修訂

任何對本合同的修改或修正應以書面形式提出，并須締約各方以書面形式確認和接受。

第14條:通知

任何有關木合同的通知或通訊應當以書面形式提出。它應用掛號空郵及/或電報，或通過電子郵

件發(fā)送至列在這協議里的地址。

第15條:整個合同

本合同乃締約各方協議所達訂立并構成唯一的條款和條件。在其他地方所載的其他的條款及條件

應對締約各方沒有任何約束力。所有在締結本合同前所作出，如有的話，的建議、談判和交涉都

已合并在本合同里。任何對本合同的修改或修正，如沒遵照以上第14條款以書面形式提出及同

意的話將被視為無效。

第16條:其他條款

a.賣方在作偽證的嚴格刑罰下?！闑全數擁有射在木合同徑提供出售的^礦石及鋅礦石和

沒有受任何形式的扣押、費用或障礙約束，加擁有充分的法律權力向買方轉移所有權。

賣方亦申明他們擁有出口國和制造商所在國所有必要的執(zhí)照和許可證。

b.買方應獲得必要的進口許可證和其他在進口國規(guī)定的正式許可。

C.買方有權將所有載于本協議內的利益、責任和權利轉讓至第三方。

d.本合同的期限應自簽署之口起直至所有貿易完成之日為止。

e.如預運的貨物由于質量差而不被認為是令人滿意的話，賣方同意買方有權取消合同中

剩余的貨物數量而不會索取任何賠償。

f.木合同的掃描至電子郵件版木在直至木合同締約各方收到原木為止會被認為是原本。

g.買賣雙方應保留一份經正式簽字的協議原件。

h.木合同與其重復版本是在2008年8月日這一天由賣買雙方正式授權的代表簽署，以

昭信守。

i.本合同在賣方簽署的八個銀行工作天內有效。

j.賣買雙方俱保留二份己簽署的副本。

Article力：BINDINGARBITRATION

Incaseofdisputeandifthecontractingpartiescannotreachanamicableagreementforany

claimconcerningthisContractwithintwenty(20)daysfromitsoccurrence,thedisputewillbe

settledbytheIndonesianInternationalEconomicandTradeArbitrationCommission.The

decisionmadebythecommissionshallbeacceptedasfinalandbindinguponbothparties.

Thefeeforarbitrationshallbebornebythelosingpartyunlessotherwiseawardedbythe

commission.

Article12:TITLEANDRISK

Thetitletothegoodsandrisksshallpassfromsellertothebuyerwhenthegoodsareloaded

intotheShip.

Article13:AMENDMENTOFTHECONTRACT

Anyamendmentormodificationofthecontractshallbemadeinwritingandsubjectto

confirmationandacceptanceinwritingbythecontractingparties.

Article14:NOTICE

Noticeorcommunicationsreferredtointhiscontractshallbeinwriting.Itshallbesendby

registeredairmailand/orbytelex,cable/orbyemailtotheaddressstatedinthisagreement.

Article15:ENTIRETYOFTHECONTRACT

ThisContractconstitutestheentireagreementbetweenthepartiesandthetermsand

conditionssetforthhereinconstitutethesoletermsandconditions.Noothertermsand

conditionscontainedelsewhereshallbebindinguponboththeParties.Allproposals,

negotiationsandrepresentationsifany,madepriortothedatehereofaremergedhereinand

nomodificationsshallbeeffectiveunlessagreedtoinwritingandaccepted,asstatedinclause

14ofthisagreement.

Article16:OTHERCONDITIONS

I.ThesellersaffirmsunderstrictpenaltyofperjurythattheLeadOre&ZincOreoffered

forsaleisfullyownedbythemandisfreefromanylien,charge,orencumbranceof

anykindandtheyhavethefulllegalauthoritytotransfercleantitletothebuyer.The

selleralsoaffirmsthattheyhavethenecessarylicenseandpermitsfromthecountryof

exportandalsofromthecountryofthemanufacturer.

m.Thebuyershallobtainthenecessaryimportlicenseandallotherofficialauthorization

asrequiredintheimportingcountry.

n.Thebuyerhastherighttoassignrightstoathirdpartyunderthisagreementwithall

thebenefitsandresponsibilitiesenshrinedinthisagreement.

Thedurationofthecontractshallbefromthedateofsigningofthiscontracttothe

dateofthistradebeingcompleted.

p.Theselleragreestogivethebuyertherighttocancelthecontractforthebalanceof

thegoodswithoutanyclaimofdamagesifthetrialshipmentisdeemedunsatisfactory

bytheContractduetopoorqualityofthegoods.

q.Thescantoe-mailofthiscontractareconsideredoriginaltilltheyarereceivedin

originalbythepartiestothisagreement.

r.TheBuyerandSellershallretainoneoriginalsignedcopyofthisagreement.

s.InwitnesswhereofthiscontractismadeinduplicateonthisAugust,2008andthe

dulyauthorizedrepresentativesoftheSellerandtheBuyerhavingsignedonthisday.
