2024版英文購銷合同范本合同編號：__________ContractNo.__________betweenthePartyA(hereinafterreferredtoasthe“Seller”)andthePartyB(hereinafterreferredtoasthe“Buyer”).WITNESSETH:WHEREAS,theSelleriswillingtosellandtheBuyeriswillingtobuytheGoodsonthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:Article1:DefinitionandInterpretation1.1DefinitionUnlessthecontextotherwiserequires,thefollowingtermsandexpressionsshallhavethefollowingmeanings:“ApplicableLaw”meansanylaws,regulations,orders,judgmentsordecreesofanyGovernmentalAuthoritythatareapplicabletotheTransactionoranyoftheTransactionsortothepartiesheretooranyoftheirrespectivebusinessesorproperties;“BusinessDay”meansanydaythatisnotaSaturday,Sundayorpublicholidayintheplaceofbusinessoftherelevantparty;“Delivery”meansthetransfertotheBuyeroftheriskoflossandintheGoods;“DeliveryDate”meansthedateonwhichDeliveryistotakeplace;“Documents”meansalldocuments,instruments,agreements,schedules,certificates,reportsandotherwritingsrequiredtobedeliveredorperformedinconnectionwiththeTransactionoranyoftheTransactions;“EffectiveDate”meansthedateonwhichthisAgreementisexecutedanddeliveredthepartieshereto;“Goods”meanstheproductsand/orservicestobesoldanddeliveredtheSellertotheBuyerunderthisAgreement;“IntellectualPropertyRights”meansallrightsinandtoanyandallpatents,copyrights,tradesecrets,trademarks,servicemarks,tradenames,domainnamesandothersimilarrightsandinterestsofanytypeornature,whetherregisteredorunregistered,includingallapplicationsandregistrationsthereforandalldivisions,continuations,continuationsinpart,reissuesandextensionsthereof;“Order”meansanorderforthepurchaseofGoodsplacedtheBuyerfromtheSellerinaccordancewiththetermsofthisAgreement;“Party”meansanyofthepartieshereto,and“Parties”meansbothofthem;“PaymentDate”meansthedateonwhichpaymentfortheGoodsistobemadetheBuyertotheSeller;“PaymentMethod”meansthemethodofpaymentfortheGoodstobeusedtheBuyerandtheSellerassetforthinthisAgreement;“Taxes”meansanyandalltaxes,duties,levies,imposts,assessments,fees,deductions,withholdingsorsimilarchargesimposedanyGovernmentalAuthority,including,butnotlimitedto,valueaddedtax,salestax,usetax,goodsandservicestax,excisetax,stampdutyandanyothersimilartaxes;“Transaction”meansthesaleandpurchaseoftheGoodstheSellertotheBuyerunderthisAgreement;“TransactionDocuments”meansthisAgreementandallotherdocuments,instruments,agreements,schedules,certificates,reportsandotherwritingsrequiredtobedeliveredorperformedinconnectionwiththeTransactionoranyoftheTransactions;“UniformCommercialCode”or“UCC”meanstheUniformCommercialCodeasineffectfromtimetotimeintheStateofNewYork,andanysuccessorthereto.1.2InterpretationUnlessthecontextotherwiserequires,(a)thewords“include”,“includes”and“including”shallbedeemedtobefollowedthephrase“withoutlimitation”;(b)anyreferencetoanyagreementorinstrumentshallbedeemedtoincludeallschedules,exhibitsandannexestheretoandallamendments,supplementsandmodificationsthereto;(c)anyreferencetoanyPersonincludes一、附件列表：1.商品描述2.價格表3.交付時間表4.付款方式說明5.稅收政策文件6.知識產(chǎn)權(quán)許可協(xié)議7.保密協(xié)議8.爭議解決機(jī)制說明9.合同履行證明文件10.其他雙方約定需要附加的文件二、違約行為及認(rèn)定：1.賣方違約：未能按約定時間交付商品交付的商品與約定不符未能履行合同中的其他義務(wù)2.買方違約：未能按約定時間支付貨款未能履行合同中的其他義務(wù)3.違約行為的認(rèn)定：遲延履行不完全履行拒絕履行履行質(zhì)量不符合約定三、法律名詞及解釋：1.違約（Breach）：不履行合同義務(wù)或履行不符合約定的行為。2.遲延履行（PerformanceDeferred）：履行時間延后。4.拒絕履行（RefusaltoPerform）：明確表示不履行合同義務(wù)。5.履行質(zhì)量不符合約定（PerformanceNotinAccordancewithAgreement）：履行結(jié)果與合同約定不符。四、執(zhí)行中遇到的問題及解決辦法：1.交付問題：提前通知賣方預(yù)計交付日期買方指派專門人
