on.6.1.3Theconfidentialityobligationsshallremainineffectduringandaftertheterminationofthiscontract.6.2Non-CompeteClause6.2.1TheEmployeeagreesnottoengageinanybusinessactivitiesthatcompetewiththeEmployer'sbusinessduringthetermofthiscontractandforaperiodof______monthsaftertermination.6.2.2Thenon-competeclauseappliestothegeographicareaof______.6.2.3Anybreachofthenon-competeclausewillresultinlegalactionandtheEmployeemaybeliablefordamages.6.3IntellectualProperty6.3.1AnyintellectualpropertycreatedbytheEmployeeduringthecourseoftheiremploymentshallbethesolepropertyoftheEmployer.6.3.2TheEmployeeagreestoassignallrights,titles,andinterestsinanyintellectualpropertytotheEmployer.6.3.3TheEmployeeshallcooperatewiththeEmployerinobtainingandenforcingintellectualpropertyrights.第七章:TerminationandSeverance7.1TerminationbyEmployer7.1.1TheEmployermayterminatethiscontractwithimmediateeffectunderthefollowingcircumstances:TheEmployeecommitsaseriousbreachofcontractorcompanypolicies.TheEmployeeisfoundguiltyofgrossmisconductorcriminalactivities.TheEmployeefailstoperformtheirdutiestotherequiredstandarddespitereceivingwrittenwarnings.7.1.2Incasesnotcoveredby7.1.1,theEmployermustprovidetheEmployeewithanoticeperiodof______daysorpaymentinlieuofnotice.7.2TerminationbyEmployee7.2.1TheEmployeemayterminatethiscontractbyprovidingtheEmployerwithanoticeperiodof______days.7.2.2IftheEmployeeterminatesthecontractwithouttherequirednoticeperiod,theymaybeliableforanydamagesincurredbytheEmployerduetotheabrupttermination.7.3SeverancePay7.3.1TheEmployeeisentitledtoseverancepayifthecontractisterminatedbytheEmployerforreasonsotherthanthoselistedin7.1.1.7.3.2SeverancepaywillbecalculatedbasedontheEmployee'slengthofserviceandthecompany'spolicies,asdetailedinAppendixE.7.3.3Severancepaywillbepaidwithin______daysofthecontractterminationdate.第八章:DisputeResolution8.1Negotiation8.1.1Bothpartiesagreetofirstattempttoresolveanydisputesarisingfromthiscontractthroughfriendlynegotiation.8.1.2Eitherpartymayinitiatethenegotiationprocessbyprovidingwrittennoticetotheotherpartyoutliningthenatureofthedispute.8.2Mediation8.2.1Ifnegotiationfails,thepartiesagreetosubmitthedisputetomediation.8.2.2Themediatorwillbeselectedbymutualagreement,andthemediationprocesswillbeconductedinaccordancewiththerulesof______(mediationorganization).8.2.3Thecostsofmediationwillbesharedequallybybothparties.8.3Arbitration8.3.1Ifmediationfailstoresolvethedispute,eitherpartymaysubmitthedisputetobindingarbitration.8.3.2Thearbitrationwillbeconductedinaccordancewiththerulesof______(arbitrationorganization).8.3.3Thearbitrationawardwillbefinalandbindingonbothparties,andthecostsofarbitrationwillbebornebythelosingpartyunlessotherwisedeterminedbythearbitrator.第九章:AmendmentsandModifications9.1ContractAmendments9.1.1Anyamendmentstothiscontractmustbemadeinwritingandsignedbybothparties.9.1.2Verbalagreementsormodificationswillnotberecognizedunlessconfirmedinwriting.9.2NoticeofChanges9.2.1Eitherpartywishingtoproposeamendmentstothiscontractmustprovidewrittennoticetotheotherpartyatleast______daysinadvance.9.2.2Thenoticemustincludetheproposedchangesandthereasonsforsuchchanges.9.3AgreementonAmendments9.3.1Bothpartiesmustmutuallyagreetoanyproposedamendments.9.3.2Onceagreedupon,theamendmentswillbecomeanintegralpartofthiscontractandwillbeenforceableassuch.第十章:MiscellaneousProvisions10.1GoverningLaw10.1.1Thiscontractshallbegovernedbyandconstruedinaccorda
