Preamble:

ThisConsultingServicesAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoonthis[Day]of[Month],[Year],byandbetween[Client'sName],a[Client'sCompanyRegistrationDetails](hereinafterreferredtoasthe"Client"),and[Consultant'sName],a[Consultant'sCompanyRegistrationDetails](hereinafterreferredtoasthe"Consultant").

1.EngagementandServices:

TheClientherebyengagestheConsultanttoprovideconsultingservicesasoutlinedinExhibitA,attachedheretoandmadeaparthereof(the"Services").TheConsultantagreestoperformtheServiceswithdueskill,care,anddiligence,inaccordancewiththestandardsprevailingintheindustry.

2.Term:

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheServicesoruntilterminatedbyeitherpartyinaccordancewiththeterminationprovisionssetforthinthisAgreement.

3.Compensation:

InconsiderationoftheServicesprovidedbytheConsultant,theClientshallpaytheConsultantthefeessetforthinExhibitB,attachedhereto.Paymentshallbemadewithin[Number]daysaftertheConsultantsubmitsaproperinvoicefortheServicesrendered.

4.Confidentiality:

TheConsultantacknowledgesthatduringthecourseofthisAgreement,theymayhaveaccesstocertainproprietaryandconfidentialinformationoftheClient.TheConsultantagreestomaintainstrictconfidentialityandnotdiscloseanysuchinformationtoanythirdpartywithouttheClient'spriorwrittenconsent.

5.IntellectualProperty:

AllintellectualpropertyrightsrelatedtotheServicesprovidedbytheConsultantshallremainthepropertyoftheConsultant.TheClientshallhavearoyalty-free,non-exclusive,worldwidelicensetouseanyintellectualpropertycreatedbytheConsultantspecificallyfortheClientunderthisAgreement.

6.Indemnification:

TheConsultantshallindemnifyandholdharmlesstheClientagainstanyclaims,losses,ordamagesarisingoutofanynegligence,misconduct,orbreachofthisAgreementbytheConsultant.

7.Termination:

EitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherparty.Incaseoftermination,theClientshallpaytheConsultantforallServicesrendereduptothedateoftermination,andtheConsultantshalldeliverallwork-in-progresstotheClient.

8.GoverningLaw:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[GoverningJurisdiction].
