6.ForceMajeure

NeitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthisAgreementduetounforeseeneventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,andgovernmentactions.

7.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedamicablythroughnegotiations.Ifanamicablesettlementcannotbereached,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

8.GoverningLawandJurisdiction
