suranceoftheLeasedPropertyPartyAshallinsurethepropertyagainstriskssuchasfire,naturaldisasters,andotherperilsattheirownexpense.8.2RisksandResponsibilities8.2.1Intheeventoflossordamagetothepropertyduetoforcemajeure,PartyAshallpromptlynotifyPartyBandnegotiatearesolutionbasedontheactualcircumstances.8.2.2PartyBshallproperlymaintainthepropertyandshallberesponsibleforcompensationincaseofdamageduetotheirnegligence.8.3CompensationforAccidentalDamage8.3.1IntheeventofdamagetothepropertycausedbyPartyB'simproperuse,PartyBshallberesponsibleforcompensation.8.3.2Thecompensationamountshallbedeterminedbasedontheactuallossandagreeduponbybothparties.Chapter9:ContractModificationandAssignment9.1ConditionsforContractModificationThepartiesmaymodifythecontentofthiscontractbymutualagreement.9.2RestrictionsonContractAssignmentWithoutthewrittenconsentofPartyA,PartyBshallnotassigntherighttousethepropertytoathirdparty.9.3ProceduresforModificationandAssignment9.3.1Anymodificationorassignmentofthecontractshallbeinwritingandsignedbybothparties.9.3.2Themodificationorassignmentagreementshallbeconsideredanintegralpartofthiscontract.Chapter10:LiabilityforBreachofContract10.1CircumstancesandDeterminationofBreachofContract10.1.1PartyB'sfailuretopayrentorotherfeeswithinaspecifiedperiodshallbeconsideredabreachofcontract.10.1.2PartyA'sfailuretoprovidethepropertyasagreedshallbeconsideredabreachofcontract.10.2CompensationandLiabilityforBreachofContractThebreachingpartyshallcompensatetheotherpartyforanylossesincurredasaresultofthebreach.10.3ResolutionofDisputesArisingfromBreachofContractDisputesarisingfromabreachofcontractshallberesolvedthroughfriendlynegotiations.Ifnegotiationsfail,thepartiesmaysubmitthedisputetothecourtofjurisdictionwherePartyAislocated.Chapter11:TerminationandExpiryoftheContract11.1ConditionsandProceduresforContractTermination11.1.1Eitherpartymayterminatethecontractbywrittennoticeintheeventofamaterialbreachbytheotherparty.11.1.2Theterminatingpartyshallprovidereasonsforthetermination.11.2ConditionsandProceduresforContractExpiry11.2.1Thecontractshallautomaticallyexpireupontheendoftheleaseterm.11.2.2Thepartiesmayagreetoterminatethecontractbeforetheendoftheleaseterm.11.3RightsandObligationsAfterTerminationorExpiry11.3.1Uponterminationorexpiryofthecontract,PartyBshallreturnthepropertytoPartyA.11.3.2PartyAshallreturnthedeposittoPartyBwithin______daysafterthepropertyisreturned.Chapter12:DisputeResolution12.1MethodsofDisputeResolution12.1.1Thepartiesshallfirstattempttoresolvedisputesthroughfriendlynegotiations.12.1.2Ifnegotiationsfail,thepartiesmayagreetosubmitthedisputetomediationbyamutuallyagreedthirdparty.12.2ArbitrationandLitigation12.2.1Ifmediationisunsuccessful,thepartiesmaysubmitthedisputetoarbitrationundertherulesofthearbitrationcommissionlocatedwherePartyAisbased.12.2.2Ifarbitrationisunsuccessful,thepartiesmayinitiatelitigationinthecourtofjurisdictionwherePartyAislocated.12.3ApplicableLawandJurisdiction12.3.1ThiscontractisgovernedbythelawsofthePeople'sRepublicofChina.12.3.2ThecourtofjurisdictionforanydisputesarisingunderthiscontractshallbethecourtwherePartyAislocated.Chapter13:AdditionalClauses13.1SpecialAgreementsThepartiesmayagreeonspecialtermsandconditionsregardingtheuse,maintenance,andotheraspectsoftheproperty.13.2ConfidentialityAgreement13.2.1Bothpartiesshallkeepthecontentofthecontractandanyrelatedbusinessinformationconfidential.13.2.2Withoutthewrittenconsentoftheotherparty,neitherpartyshalldisclosesuchinformationtoanythirdparty.13.3OtherAdditionalClausesThepartiesmayenterintoadditionalagreementstoaddressmattersnotcoveredinthiscontract.Chapter14:SigningoftheContract14.1PartiestotheContractPartyA(Lessor):______;PartyB(Lessee):______.14.2DateofSigningThiscontractissignedonthe______dayof______,2024.14.3PlaceofSigningThesigningofthiscontracttakesplaceat______.Thiscontractisexecutedintwocounterparts,eachofwhichshallbebindingontheparties.多方為主導(dǎo)時(shí)的,附件條款及說明附件一:共同租賃協(xié)議共同使用原則1.1所有租賃方應(yīng)共同遵守租賃物的使用規(guī)則,不得妨礙其他方的正常使用。1.2各方應(yīng)維護(hù)租賃物的公共區(qū)域,保持其整潔和秩序。維護(hù)與修繕2.1甲方負(fù)責(zé)租賃物的結(jié)構(gòu)性維護(hù)和保險(xiǎn)事宜。2.2各方應(yīng)共同承擔(dān)租賃物的日常維護(hù)責(zé)任,并按比例分?jǐn)傁嚓P(guān)費(fèi)用。費(fèi)用分?jǐn)?.1租賃物的公共費(fèi)用(如水電費(fèi)、物業(yè)管理費(fèi)等)由各方按使用比例分?jǐn)偂?.2各方應(yīng)按時(shí)支付分?jǐn)傎M(fèi)用,逾期支付的,應(yīng)按合同約定支付滯納金。安全管理4.1各方應(yīng)遵守租賃物的安全管理規(guī)定,不得從事任何可能危害租賃物安全的行為。4.2甲方應(yīng)定期組織安全檢查,確保租賃物的安全使用。附件二:轉(zhuǎn)讓與變更協(xié)議轉(zhuǎn)讓條件1.1任何一方轉(zhuǎn)讓其租賃物使用權(quán),須提前通知其他各方,并征得甲方的同意。1.2轉(zhuǎn)讓方應(yīng)確保受讓方遵守本合同及附件條款的規(guī)定。變更程序2.1變更租賃物使用權(quán)的,轉(zhuǎn)讓方和受讓方應(yīng)簽訂書面轉(zhuǎn)讓協(xié)議,并提交甲方備案。2.2甲方應(yīng)在收到轉(zhuǎn)讓協(xié)議后的規(guī)定時(shí)間內(nèi)完成備案,并出具變更確認(rèn)書。轉(zhuǎn)讓后的權(quán)利與義務(wù)3.1轉(zhuǎn)讓方在轉(zhuǎn)讓后,不再享有原租賃物使用權(quán),也不再承擔(dān)相應(yīng)的義務(wù)。3.2受讓方自轉(zhuǎn)讓協(xié)議生效之日起,享有原租賃物使用權(quán),并承擔(dān)相應(yīng)的義務(wù)。附件三:爭議解決機(jī)制協(xié)商解決1.1各方應(yīng)首先通過友好協(xié)商的方式解決因租賃物使用產(chǎn)生的爭議。1.2協(xié)商不成的,各方可共同選擇第三方調(diào)解機(jī)構(gòu)進(jìn)行調(diào)解。仲裁與訴訟2.1調(diào)解不成的,各方可依據(jù)合同約定,將爭議提交甲方所在地仲裁委員會(huì)進(jìn)行仲裁。2.2仲裁不成的,各方可向甲方所在地人民法院提起訴訟。法律適用與管轄3.1本附件條款適用中華人民共和國法律。3.2甲方所在地人民法院為爭議解決的管轄法院。附件四:保密協(xié)議保密義務(wù)1.1各方應(yīng)對租賃物的使用情況、合同內(nèi)容及其他商業(yè)秘密負(fù)有保密義務(wù)。1.2未經(jīng)其他方書面同意,任何一方不得向第三方披露保密信息。保密期限2.1保密期限自本合同簽訂之日起至租賃期限屆滿后的規(guī)定年數(shù)。2.2保
