**EmploymentContract**

ThisEmploymentContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertEmployerName]("Employer"),acompanyorganizedandexistingunderthelawsof[InsertCountry/State],and[InsertEmployeeName]("Employee"),anindividualwithresidenceat[InsertEmployeeResidence].

1.PositionandDuties.

TheEmployeeisemployedbytheEmployerinthepositionof[InsertJobTitle](the"Position").TheEmployeeshallperformsuchdutiesandresponsibilitiesasareconsistentwiththePosition,asmaybereasonablyassignedbytheEmployerfromtimetotime.

2.TermofEmployment.

TheemploymentoftheEmployeeunderthisContractshallcommenceon[InsertStartDate]andshallcontinueuntil[InsertEndDate],unlessearlierterminatedinaccordancewiththetermsofthisContract(the"Term").

3.Compensation.

5.ConfidentialityandNon-Disclosure.

TheEmployeeacknowledgesthatduringthecourseofemployment,theEmployeemayhaveaccesstoconfidentialinformation,tradesecrets,andotherproprietaryinformationoftheEmployer(the"ConfidentialInformation").TheEmployeeagreestomaintainthestrictestconfidentialitywithrespecttoallConfidentialInformationandnottodiscloseorusesuchConfidentialInformationforanypurposeotherthantheperformanceoftheEmployee'sdutiesunderthisContract.

6.IntellectualProperty.

Allinventions,discoveries,improvements,designs,andotherintellectualproperty(collectively,the"IntellectualProperty")createdbytheEmployeeduringthecourseofemploymentshallbetheexclusivepropertyoftheEmployer,unlessotherwiseagreedinwritingbytheEmployer.TheEmployeeshallexecuteallnecessarydocumentsandtakeallreasonablestepstoassisttheEmployerinperfectingandenforcingtheEmployer'srightsintheIntellectualProperty.

7.Termination.

EitherpartymayterminatethisContractforcauseatanytimeuponwrittennoticetotheotherparty.ForpurposesofthisContract,"cause"shallmeanmisconduct,repeatedfailuretoperformduties,orotherconductthatisdetrimentaltotheEmployer'sinterests.IntheeventofterminationwithoutcausebytheEmployer,theEmployeeshallbeentitledtoreceiveseverancepayinaccordancewithapplicablelawsandtheEmployer'spolicies.

8.GoverningLawandJurisdiction.

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertCountry/State],andanydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[InsertCountry/State].
