Inconsiderationofthemutualbenefitsandcommitments,[YourCompanyName]("theOrganizer")and[Client'sCompanyName]("theClient")enterintothisExhibitionFeeContractAgreement(the"Agreement")fortheparticipationin[EventName],scheduledtobeheldon[EventDates]at[Venue].

1.ExhibitionSpaceandFees

TheOrganizerherebygrantstheClienttherighttooccupyanexhibitionspace,asspecifiedinExhibitAattachedhereto,attheEvent.TheClientagreestopaytheOrganizerthetotalexhibitionfeeof[Currency][Amount]("ExhibitionFee"),asoutlinedinExhibitB,whichispayableasfollows:

a.Anon-refundabledepositof[Percentage]oftheExhibitionFeeisdueuponthesigningofthisAgreement.

2.SpaceAllocationandSetup

TheOrganizerwillallocatetheexhibitionspacetotheClient,consideringthenatureoftheClient'sexhibitsandtheoveralllayoutoftheEvent.TheClientshalladheretothespaceallocationandthesetupguidelinesprovidedbytheOrganizer.TheClientisresponsiblefortheconstruction,installation,anddismantlingoftheirexhibitionboothinaccordancewiththeEvent'sscheduleandregulations.

3.CancellationandRefundPolicy

IntheeventofcancellationbytheClient,theOrganizershallretainthenon-refundabledeposit.IfthecancellationnoticeisreceivedbytheOrganizerafter[Date],theClientshallbeliablefor[Percentage]ofthetotalExhibitionFee.Anycancellationnoticemustbemadeinwriting.

4.IntellectualPropertyandLiability

TheClientacknowledgesthattheOrganizerretainsallintellectualpropertyrightsrelatedtotheEvent.TheClientshallindemnifyandholdtheOrganizerharmlessagainstanyclaims,losses,orliabilitiesarisingfromtheClient'sexhibits,products,orservices.TheOrganizershallnotbeliableforanylossordamagetotheClient'sproperty,exhibits,orpersonnelduringtheEvent.

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceoftheirobligationsunderthisAgreementduetoanycausebeyondtheirreasonablecontrol,including,butnotlimitedto,actsofGod,labordisputes,ordisruptionsintransportation.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

7.EntireAgreement

ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.AnymodificationstothisAgreementmustbemadeinwritingandsignedbybothparties.
