1.DescriptionofServices

PartyAagreestoprovidethefollowinglaborservicestoPartyB:

5.Confidentiality

BothPartiesagreetomaintainstrictconfidentialitywithrespecttoanyandallconfidentialinformationdisclosedbyeitherPartyduringthetermofthisContract.

6.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughnegotiationsbetweentheParties.Ifthenegotiationsfailtosettlethedisputes,eitherPartymaysubmitthedisputestotheapplicablecourtsorarbitrationinstitutionsforresolution.

7.Miscellaneous

7.1ThisContractmaynotbeassignedbyeitherPartywithoutthepriorwrittenconsentoftheotherParty.

7.2ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

7.3AnyamendmentorsupplementtothisContractmustbeinwritingandexecutedbybothParties.
