2.PartyB'sCapabilities:PartyBhasthenecessaryexpertise,resources,andlegalauthorizationtosupplytherequestedproducts/services/goods.PartyBhasrepresentedthatithasthecapacityandtechnicalknow-howtomeetPartyA'srequirementsinatimelyandsatisfactorymanner.

3.MutualBenefits:BothPartiesacknowledgethatthisContractisenteredintowiththemutualunderstandingthatitwillbenefittheirrespectivebusinesses.PartyAwillgnaccesstoqualityproducts/services/goods,whilePartyBwillsecureacommittedbuyer/client,ensuringastablerevenuestream.

4.LegalCompliance:BothPartiesagreetocomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheirobligationsunderthisContract.Theyshallobtnandmntnanynecessarylicenses,permits,orauthorizationstocarryouttheirrespectiveactivities.

Article3RightsandObligationsofBothParties

-PartyAshallinspecttheGoods/ServicesupondeliveryandnotifyPartyBofanydefectsornon-conformitieswithinaspecifiedperiod.

-PartyAshallcomplywithallapplicablelawsandregulationsrelatedtotheuse,storage,andhandlingoftheGoods/Services.

2.PartyB'sRightsandObligations:

-PartyBshallhavetherighttoreceivethePurchasePricefortheGoods/Servicesaspertheagreedpaymentterms.

-PartyBshalldelivertheGoods/ServicestoPartyAinatimelymanner,ensuringthattheyconformtotheagreedspecificationsandqualitystandards.

-PartyBshallprovidenecessarydocumentation,suchasinvoices,packinglists,andanyrequiredcertifications,alongwiththeGoods/Services.

-PartyBshallprovideafter-salessupport,includingwarrantyservices,mntenance,andtechnicalassistance,ifapplicable.

-PartyBshallensurethatallGoods/Servicesprovidedarefreefromanyliens,encumbrances,orthird-partyclms.

BothPartiesshallperformtheirrespectiveobligationsingoodfthandusetheirbesteffortstoensurethesuccessfulcompletionofthetransaction.EachPartyshallberesponsibleforanybreachesofitsobligationsassetforthinthisContract,andshallholdtheotherPartyharmlessfromanylossesordamagesarisingtherefrom,exceptwheresuchbreachisduetoaForceMajeureevent.

Article5PerformancePeriod

ThisContractshallbeeffectivefromthedateofitsexecutionandshallremninforceuntilthecompletionofallobligationsassetforthherein,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.Thekeytimenodesanddeadlinesareasfollows:

Article6LiabilityforBreach

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

-Inadditiontothepenalty,thenon-breachingPartyshallbeentitledtoclmforanyactualdamagessufferedasaresultofthebreach,includingbutnotlimitedto,lossofprofit,costsincurredduetodelay,andanythird-partyclms.

-IfthebreachisfundamentalandleadstotheimpossibilityofachievingtheContract'spurpose,thenon-breachingPartyshallhavetherighttoterminatethisContractandseekcompensationforalllossesanddamagesarisingfromthetermination.

-ThePartiesagreethattheaforementionedpenaltiesanddamagesareagenuinepre-estimateofthelikelylossandarenotapenalty.

ThePartiesshallalsobeliableforanyindirectorconsequentiallosses,excepttotheextentthatsuchlossesarerecoverableunderapplicablelaw.

IntheeventofaForceMajeure,theaffectedPartyshallbeexcusedfromperformanceandshallnotbeliableforanydelaysorfluresinperformanceresultingtherefrom.TheaffectedPartymustpromptlynotifytheotherPartyoftheexistenceandnatureofsuchForceMajeureeventandmustusereasonableeffortstomitigatetheeffectsoftheevent.

Article7ForceMajeure

ForthepurposeofthisContract,"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaParty,whichpreventsordelaystheperformanceofitsobligationsunderthisContract,andwhichcouldnothavebeenavoidedbytheexerciseofduediligence.Sucheventsinclude,butarenotlimitedto,actsofGod,naturaldisasters,fires,floods,explosions,war,riots,strikes,lockouts,governmentalactions,andanyothersimilarevents.

IntheeventofaForceMajeure,theaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisContractforthedurationoftheevent,providedthatthefollowingconditionsaremet:

-TheaffectedPartypromptlynotifiestheotherPartyoftheoccurrenceoftheForceMajeureeventandprovidesreasonableevidencethereof.

-TheaffectedPartyusesitsbesteffortstoresumeperformanceassoonaspossibleandtomitigatetheeffectsoftheForceMajeureevent.

-TheForceMajeureeventisnotduetothenegligence,fault,orwillfulmisconductoftheaffectedParty.

IfaForceMajeureeventcontinuesforaperiodexceeding[Specifythenumberofdays],thenon-affectedPartyshallhavetherighttoterminatethisContractbyprovidingwrittennoticetotheaffectedParty.Insuchcase,neitherPartyshallbeentitledtoclmdamagesorotherrelieffortheterminationoftheContract.

Article8DisputeResolution

IntheeventofanydisputeordifferencearisingbetweenthePartiesinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethematteramicablythroughnegotiation.IfthePartiesfltoreachamutuallyacceptableresolutionwithin[Specifythenumberofdays],theymayagreetosubmitthedisputetomediationinaccordancewiththerulesof[Specifythemediationbody,ifany].

Ifthedisputecannotberesolvedthroughnegotiationormediation,thePartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesof[Specifythearbitrationinstitution],whicharbitrationshallbeconductedbyasinglearbitratormutuallyagreeduponbytheParties.Thelanguageofthearbitrationshallbe[Specifythelanguage].ThedecisionofthearbitratorshallbefinalandbindingupontheParties.
