劇院給水系統(tǒng)安裝工程協(xié)議合同編號：__________theatrewatersysteminstallationprojectagreementThiscontract(hereinafterreferredtoasthisContract)ismadeandenteredintoonthisdayof____________(theEffectiveDate),andbetween____________(theatrename),alegalentityorganizedandexistingunderthelawsofthePeople'sRepublicofChina(hereinafterreferredtoasthe"Theatre"),and____________(contractor'sname),alegalentityorganizedandexistingunderthelawsofthePeople'sRepublicofChina(hereinafterreferredtoasthe"Contractor").Witnesseth:WHEREAS,theTheatrerequirestheinstallationofawatersupplysystem(hereinafterreferredtoasthe"Project")tomeetitsoperationalneeds;WHEREAS,theContractorhasthenecessaryqualifications,experienceandtechnicalcapabilitiestocarryouttheinstallationofthewatersupplysystem;NOW,THEREFORE,inconsiderationofthemutualbenefitsandinfurtheranceofthemutualinterestsoftheParties,thePartiesheretoagreeasfollows:Article1:ScopeofWork1.1TheContractorshallberesponsiblefortheinstallationofthewatersupplysystemattheTheatreinaccordancewiththedrawings,specificationsandrequirementsprovidedtheTheatre.Article2:PriceandPaymentTerms2.1TheContractorshallprovideadetailedquotationfortheinstallationofthewatersupplysystem,whichshallincludeallcostsassociatedwiththeinstallationwork,includingbutnotlimitedtolabor,materials,equipment,transportationandoverheadexpenses.Article3:PerformanceandQualityAssurance3.1TheContractorshallperformtheinstallationworkinaprofessionalandworkmanlikemanner,andshalluseonlyqualifiedandexperiencedpersonneltocarryoutthework.3.2TheContractorshallensurethatthewatersupplysysteminstalledisofgoodquality,freefromanydefectsandfitfortheintendedpurpose.Article4:Indemnity4.1TheContractorshallindemnifyandholdharmlesstheTheatreagainstanyandallclaims,losses,damages,liabilities,expensesandcosts(includinglegalfeesandexpenses)arisingoutoforinconnectionwiththeinstallationofthewatersupplysystem,exceptforthosecausedthegrossnegligenceorwillfulmisconductoftheTheatre.4.2TheContractorshallassumeallrisksandliabilitiesassociatedwiththeinstallationwork,includingbutnotlimitedtopersonalinjury,propertydamageandenvironmentalpollution.Article5:TermandTermination5.2EitherPartymayterminatethisContractgivingwrittennoticetotheotherPartyiftheotherPartyfailstoperformanymaterialobligationhereunderandsuchfailurecontinuesforaperiodof____________(cureperiod)afterreceiptofwrittennoticefromtheotherPartyspecifyingthedefaultanddemandingcure.Article6:DisputeResolution6.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationbetweentheParties.6.2IfthePartiesareunabletoresolveanysuchdisputesthroughnegotiation,eitherPartymaysubmitthedisputesto____________(arbitrationinstitution)forarbitrationinaccordancewiththerulesofsuchinstitution.6.3ThedecisionofthearbitrationtribunalshallbefinalandbindingupontheParties.Article7:EntireAgreementThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheParties.Article8:AmendmentsandModificationsThisContractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothParties.Article9:NoticesArticle10:GoverningLawandJuris一、附件列表：1.劇院給水系統(tǒng)安裝工程設(shè)計圖紙2.劇院給水系統(tǒng)安裝工程技術(shù)規(guī)格書3.劇院給水系統(tǒng)安裝工程施工方案4.劇院給水系統(tǒng)安裝工程質(zhì)量驗收標(biāo)準(zhǔn)5.劇院給水系統(tǒng)安裝工程安全防護(hù)措施6.劇院給水系統(tǒng)安裝工程環(huán)境保護(hù)措施7.劇院給水系統(tǒng)安裝工程進(jìn)度計劃8.劇院給水系統(tǒng)安裝工程付款申請表9.劇院給水系統(tǒng)安裝工程變更申請表10.劇院給水系統(tǒng)安裝工程驗收報告二、違約行為及認(rèn)定：1.Contractor未能按照約定的時間完成安裝工作。2.Contractor未能按照約定的質(zhì)量標(biāo)準(zhǔn)完成安裝工作。3.Contractor未能按照約定的規(guī)格要求完成安裝工作。4.Contractor未能按照約定的法律法規(guī)完成安裝工作。5.Theatre未能按照約定的時間支付合同款項。6.Theatre未能按照約定的要求提供施工條件。7.Theatre未能按照約定的要求提供設(shè)計圖紙和技術(shù)規(guī)格書。三、法律名詞及解釋：1.合同違約：指合同當(dāng)事人未能履行合同約定的義務(wù)。2.合同解除：指合同當(dāng)事人根據(jù)合同約定或者法律規(guī)定，終止合同權(quán)利義務(wù)的行為。3.合同變更：指合同當(dāng)事人對已訂立的合同內(nèi)容進(jìn)行修改或者補(bǔ)充。4.違約責(zé)任：指合同當(dāng)事人因違約行為應(yīng)當(dāng)承擔(dān)的法律責(zé)任。5.合同履行：指合同當(dāng)事人按照合同約定履行合同義務(wù)的行為。6.合同終止：指合同當(dāng)事人按照合同約定或者法律規(guī)定，終止合同關(guān)系的行為。四、執(zhí)行中遇到的問題及解決辦法：1.遇到施工進(jìn)度延誤的問題，應(yīng)及時與Theatre溝通，調(diào)整施工計劃，并采取措施加快施工進(jìn)度。2.遇到施工質(zhì)量問題，應(yīng)立即停工，與Theatre及相關(guān)資質(zhì)人員共同分析原因，制定整改措施，并重新施工。3.遇到設(shè)計圖紙或技術(shù)規(guī)格書不符合要求的問題，應(yīng)及時與Theatre溝通，要求Theatre提供正確的設(shè)計圖紙和技術(shù)規(guī)格書。4.
