英文版購銷合同啟示合同編號：__________INTRODUCTIONThisPurchaseandSaleContract(the"Contract")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:(Eacha"Party"andcollectivelythe"Parties")BACKGROUNDWHEREAS,theBuyerdesirestopurchasefromtheSeller,andtheSellerdesirestoselltotheBuyer,certaingoods(the"Goods")onthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesagreeasfollows:ARTICLE1:DEFINITIONS1.1Definitions.ForpurposesofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow,unlessthecontextotherwiserequires:(b)"ContractPrice"meansthetotalpurchasepricefortheGoodssetforthinArticle4below;(c)"DeliveryDate"meansthedatewhichtheSelleragreestodelivertheGoodstotheBuyer,assetforthinArticle3below;(d)"Goods"meanstheproductsanditemsdescribedinExhibitAattachedhereto;(e)"IntellectualPropertyRights"meansallrights,andinterestinandtoallpatents,inventions,copyrights,tradesecrets,trademarks,servicemarks,tradenames,andotherintellectualpropertyrightsofwhatevernature,whetherregisteredorunregistered,andincludingallapplicationsandrightstoapplyforandbegrantedthesame;(f)"Order"meansthepurchaseorderorotherwritteninstrumentissuedtheBuyertotheSellerforthepurchaseoftheGoods;(g)"Party"meansapartytothisContract,and"Parties"meansbothofthePartiestothisContract;(h)"Specifications"meansthedetaileddescriptionoftheGoods,includingwithoutlimitationqualitystandards,technicalspecifications,andperformancecriteria,setforthinExhibitBattachedhereto;(i)"Term"meansthetermofthisContractassetforthinArticle7below;and(j)"WarrantyClaims"meansanyclaimstheBuyerallegingthattheGoodsdonotconformtotheSpecificationsorareotherwisedefectiveornonconforming.1.2GenderandNumber.Wordsimportinganygenderincludeeverygender,andwordsimportingthesingularnumberincludethepluralnumber,asthecontextrequires.ARTICLE2:ORDERANDACCEPTANCE2.1Order.TheBuyermayissueanOrdertotheSellerforthepurchaseofGoodsinaccordancewiththetermsofthisContract.EachOrdershallbeinwritingandshallbedeemedanoffertopurchasetheGoodssubjecttothetermsofthisContract.2.2Acceptance.TheSellermayacceptanOrderacknowledgingtheOrderinwriting,ordeliveringtheGoodsinaccordancewiththetermsofthisContract.TheSeller'sacceptanceofanOrdershallcreateabindingobligationonthePartiestoperformtheirrespectiveobligationsunderthisContract.2.3RelationshipoftheParties.TherelationshipbetweenthePartiesisthatofindependentcontractors.NothinginthisContractshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweentheParties.ARTICLE3:DELIVERYANDACCEPTANCEOFGOODS3.1Delivery.TheSellershalldelivertheGoodstothelocationspecifiedtheBuyer(the"DeliveryLocation")onorbeforetheDeliveryDate.TheSellershallberesponsibleforallshipping,handling,andtransportationcostsassociatedwiththedeliveryoftheGoodstotheDeliveryLocation.3.2Acceptance.TheBuyershallhavetherighttoinspectandtesttheGoodsupondelivery.TheBuyermayrejectanyGoodsthatdonotconformtotheSpecificationsorthatareotherwisedefectiveornonconforming.TheSellershall,atitsownexpense,promptlycorrectorreplaceanyrejectedGoodsinaccordancewiththetermsofthisContract.3.3一、附件列表：1.ExhibitADescriptionofGoods2.ExhibitBSpecifications二、違約行為及認(rèn)定：1.FailuretodelivertheGoodsonorbeforetheDeliveryDateasspecifiedinArticle3.2.FailuretoprovideGoodsthatconformtotheSpecificationsasrequiredinArticle3.3.FailuretocorrectorreplacerejectedGoodsinaccordancewiththetermsofthisContract.4.FailuretoperformanyotherobligationsunderthisContractasagreedtheParties.三、法律名詞及解釋：2.ContractPriceThetotalpurchasepricefortheGoodsasspecifiedinArticle4.3.DeliveryDateThedatewhichtheSelleragreestodelivertheGoodstotheBuyerasspecifiedinArticle3.4.GoodsTheproductsanditemsdescribedinExhibitA.5.IntellectualPropertyRightsAllrights,andinterestinandtoallpatents,inventions,copyrights,tradesecrets,trademarks,servicemarks,tradenames,andotherintellectualpropertyrightsofwhatevernature,whetherregisteredorunregistered.6.OrderThepurchaseorderorotherwritteninstrumentissuedtheBuyertotheSellerforthepurchaseoftheGoods.7.PartyApartytothisContract.8.SpecificationsThedetaileddescriptionoftheGoods,includingqualitystandards,technicalspecifications,andperformancecriteriaasspecifiedinExhibitB.9.TermThetermofthisContractasspecifiedinArticle7.10.WarrantyClaimsClaimstheBuyerallegingthattheGoodsdonotconformtotheSpecificationsorareotherwisedefectiveornonconforming.四、執(zhí)行中遇到的問題及解決辦法：1.Delayindelivery:IftheSellerfailstodelivertheGoodsonorbeforetheDeliveryDate,theBuyermayrequestforpromptcorrectionorreplacementoftheGoods,ormayclaimfordamagesresultingfromthedelay.2.NonconformingGoods:IftheGoodsdelivereddonotconformtotheSpecifications,theBuyermayrejecttheGoodsandrequestforpromptcorrectionorreplacementinaccordancewiththetermsofthisContract.3.IntellectualPropertyRightsinfringement:Intheeven
