1.ScopeofServices

PartyAshallprovidethefollowingservicestoPartyB:

2.Term

5.Termination

b.Intheeventoftermination,PartyAshallprovidePartyBwithafinalinvoiceforanyservicesrenderedpriortotermination.

6.Indemnification

a.PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeservicesprovidedunderthisAgreement,providedthatsuchclaims,liabilities,damages,losses,andexpensesarisefromthenegligenceorwillfulmisconductofPartyA;

b.PartyBshallindemnifyandholdharmlessPartyAagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingoutoforinconnectionwiththeservicesprovidedunderthisAgreement,providedthatsuchclaims,liabilities,damages,losses,andexpensesarisefromthenegligenceorwillfulmisconductofPartyB.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

6.FeesandExpenses

ThisAgreementisstructuredwithPartyA’srightsandinterestsastheprimaryfocus.ByensuringthatPartyAretainssignificantcontrolovertheservices’scope,quality,anddelivery,theAgreementprotectsPartyA’sinvestmentandguaranteesthefulfillmentofitsstrategicobjectives.ThedominanceofPartyA’srightsisessentialtomitigaterisksandensurethesuccessfulexecutionoftheproject.
