1.ConsignmentofGoods

1.1TheSellerherebyconsignstotheBuyer,freeofcharge,acertainquantityofgoodsdescribedasfollows:

1.2TheBuyeragreestoselltheconsignedgoodsonbehalfoftheSeller,subjecttothetermsandconditionssetforthinthisAgreement.

2.ResponsibilitiesoftheSeller

2.2TheSellershallprovidetheBuyerwithallnecessarydocumentation,includinginvoices,packinglists,andcertificatesoforigin,asrequiredforthesaleoftheconsignedgoods.

2.3TheSellershallbearallcostsandexpensesassociatedwiththetransportationoftheconsignedgoodstotheBuyer'sdesignatedlocation.

3.ResponsibilitiesoftheBuyer

3.1TheBuyershallactastheSeller'sagentinsellingtheconsignedgoodsandshallusereasonableeffortstosellthegoodsatthebestpossiblepriceandonthemostfavorableterms.

3.2TheBuyershallpromptlynotifytheSellerofanysaleoftheconsignedgoodsandprovidetheSellerwithafullaccountingofthesalesproceeds.

3.3TheBuyershallmaintainproperrecordsoftheconsignedgoods,includingsales,returns,andanyotherrelevantinformation.

4.PaymentandCommission

4.1TheBuyershallpaytheSelleracommissionof[Percentage]ofthesalesproceedsderivedfromthesaleoftheconsignedgoods.

4.2TheBuyershallremitthecommissiontotheSellerwithin[NumberofDays]afterthesaleoftheconsignedgoods.

5.OwnershipandRisk

5.1TheownershipoftheconsignedgoodsshallremainwiththeSelleruntilsuchgoodsaresoldbytheBuyer.

5.2TheriskoflossordamagetotheconsignedgoodsshallpasstotheBuyerupondeliveryofthegoodstotheBuyer'sdesignatedlocation.

6.TermandTermination

6.1ThisAgreementshallremainineffectforaperiodof[NumberofYears]fromthedateofexecution,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

6.2EitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyatleast[NumberofDays]priortotheterminationdate.

5.Principal'sRights

5.1PrincipalshallhavetherighttoapproveordisapproveanymarketingstrategyorpromotionalactivitiesproposedbyAgentorThirdParty.

5.2PrincipalshallhavetherighttoreceiveregularreportsfromAgentandThirdPartyregardingtheprogressofsalesanddistribution.

5.3PrincipalshallhavetherighttoterminatethisAgreementintheeventofabreachbyAgentorThirdPartyoftheirrespectiveobligationsunderthisAgreement.

6.Agent'sRights

6.1Agentshallhavetherighttoreceivetheagreed-uponcommissionforthesaleoftheconsignedgoods.

6.2AgentshallhavetherighttoengageThirdPartytoprovideadditionalservicesasnecessarytofacilitatethesaleoftheconsignedgoods.

7.Agent'sandThirdParty'sLimitationsandLiabilities

7.1AgentandThirdPartyshallnotbeliableforanylossordamagetotheconsignedgoodswhileintheirpossessionorcontrol.

7.2AgentandThirdPartyshallnotberesponsibleforanyactsoromissionsoftheotherpartyoritsemployees,agents,orcontractors.

8.Principal'sRightsinCaseofDefault

8.1IntheeventofadefaultbyAgentorThirdParty,Principalshallhavetherightto:

8.1.1TerminatethisAgreementimmediately;

8.1.2Takepossessionoftheconsignedgoodsandsellthematitsownrisk;

8.1.3Recoveranylossesincurredasaresultofthedefault.

9.GoverningLawandDisputeResolution

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].

9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesof[ApplicableArbitrationInstitution].

4.2ThirdPartyshallmaintaintheconfidentialityofPrincipal'stechnicalinformationandmanufacturingprocesses.

5.Principal'sRights

5.1Principalshallhavetherighttoinspectthemanufacturingprocessandqualityoftheproductsatanyreasonabletime.

5.2PrincipalshallhavetherighttoterminatethisAgreementifAgentorThirdPartyfailstomeettheagreedqualitystandards.

5.3Principalshallhavetherighttorequestchangestothemanufacturingprocessorspecificationsifnecessary.

6.Agent'sRights

6.1AgentshallhavetherighttonegotiatethetermsofthemanufacturingserviceswithThirdPartyonbehalfofPrincipal.

6.2Agentshallhavetherighttoreceiveacommissionforfacilitatingthemanufacturingprocess.

7.2AgentandThirdPartyshallnotberesponsibleforanydelayscausedbycircumstancesbeyondtheirreasonablecontrol.

8.Principal'sLimitationsandLiabilities

8.1Principalshallnotbeliableforanyfailuretosupplyrawmaterialsontimeduetocircumstancesbeyonditsreasonablecontrol.

8.2Principalshallnotbeliableforanydefectsintherawmaterialsprovidedbyit,unlesssuchdefectsareadirectresultofitsnegligence.

9.GoverningLawandDisputeResolution

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].
