WHEREAS,theDesignerisaprofessionaldesignerwithexpertisein[FieldofDesign],andtheClientisinneedof[DesignServices];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.ScopeofWork

TheDesignershallprovidetheClientwith[DesignServices]asspecifiedintheattached[ScopeofWorkDocument],includingbutnotlimitedto[DetailedDescriptionofDesignServices].

2.Delivery

TheDesignershalldeliverthecompleted[DesignServices]totheClientwithin[SpecificTimeframe]fromthedateofthisContract,orsuchotherperiodasmaybeagreeduponbythepartiesinwriting.

3.FeesandPayment

3.1TheClientshallpaytheDesigneratotalfeeof[AmountinWordsandCurrencies](hereinafterreferredtoas"theFee")fortheprovisionoftheDesignServices.

3.2TheFeeshallbepaidin[PaymentMethod]asfollows:

a)[PercentageofFee]oftheFeeshallbepaiduponthesigningofthisContract;

b)[PercentageofFee]oftheFeeshallbepaiduponthecompletionof[SpecificMilestone];

c)Theremaining[PercentageofFee]oftheFeeshallbepaiduponthefinaldeliveryoftheDesignServices.

3.3Allpaymentsshallbemadewithin[SpecificTimeframe]fromtheduedate,andanylatepaymentshallbesubjectto[LatePaymentPenaltyRate]perannum.

4.IntellectualPropertyRights

4.1TheDesignershallretainallintellectualpropertyrightsintheoriginaldesignworkcreatedfortheClientunderthisContract.

4.2TheClientshallobtainanon-exclusive,perpetual,worldwidelicensetousethedesignworkforthepurposesof[SpecificUse].

4.3TheClientshallnotcopy,modify,distribute,orotherwiseusethedesignworkinanymannerthatinfringesupontheintellectualpropertyrightsoftheDesigner.

5.Confidentiality

5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyduringthetermofthisContractandforaperiodof[SpecificDuration]aftertheterminationorexpirationofthisContract.

5.2Theobligationsofconfidentialityshallnotapplytoinformationthatispubliclyavailable,disclosedbyathirdpartywithoutbreachofconfidentiality,orindependentlydevelopedbythereceivingparty.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism],whichmayincludemediation,arbitration,orlitigation.

7.Termination

7.1ThisContractmaybeterminatedbyeitherpartyupon[SpecificTerminationConditions].

7.2UponterminationofthisContract,theDesignershalldeliverallcompletedworktotheClient,andtheClientshallpaytheDesigneranyoutstandingfeesdueandowing.

2.Delivery

2.1TheDesignershalldeliverthecompleted[DesignServices]totheClientwithin[SpecificTimeframe]fromthedateofthisContract,orsuchotherperiodasmaybeagreeduponbythepartiesinwriting.

2.2TheThirdPartyshallensurethetimelycompletionofits[SupportingServices]tofacilitatetheDesigner'sdeliveryofthe[DesignServices].

3.FeesandPayment

3.1TheClientshallpaytheDesigneratotalfeeof[AmountinWordsandCurrencies](hereinafterreferredtoas"theDesigner'sFee")fortheprovisionoftheDesignServices.

4.IntellectualPropertyRights

4.1TheDesignershallretainallintellectualpropertyrightsintheoriginaldesignworkcreatedfortheClientunderthisContract.

4.2TheClientshallobtainanon-exclusive,perpetual,worldwidelicensetousethedesignworkforthepurposesof[SpecificUse].

5.Client'sRightsandInterests

5.1TheClienthastherighttorequesttheDesignertomodifyorrevisethedesignworkasdeemednecessaryfortheproject'srequirements.

5.2TheClienthastherighttoobtainregularprogressupdatesfromtheDesignerandtheThirdPartyregardingthestatusoftheDesignServicesandSupportingServices.

5.3TheClienthastherighttoterminatethisContract,inwholeorinpart,upon[SpecificTerminationConditions],andtorecoveranyamountspaidtotheDesignerandtheThirdPartyuptothepointoftermination.

6.Designer'sandThirdParty'sObligations

6.1TheDesignershallensurethatthedesignworkmeetsthehigheststandardsofqualityandcreativity.

6.2TheDesignershallprovidetheClientwithallnecessarysupportandassistancethroughoutthedurationofthisContract.

6.3TheThirdPartyshallperformitsSupportingServiceswithduediligenceandinamannerthatdoesnotinterferewiththeDesigner'swork.

7.違約及限制條款

7.1IftheDesignerfailstodeliverthecompleteddesignworkwithintheagreedtimeframe,theClientshallhavetherighttoterminatethisContractandrecoveranyamountspaid.

7.2IftheThirdPartyfailstoperformitsSupportingServicesasagreed,theClientshallhavetherighttoterminatethisContractandrecoveranyamountspaid.

7.3TheDesignerandtheThirdPartyagreetolimittheirliabilitytotheClienttothetotalfeespaidbytheClientunderthisContract,andshallnotbeliableforanyindirect,special,orconsequentialdamages.

8.GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism],whichmayincludemediation,arbitration,orlitigation.

9.Termination

2.ConstructionManager'sRightsandObligations

2.1TheConstructionManagerhastherighttoreceivepaymentfortheconstructionmanagementservicesprovided.

2.2TheConstructionManagerhastherighttorequestadditionalinformationorresourcesfromtheContractorasnecessaryfortheeffectiveperformanceofitsduties.

2.3TheConstructionManagershallensurethattheprojectiscompletedinaccordancewiththeagreedscheduleandspecifications.

3.Contractor'sRightsandObligations

3.1TheContractorhastherighttoreceivepaymentfortheconstructionworkperformed.

3.2TheContractorhastherighttorequestchangestotheprojectscopeorschedulefromtheClientortheConstructionManager,withtheagreementofbothparties.

3.3TheContractorshallperformtheconstructionworkinamannerthatmeetstheindustrystandardsandspecifications.

4.Client'sRightsandObligations

4.1TheClienthastherighttoapproveorrejectanychangestotheprojectscopeorscheduleproposedbytheContractorortheConstructionManager.

4.2TheClienthastherighttoterminatethisContractintheeventofamaterialbreachbyeithertheContractorortheConstructionManager.

4.3TheClientshallprovidethenecessarydocumentationandsupporttotheContractorandtheConstructionManagertofacilitatetheproject'sprogress.

5.FeesandPayment

5.1TheClientshallpaytheContractoratotalfeeof[AmountinWordsandCurrencies](hereinafterreferredtoas"theConstructionFee")fortheconstructionwork.

5.2TheClientshallpaytheConstructionManageratotalfeeof[AmountinWordsandCurrencies](hereinafterreferredtoas"theManagementFee")fortheconstructionmanagementservices.

6.1TheContractorshallretainallintellectualpropertyrightsintheconstructionmethodsandtechniquesusedintheproject.

6.2TheConstructionManagershallretainallintellectualpropertyrightsintheconstructionmanagementprocessesandmethodologiesdevelopedfortheproject.
