2025年度保險代理居間服務(wù)合同范本英文本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALINSURANCEBROKERAGEINTERMEDIARYSERVICECONTRACTPART1:AGREEMENTThisAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof_______________,2025(hereinafterreferredtoasthe"EffectiveDate"),andbetweenthefollowingparties(hereinaftercollectivelyreferredtoasthe"Parties"):Insurer:___________________________(FullLegalName)___________________________(Address)___________________________(City,State,ZipCode)InsuranceBrokerageFirm:___________________________(FullLegalName)___________________________(Address)___________________________(City,State,ZipCode)WHEREAS,theInsurerisengagedinthebusinessofprovidinginsuranceproductsandservicestothepublic;ANDWHEREAS,theInsuranceBrokerageFirmisengagedinthebusinessofbrokeringinsuranceproductsandservicesonbehalfofclients;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:1.ScopeofServicesTheInsuranceBrokerageFirmagreestoactastheInsurer'sintermediarytoprovidethefollowingservicesduringthecalendaryear2025:a.IdentifyingpotentialclientsforinsuranceproductsofferedtheInsurer;b.ProvidingmarketingandsalessupporttotheInsurer'sagentsandrepresentatives;c.Assistingintheunderwritingprocessprovidinginformationonpotentialclients;d.ProvidingadministrativesupporttotheInsurer,includingdataentryandprocessingofapplications;e.AnyotherservicesmutuallyagreedupontheParties.2.Compensation3.TermandTermination4.ConfidentialityThePartiesagreetomaintaintheconfidentialityofallinformationobtainedinconnectionwiththeperformanceofthisAgreement.SuchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.5.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof___________.6.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.7.AmendmentsThisAgreementmaybeamendedonlyawritteninstrumentexecutedbothParties.PART2:ANNEXESThefollowingannexesareattachedtoandformanintegralpartofthisAgreement:AnnexA:MarketingPlanAnnexB:CompensationSchedulePART3:SCHEDULESThefollowingschedulesareattachedtoandformanintegralpartofthisAgreement:Schedule1:ListofInsuranceProductsSchedule2:ListofClientsENDOFFIRSTPART第二部分：第三方介入后的修正ThissectionoftheAgreementaddressesthepotentialinvolvementofthirdpartiesintherelationshipbetweentheInsurerandtheInsuranceBrokerageFirm.Theinclusionofthirdpartiesisintendedtoexpandthescopeofservicesprovided,enhanceefficiency,andaddvaluetotheoveralltransaction.Thefollowingprovisionsoutlinetheroles,responsibilities,rights,andlimitationsofthesethirdparties.1.DefinitionofThirdPartiesForthepurposesofthisAgreement,"ThirdParties"shallinclude,butnotbelimitedto:a.ServiceProviders:Entitiesorindividualswhoprovidespecializedservicessuchasactuarialservices,legaladvice,underwritingsupport,ortechnicalassistance.b.Distributors:EntitiesorindividualswhodistributeinsuranceproductsonbehalfoftheInsurerortheInsuranceBrokerageFirm.c.TechnologyPartners:Companiesthatprovidesoftware,hardware,orITsupportservicestofacilitatetheoperationoftheInsuranceBrokerageFirm'sbusiness.d.OtherThirdParties:AnyotherentityorindividualengagedinactivitiesrelatedtotheperformanceofthisAgreementwiththeconsentofbothParties.2.RoleandResponsibilitiesofThirdPartiesThirdPartiesshallperformtheirrespectiverolesasagreedupontheInsurerandtheInsuranceBrokerageFirm.ThefollowingarethegeneralresponsibilitiesofThirdParties:a.ServiceProviders:ShallprovidehighqualityservicesinaccordancewithindustrystandardsandthespecificrequirementsoftheInsurerandtheInsuranceBrokerageFirm.c.TechnologyPartners:ShallensurethereliabilityandsecurityofthetechnologysolutionsprovidedandshallprovidenecessarytrainingandsupporttotheInsuranceBrokerageFirm.d.OtherThirdParties:ShallperformtheirdutiesasmutuallyagreedupontheInsurer,theInsuranceBrokerageFirm,andtheThirdParty.3.RightsofThirdPartiesThirdPartiesshallhavethefollowingrights:b.ToreceivenecessaryinformationandresourcesfromtheInsurerandtheInsuranceBrokerageFirmtoperformtheirdutieseffectively.c.Tohaveaccesstothenecessarysystemsandplatformstocarryouttheiractivities.d.ToseekresolutionforanydisputesthatariseinrelationtotheirperformanceunderthisAgreement.4.LimitationofLiabilityTheliabilityofThirdPartiesunderthisAgreementshallbelimitedasfollows:a.ForServiceProviders:TheliabilityofServiceProvidersshallbelimitedtodirectdamagesarisingfromtheirnegligenceorwillfulmisconduct,andshallnotexceedtheamountpaidtheInsurerortheInsuranceBrokerageFirmtotheServiceProviderforthespecificservicerendered.c.ForTechnologyPartners:TheliabilityofTechnologyPartnersshallbelimitedtodirectdamagesarisingfromtheirfailuretoprovideservicesasagreedupon,andshallnotexceedtheamountpaidtheInsuranceBrokerageFirmtotheTechnologyPartnerforthespecificservicerendered.d.ForOtherThirdParties:TheliabilityofOtherThirdPartiesshallbedeterminedbasedonthenatureoftheirengagementandthespecifictermsagreedupontheParties.5.DisputeResolutionIntheeventofadisputearisingbetweentheInsurer,theInsuranceBrokerageFirm,andaThirdParty,thePartiesagreetoattempttoresolvethedisputethroughgoodfaithnegotiations.Ifsuchnegotiationsfail,thePartiesmayseekresolutionthrougharbitrationorlitigation,inaccordancewiththegoverninglawofthisAgreement.6.ConfidentialityThirdPartiesshallmaintaintheconfidentialityofallinformationobtainedinconnectionwiththeperformanceofthisAgreement.SuchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.7.ThirdPartyApprovalTheinvolvementofanyThirdPartyshallrequirethepriorwrittenconsentofboththeInsurerandtheInsuranceBrokerageFirm.TheconsentshallbegrantedbasedonthesuitabilityandcapabilityoftheThirdPartytoperformitsdutiesasoutlinedinthisAgreement.8.ThirdPartyCompliance9.AssignmentNeithertheInsurernortheInsuranceBrokerageFirmmayassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherParty.ThirdPartiesmaybeassignedtheirrespectiveobligationsunderthisAgreementwiththeconsentofboththeInsurerandtheInsuranceBrokerageFirm.TheinclusionoftheseprovisionsensuresthattheinvolvementofThirdPartiesisclearlydefinedandmanaged,minimizingpotentialrisksandfosteringacooperativeenvironmentforthesuccessfulexecutionoftheAgreement.第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：ThefollowingisadetailedlistofpotentialattachmentsthatmaybeincludedwiththisAgreement,alongwiththeirspecificrequirementsanddescriptions.1.AnnexA:MarketingPlan2.AnnexB:CompensationSchedule3.AnnexC:ServiceProviderAgreementRequirement:AnagreementbetweentheInsurerortheInsuranceBrokerageFirmandaServiceProviderdetailingthescopeofservicestobeprovided.4.AnnexD:DistributorAgreementRequirement:AnagreementbetweentheInsurerortheInsuranceBrokerageFirmandaDistributoroutliningthetermsofthedistributionarrangement.5.AnnexE:TechnologyPartnerAgreementRequirement:AnagreementbetweentheInsuranceBrokerageFirmandaTechnologyPartnerfortheprovisionofITservices.Description:Thisagreementshouldcovertheservicestobeprovided,supportandmaintenanceobligations,andthedurationoftheagreement.6.AnnexF:ConfidentialityAgreementRequirement:AnagreementbetweenthePartiesandanyThirdPartiesoutliningtheobligationsofconfidentiality.Description:Thisagreementshoulddefinewhatconstitutesconfidentialinformation,theobligationsoftheParties,andtheexceptionstoconfidentiality.7.AnnexG:DisputeResolutionProtocolRequirement:AprotocoldetailingthestepstobetakenintheeventofadisputebetweentheParties.Description:Thisprotocolshouldincludethemethodsofresolution,suchasmediation,arbitration,orlitigation,andthegoverninglaw.8.AnnexH:ThirdPartyApprovalFormDescription:ThisformshouldincludethedetailsoftheThirdParty,theproposedservices,andthereasonsfortheirinvolvement.9.AnnexI:ComplianceChecklistDescription:Thischecklistshouldcoverallrelevantlegalrequirements,suchasdataprotection,insuranceregulations,andfinancialreportingstandards.說明二：違約行為及責(zé)任認(rèn)定：Thefollowingisalistofpotentialbreachofcontractbehaviorsandthestandardsfordeterminingliability,alongwithbriefexamples.1.FailuretoPerformServicesBreach:TheInsuranceBrokerageFirmfailstoprovidetheagreeduponserviceswithinthespecifiedtimeframe.Liability:TheInsuranceBrokerageFirmmaybeliableforliquidateddamagesorthecostofhiringathirdpartytoperformtherequiredservices.2.NonPaymentofCompensationLiability:TheInsurermaybeliableforlatepayme
