2025年度汽車銷售居間代理合同協(xié)議書英文版本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALMOTORVEHICLESALESBROKERAGECONTRACTThisBrokerageContractforthesaleofmotorvehicles(hereinafterreferredtoasthe“Contract”)ismadeandenteredintoandbetweenthefollowingparties:Principal:Name:________________Address:________________ContactPerson:________________Title:________________Broker:Name:________________Address:________________ContactPerson:________________Title:________________WHEREAS,thePrincipalisengagedinthebusinessofsellingmotorvehiclesanddesirestoengagetheBrokerageservicesoftheBrokerforthesaleofmotorvehiclesduringtheyear2025;ANDWHEREAS,theBrokeriswillingtoactasabrokertoassistthePrincipalinthesaleofmotorvehiclesasdescribedherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePrincipalandtheBrokeragreeasfollows:1.TermoftheContract:2.ScopeofServices:TheBrokeragreestousereasonableeffortstoprocurebuyersformotorvehiclessoldthePrincipal,subjecttothefollowingterms:TheBrokershalldiligentlypursueallpotentialbuyerleadsandopportunities.TheBrokershallassistinnegotiatingthetermsofsalewithpotentialbuyers.TheBrokershallprovidethePrincipalwithregularupdatesontheprogressofsalesefforts.3.Compensation:4.Exclusivity:ThisContractisexclusiveandthePrincipalagreesnottoengagetheservicesofanyotherbrokerforthesaleofmotorvehiclesduringthetermofthisContractwithoutthepriorwrittenconsentoftheBroker.5.Confidentiality:ThePrincipalandtheBrokeragreetokeepconfidentialanyandallinformationobtainedfromeachotherduringthetermofthisContract,includingbutnotlimitedto,businessplans,marketingstrategies,customerlists,andothersensitiveinformation.6.Termination:ThisContractmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,providedthat:Thenoticeofterminationshallbegivenatleast___________dayspriortotheeffectivedateoftermination.7.GoverningLaw:ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionwherethePrincipalislocated.8.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePrincipalandtheBrokerandsupersedesallprioragreements,oralorwritten,relatingtothesubjectmatterofthisContract.INWITNESSWHEREOF,thePrincipalandtheBrokerhaveexecutedthisContractasofthedatefirstabovewritten.Principal:________________________Name:________________Date:________________Broker:________________________Name:________________Date:________________第二部分：第三方介入后的修正ThissectionoftheContractaddressesthepotentialinvolvementofthirdparties,includingbutnotlimitedtointermediaries,consultants,orserviceproviders,andprovidesadditionaltermsandconditionsthatshallapplywhensuchthirdpartiesareengagedinconnectionwiththeperformanceofthisContract.1.DefinitionofThirdParties:ForthepurposesofthisContract,theterm“ThirdParty”shallmeananyindividual,entity,ororganizationotherthanthePrincipalandtheBrokerwhoisengagedeitherpartytoprovideservices,products,oradviceinconnectionwiththesaleofmotorvehicles.2.ThirdPartyEngagementPrincipal:ThePrincipalmayengageoneormoreThirdPartiestoassistinthesaleofmotorvehicles.ThePrincipalshallprovidetheBrokerwithwrittennoticeofanyThirdPartyengagementatleast___________dayspriortotheengagement.3.ThirdPartyEngagementBroker:TheBrokermayengageoneormoreThirdPartiestoassistinthesaleofmotorvehicles.TheBrokershallprovidethePrincipalwithwrittennoticeofanyThirdPartyengagementatleast___________dayspriortotheengagement.4.ResponsibilitiesofThirdParties:ThirdPartiesshallperformtheirdutiesinaccordancewiththetermsoftheirrespectiveagreementswiththePrincipalortheBroker.ThePrincipalandtheBrokershallensurethatanyThirdPartyengagedisadequatelylicensed,insured,andqualifiedtoperformtheservicesrequired.5.LimitationofLiabilityforThirdParties:TheliabilityofanyThirdPartyforanyactoromissioninconnectionwiththeperformanceofthisContractshallbelimitedtotheextentprovidedintheThirdParty'sagreementwiththePrincipalortheBroker.InnoeventshallthePrincipalortheBrokerbeliableforanyactsoromissionsofanyThirdParty.6.Indemnification:ThePrincipalandtheBrokershallindemnifyandholdeachotherharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwiththeactsoromissionsofanyThirdParty.7.ThirdParty'sRelationshipwithPrincipalandBroker:8.ThirdParty'sCompliancewithLaws:9.Confidentiality:ThirdPartiesshallmaintaintheconfidentialityofanyandallinformationobtainedfromthePrincipal,theBroker,oranyotherThirdPartyinconnectionwiththeperformanceofthisContract.10.DisputeResolution:IntheeventofanydisputebetweenthePrincipal,theBroker,andanyThirdPartyarisingoutoforinconnectionwiththisContract,thepartiesagreetoseekresolutionthroughgoodfaithnegotiations.Ifsuchnegotiationsfailtoresolvethedisputewithin___________days,thepartiesmayseekresolutionthrougharbitrationorlitigationinaccordancewiththegoverninglawofthisContract.11.ThirdParty'sAuthority:12.ThirdParty'sPerformance:ThePrincipalandtheBrokershallhavetherighttoinspecttheperformanceofanyThirdPartyengagedinconnectionwiththisContractandtorequiretheThirdPartytocorrectanydeficienciesintheperformanceofitsduties.13.ThirdParty'sTermination:ThePrincipalortheBrokermayterminatetheengagementofanyThirdPartyatanytimeuponwrittennoticetotheThirdParty,providedthatsuchterminationdoesnotaffecttheperformanceofthisContractthePrincipalortheBroker.14.ThirdParty'sSubstitution:ThePrincipalortheBrokermaysubstituteanotherThirdPartyforanyThirdPartyengagedinconnectionwiththisContractuponwrittennoticetotheotherparty,providedthatthesubstitutedThirdPartyisqualifiedandcapableofperformingtherequiredservices.15.ThirdParty'sInsurance:Byincludingtheseadditionaltermsandconditions,theContractisamendedtoreflecttheinvolvementofThirdPartiesandtoestablishclearguidelinesfortheirroles,responsibilities,andlimitations.Thisensuresthatallpartiesareprotectedandthattheintegrityofthebrokeragerelationshipismaintained.第三部分：其他補充性說明和解釋說明一：附件列表：1.SalesAgreementTemplate:Astandardizedtemplateforthesaleofmotorvehicles,tobeusedthePrincipalwhenenteringintosalesagreementswithbuyers.Requirements:Thetemplatemustincludeallnecessarytermsandconditions,suchasthevehicledescription,purchaseprice,paymentterms,andwarrantyinformation.Description:Thisattachmentensuresconsistencyinthesalesprocessandprovidesaclearframeworkforthetransaction.2.MarketingPlan:AdetailedplanoutliningtheBroker'smarketingstrategiesandactivitiesforpromotingthesaleofmotorvehicles.Requirements:Theplanmustincludespecificobjectives,targetmarkets,marketingchannels,andtimelinesforimplementation.Description:ThisattachmentprovidesaroadmapfortheBroker'seffortstoattractbuyersandclosesales.3.PerformanceReport:AmonthlyreportsummarizingtheBroker'sactivities,progress,andresultsinconnectionwiththesaleofmotorvehicles.Requirements:Thereportmustincludethenumberofleadsgenerated,salesmade,andanychallengesencountered.Description:ThisattachmentallowsthePrincipaltomonitortheBroker'sperformanceandmakeinformeddecisions.4.ThirdPartyEngagementAgreements:AnyagreementsenteredintowithThirdParties,includingintermediaries,consultants,orserviceproviders.5.InsuranceCertificates:ProofofinsurancecoverageforthePrincipal,theBroker,andanyThirdPartiesengagedinconnectionwiththisContract.Requirements:Thecertificatesmustbevalidandcoverallnecessaryrisks.Description:Thisattachmentverifiesthatallpartiesareadequatelyinsuredagainstpotentialliabilities.6.ConfidentialityAgreements:AnyagreementsenteredintowithThirdPartiesoremployeesregardingtheprotectionofconfidentialinformation.Requirements:Theagreementsmustoutlinetheobligationsofthepartiestomaintainconfidentiality.Description:ThisattachmentprotectsthePrincipal'sandtheBroker'ssensitiveinformationfromunauthorizeddisclosure.7.DisputeResolutionMechanism:AdetailedplanforresolvingdisputesbetweenthePrincipal,theBroker,andanyThirdParties.Requirements:Theplanmustincludestepsfornegotiation,mediation,andarbitration.Description:Thisattachmentprovidesaframeworkforresolvingconflictsinafairandtimelymanner.說明二：違約行為及責任認定：1.FailuretoMeetDeadlines:Responsibility:Thepartyfailingtomeetadeadlineshallberesponsibleforanyresultingdelaysandcosts.Example:IftheBrokerfailstoprovidethemonthlyperformancereporttheduedate,theBrokermaybeliableforanyadditionalcostsincurredthePrincipalduetothedelay.2.FailuretoComplywithLegalRequirements:Example:IfaThirdPartyengagedtheBrokerfailstoobtainthenecessarylicenses,theBrokermaybeliableforanyfinesimposedregulatoryauthorities.3.FailuretoMaintainConfidentiality:Responsibility:Thepartybreachingtheconfidentialityobligationsshallberesponsibleforanydamagesres
