(3)Toprovidetimelytechnicalsupportandmaintenanceservices;

(4)Tocomplywithrelevantlawsandregulations.

(5)TopromptlyinformthePrincipalofanychangestotheservicesorcharges.

3.2ThePrincipal'sObligations:

(1)TopaythefeesasstipulatedinArticle5;

(2)Toprovideaccurateandcompleteinformationfortheprovisionofservices;

(3)Tocomplywiththerulesandregulationsoftheonlineclub;

(4)ToprotecttheContractor'sintellectualpropertyrights;

(5)TopromptlyprovidefeedbackandsuggestionstotheContractor.

**Article4:FeesandPayment**

4.1ThefeesfortheServicesshallbedeterminedbythePartiesandspecifiedinanannex(hereinafterreferredtoas"AnnexA").

4.2Thepaymenttermsshallbeasfollows:

(1)ThePrincipalshallpaythefeeswithintheagreedtime;

(2)IfthePrincipalfailstopaythefeesontime,theContractorshallhavetherighttoterminatetheContractandclaimcompensation.

**Article5:Confidentiality**

5.1ThePartiesagreetokeepconfidentialanyconfidentialinformationdisclosedbytheotherPartyduringtheperformanceofthisContract.

5.2TheconfidentialityobligationshallsurvivetheexpirationorterminationofthisContract.

**Article6:DisputeResolution**

6.1IncaseofanydisputesarisingfromtheexecutionofthisContract,thePartiesshallendeavortosettlethemthroughfriendlynegotiations.

6.2Ifthedisputescannotbesettledthroughnegotiation,eitherPartymaysubmitthecasetothepeople'scourtwithjurisdictionoverthedisputeforadjudication.

**Article7:TerminationoftheContract**

7.1TheContractmaybeterminatedbyeitherPartyupontheoccurrenceofthefollowingcircumstances:

(1)TheotherPartyfailstoperformitsobligationsunderthisContract;

(2)TheotherPartycommitsabreachofthisContractandrefusestorectifythebreachwithintheagreedperiod;

(3)TheotherPartydeclaresbankruptcyorisdissolvedduetoforcemajeure.

(3)ThePrincipalfailstomakepaymentsasagreedupon.

**Article6:LimitationofLiability**

6.1TheContractorandtheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingfromtheperformanceornon-performanceofthisContract.

6.2ThePrincipal'ssoleremedyforanybreachofthisContractbytheContractorortheThirdPartyshallbetheterminationofthisContractandtherecoveryofanydirectdamagessuffered.

**Article7:GoverningLawandJurisdiction**

7.1ThisContractshallbegovernedbythelawsofthejurisdictionagreeduponbytheParties.
