1.GrantofRights

2.Term

5.PricesandPayment

ThepricesfortheProductsshallbeassetforthinExhibitDattachedhereto(the"PriceList").TheDistributorshallmakepaymentfortheProductspurchasedhereunderinaccordancewiththetermsandconditionssetforthinExhibitEattachedhereto(the"PaymentTerms").

6.WarrantiesandLiability

TheSellerwarrantsthattheProductsshallconformtotheProductDescriptionandshallbefreefromanydefectsinmaterialsandworkmanship.TheSeller'sliabilityforanybreachofwarrantyshallbelimitedtothereplacementofthedefectiveProductsortherefundofthepurchasepricepaidbytheDistributorforsuchProducts.

7.IntellectualProperty

TheSellerretainsallright,title,andinterestinandtotheProducts,includinganyandallintellectualpropertyrightstherein.TheDistributorshallnotacquireanyownershipinterestinorrightstotheProductsoranyintellectualpropertyrightsrelatedthereto.

8.Confidentiality

Thepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherparty,exceptforinformationthatispubliclyavailableoralreadyknowntothereceivingpartypriortodisclosure.

9.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof______.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof______.

d.ComplywithallapplicablelawsandregulationsintheTerritory.

ThePrincipalshall:

b.EnsurethattheThirdParty'sactivitiesdonotinfringeuponthePrincipal'sintellectualpropertyrights;

7.Principal'sRightsandInterests

8.Distributor'sandThirdParty'sObligations

b.NotengageinanyactivitiesthatmayharmthereputationofthePrincipalortheProducts;

c.NotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthePrincipal'spriorwrittenconsent;

d.IndemnifythePrincipalagainstanyclaims,damages,orlossesarisingoutoftheirrespectivebreachesofthisAgreement.

9.LimitationofLiability

ThePrincipalshallnotbeliableforanylossesordamagesincurredbytheDistributorortheThirdPartyasaresultoftheirownnegligenceormisconduct.

10.GoverningLawandJurisdiction
