NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:

1.ServicesProvided

PartyAagreestoprovidePartyBwiththefollowingonlineclubservices(hereinafterreferredtoasthe"Services"):

a.Platformhostingandmaintenance;

b.Membershipmanagement;

c.Eventorganizationandmanagement;

d.Advertisingandpromotion;

e.Technicalsupportandcustomerservice.

2.TermandTermination

a.ThetermofthisContractshallcommenceon[DateofExecution]andshallcontinueforaperiodof[NumberofYears],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

b.EitherpartymayterminatethisContractupon[SpecificConditions],suchasbreachofcontractorviolationofapplicablelawsandregulations.

c.UponterminationofthisContract,PartyAshallpromptlyreturnanyandallconfidentialinformationandmaterialsprovidedbyPartyBtoPartyA.

3.FeesandPayment

a.PartyBshallpayPartyAamonthlyfeeof[Amount]fortheprovisionoftheServices,subjecttoanyapplicabletaxes,levies,andcharges.

b.PaymentshallbemadebyPartyBwithin[NumberofDays]fromthedateoftheinvoiceissuedbyPartyA.

4.ConfidentialityandNon-Disparagement

b.Thepartiesagreenottomakeanyderogatorystatements,comments,oraccusationsagainsttheotherparty,eitherdirectlyorindirectly,duringorafterthetermofthisContract.

5.IntellectualProperty

a.Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,andpatents,arisingfromtheServicesshallbesolelyownedbyPartyA.

b.PartyBshallnotcopy,reproduce,modify,ordistributeanyintellectualpropertyofPartyAwithoutthepriorwrittenconsentofPartyA.

6.Indemnification

a.PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingfromorinconnectionwiththeServices,excepttotheextentcausedbythenegligenceorwillfulmisconductofPartyB.

b.PartyBshallindemnifyandholdharmlessPartyAagainstanyandallclaims,liabilities,damages,losses,andexpensesarisingfromorinconnectionwiththeuseoftheServicesbyPartyBoritsauthorizedusers,excepttotheextentcausedbythenegligenceorwillfulmisconductofPartyA.

7.GoverningLawandDisputeResolution

a.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

b.AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreementwithin[NumberofDays],thedisputeshallbesubmittedto[NameofArbitrationInstitution]forarbitrationinaccordancewithitsapplicablerules.
