2025【法律英語】全面英語合同匯編2025【LegalEnglish】ComprehensiveContractCompilation1.IntroductionThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoonthisdayof,2025,byandbetween(the"PartyA"orthe"Principal"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat,and(the"PartyB"orthe"Agent"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat(collectivelyreferredtoasthe"Parties").ThePartiesagreetobeboundbythetermsandconditionssetforthherein.2.DefinitionsandInterpretationsForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningsspecifiedbelow:Contract:Referstothiswrittenagreement,includingallitsappendices,schedules,andexhibits.Principal:Refersto(PartyA),whoistheparty委託toperformservicesorcarryoutactivitiesunderthisAgreement.Agent:Refersto(PartyB),whoistheparty受委託toperformservicesorcarryoutactivitiesonbehalfofthePrincipal.EffectiveDate:ReferstothedatewhenthisAgreementshallcomeintoforce,asspecifiedinSection4herein.TerminationDate:ReferstothedatewhenthisAgreementshallceasetobebindingupontheParties,asprovidedinSection5herein.3.ScopeofServicesPartyBagreestoprovidethefollowingservicestoPartyAunderthisAgreement:[Listspecificservicesoractivitieshere,e.g.,marketresearch,productdevelopment,consulting,etc.]Allservicesshallbeperformedinaccordancewithapplicablelawsandregulations,aswellasprofessionalstandardsintherelevantfield.4.TermoftheAgreementThisAgreementshallcomeintoeffectonthedatespecifiedinSection2(the"EffectiveDate")andshallcontinueuntiltheTerminationDatespecifiedhereinorasmutuallyagreeduponbytheParties.5.TerminationandCancellationEitherPartymayterminatethisAgreementwithimmediateeffectif:TheotherPartybreachesanymaterialtermorconditionofthisAgreement,andfailstocuresuchbreachwithindaysafterreceivingwrittennoticefromthenon-breachingParty.TheotherPartybecomesinsolventorfilesforbankruptcy.Inaddition,eitherPartymaycancelthisAgreementupondays'writtennoticetotheotherPartyintheabsenceofanybreachbyeitherParty.6.PaymentTermsPartyAagreestopayPartyBthesumof(inwords)asconsiderationfortheservicesrenderedunderthisAgreement.Thepaymentscheduleshallbeasfollows:[Specifypaymentterms,e.g.,50%uponsigning,50%uponcompletionofservices,etc.]Allpaymentsshallbemadeinaccordancewiththecurrencyandpaymentmethodsspecifiedherein.PartyBshallissueinvoicestoPartyAaspertheagreedpaymentschedule.7.IntellectualPropertyRightsAllintellectualpropertyrightscreatedordevelopedbyPartyBduringthecourseofperformingthisAgreementshallvestexclusivelyinPartyA.PartyBagreesnottoclaimanyownershiporrightsoversuchintellectualproperty.PartyAshallhavetherighttouse,reproduce,anddistributeanymaterialsprovidedbyPartyBunderthisAgreement,includingbutnotlimitedtoreports,designs,andotherdeliverables.8.ConfidentialityObligationsBothPartiesagreetomaintaintheconfidentialityofallinformationexchangedbetweenthemduringthetermofthisAgreement,whetherdisclosedorallyorinwriting.Suchconfidentialinformationshallinclude,butisnotlimitedto,businessstrategies,financialdata,customerlists,andanyothernon-publicinformation.NeitherPartyshalldisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbyapplicablelawsorregulations.9.RepresentationsandWarrantiesEachPartyrepresentsandwarrantsthat:IthasthelegalcapacityandauthoritytoenterintothisAgreement.TheexecutionandperformanceofthisAgreementshallnotviolateanylaws,regulations,orcontractualobligationstowhichitisbound.AllrepresentationsandwarrantiesmadeunderthisAgreementaretrueandaccurateasofthedatehereof.10.IndemnificationPartyBagreestoindemnifyandholdharmlessPartyAagainstanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoforrelatedtoanybreachbyPartyBofitsobligationsunderthisAgreement.ThisindemnificationobligationshallsurvivetheterminationofthisAgreement.11.GoverningLawandDisputeResolutionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoconflictoflawsprinciples.AnydisputesarisingoutoforrelatedtothisAgreementshallfirstberesolvedthrough友好協(xié)商bytheParties.Ifsuch協(xié)商fails,thedisputeshallbesubmittedtotheexclusivejurisdictionofthecourtslocatedinforresolution.12.MiscellaneousEntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartiesregardingthesubjectmatterhereofandsupersedesallprioragreements,understandings,ornegotiations,whetheroralorwritten.Amendments:AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.ForceMajeure:NeitherPartyshallbeliableforanyfailureor
