居間合同協(xié)議書范本英文?ThisIntermediaryContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[Company/IndividualName]Address:[Address]ContactPerson:[ContactName]ContactInformation:[Phone/Email]PartyB:Name:[Company/IndividualName]Address:[Address]ContactPerson:[ContactName]ContactInformation:[Phone/Email]1.SubjectMatterorServiceDescriptionPartyAengagesPartyBasanintermediarytofacilitatethe[descriptionofthetransactionorservice,e.g.,thenegotiationandconclusionofabusinesscooperationagreementbetweenPartyAand[thirdpartyname]].PartyBshalluseitsbesteffortsandprofessionalknowledgetopromoteandassistinthesuccessfulpletionoftheaforesaidtransactionorservice.2.RightsandObligationsofthePartiesPartyA'sRightsandObligationsRights:PartyAhastherighttoreceiveaccurateandtimelyinformationprovidedbyPartyBregardingtheprogressoftheintermediaryservice.PartyAhastherighttorequestPartyBtoexplainorclarifyanymattersrelatedtotheintermediaryservice.Obligations:PartyAshallprovidePartyBwithallnecessaryinformationandmaterialsrelatedtothetransactionorserviceinatimelyandaccuratemannertoenablePartyBtoperformitsintermediarydutieseffectively.PartyAshallcooperatefullywithPartyBinthecourseoftheintermediaryservice,includingbutnotlimitedtoparticipatinginmeetings,negotiations,andprovidingrelevantexplanationsasrequired.PartyAshallpaytheintermediaryservicefeetoPartyBinaccordancewiththetermsofthisAgreement.PartyB'sRightsandObligationsRights:PartyBhastherighttoreceivetheintermediaryservicefeefromPartyAuponthesuccessfulpletionoftheintermediaryserviceasdefinedinthisAgreement.PartyBhastherighttorequestPartyAtoreimbursereasonableexpensesincurredinconnectionwiththeperformanceoftheintermediaryservice,providedthatsuchexpensesareproperlydocumented.Obligations:PartyBshallexercisereasonablecareandduediligenceinperformingtheintermediaryservice,usingitsprofessionalskillsandexperiencetopromotetheinterestsofPartyA.PartyBshallkeepconfidentialallinformationobtainedfromPartyAduringtheperformanceoftheintermediaryserviceandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA,exceptasrequiredbylaw.PartyBshallpromptlyreporttoPartyAanymaterialdevelopmentsorissuesarisingduringthecourseoftheintermediaryservicethatmayaffecttheprogressoroueofthetransactionorservice.PartyBshallnotengageinanyactoromissionthatmayprejudicetheinterestsofPartyAorviolateanylawsorregulationsintheperformanceoftheintermediaryservice.3.IntermediaryServiceFeeAmountandPaymentTermsPartyAshallpayPartyBanintermediaryservicefeeof[amount](inwords:[amountinChinesecharacters])uponthesuccessfulpletionoftheintermediaryservice.The"successfulpletionoftheintermediaryservice"shallbedefinedastheachievementofthefollowingconditions:[listthespecificconditionsforthesuccessfulpletionoftheservice,e.g.,thesigningofaformalcooperationagreementbetweenPartyAandthethirdpartyinaccordancewiththetermsnegotiatedwiththeassistanceofPartyB].Paymentshallbemadewithin[numberofdays]daysafterPartyAreceiveswrittennoticefromPartyBstatingthattheconditionsforthesuccessfulpletionoftheintermediaryservicehavebeenmet.PartyAshallremittheintermediaryservicefeetothefollowingbankaccountdesignatedbyPartyB:BankName:[BankName]AccountNumber:[AccountNumber]BeneficiaryName:[BeneficiaryName]TaxPartyAshallberesponsibleforpayinganytaxesandfeesrelatedtotheintermediaryservicefeeasrequiredbylaw.PartyBshallprovidePartyAwiththenecessaryinvoicesorreceiptsfortaxpurposes.4.ConfidentialityEachpartyacknowledgesthatduringthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty.Confidentialinformationshallinclude,butnotbelimitedto,businessplans,financialinformation,customerlists,andanyotherinformationmarkedasconfidentialorthatshouldreasonablybeconsideredconfidentialunderthecircumstances.Bothpartiesshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.Intheeventofadisclosureofconfidentialinformationinviolationofthisprovision,thedisclosingpartyshallindemnifyandholdthenondisclosingpartyharmlessfromanylosses,damages,liabilities,orexpensesarisingtherefrom.5.DurationoftheAgreementThisAgreementshallbeeffectiveasofthedateofexecutionandshallremaininforceuntilthesuccessfulpletionoftheintermediaryserviceasdefinedherein,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.6.TerminationTerminationbyAgreementThisAgreementmaybeterminatedbymutualwrittenagreementofthepartiesatanytime.TerminationforBreachIfeitherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceivingwrittennoticefromtheotherpartyspecifyingthebreach,thenonbreachingpartyshallhavetherighttoterminatethisAgreementbywrittennoticetothebreachingparty.ConsequencesofTerminationUponterminationofthisAgreement,bothpartiesshallimmediatelyceaseperformingtheirrespectiveobligationshereunder,exceptforthoseobligationsthatsurviveterminationinaccordancewithapplicablelaworthetermsofthisAgreement.PartyAshallpayPartyBanyintermediaryservicefeesthathavebedueandpayableuptothedateoftermination,andPartyBshallreturntoPartyAanymaterialsorinformationinitspossessionthatarethepropertyofPartyA.7.LiabilityandIndemnificationLiabilityEachpartyshallbeliableforitsownactsandomissionsinconnectionwiththisAgreement.Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofbusinessopportunities,ordamagetoreputation,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.IndemnificationEachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisAgreement,itsuseordisclosureoftheotherparty'sconfidentialinformation,oritsperformanceoftheserviceshereunder.8.DisputeResolutionNegotiationIntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysaftereitherpartynotifiestheotherpartyoftheexistenceofthedispute.ArbitrationIfthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththearbitrationrulesof[arbitrationinstitutionname].Thearbitrationshallbeconductedin[locationofarbitration],andthelanguageofthearbitrationshallbe[language].Thearbitralawardshallbefinalandbindingonbothparties.9.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].10.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AnymodificationsorsupplementstothisAgreementshallbeinwritingandsignedbybothparties.11.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.Inwitnesswhereof,thepartieshaveexecutedthisIntermediaryContractAgreementasofthedatefirstabovewritten.PartyA(Signature):____________________Date:____________________PartyB(Signature):____________________Date:____________________ThisIntermediaryContractAgreementhasbeenpreparedinaccordancewiththerelevantprovisionsoftheCivilCodeofthePeople'sRepublicofChina.Therigh
