7、管或持有的檔案、信件、備忘錄、報告、記錄、資料、草圖、藍(lán)圖、實(shí)驗(yàn)室記錄簿、項(xiàng)目清單、或其它與甲方業(yè)務(wù)有關(guān)的書面、復(fù)制或有形的材料，無論是由乙方本人還是他人制作的，均是甲方的商業(yè)秘密，且只能由乙方在從事公司的工作時使用3、all files, letters, memoranda, reports, records, data, sketches, blueprints, laboratory record book, list of projects kept or held by the party b, or other business with the party a concerne

10、r not marked confidential.二、乙方的保密義務(wù)article two. party bs obligation of confidentiality對第一條所稱的商業(yè)秘密，乙方承擔(dān)以下保密義務(wù)：on the trade secrets of the article one, party b will undertake the obligations of confidentiality as follows:1、不得探究與本職工作或本身業(yè)務(wù)無關(guān)的商業(yè)秘密；1、no exploring trade secrets with unrelated to their busi

11、ness or their jobs；2、不得向不承擔(dān)保密義務(wù)的任何第三人披露甲方的商業(yè)秘密；2、no disclosing to any third no obligation of confidentiality party as trade secrets；3、不得允許（出借、贈與、出租、轉(zhuǎn)讓等處分甲方商業(yè)秘密的行為皆屬于“允許”）或協(xié)助不承擔(dān)保密義務(wù)的任何第三人使用甲方的商業(yè)秘密；3、no allowing (loan, grant, lease, transfer of trade secrets act punishment party belong to allow) or as

13、kage, and timely report to the party a；5、乙方不得利用所掌握的商業(yè)秘密謀取私利；5、party b shall not use the available trade secrets for personal gain；6、乙方不得將工作中獲取或研制開發(fā)中的商業(yè)秘密據(jù)為已有，有關(guān)資料、圖紙、樣品一律歸檔，不得私自留存；6、party b shall not be accounted for as trade secrets as his own obtained from work or research and development. the rel

17、間及與甲方客戶間現(xiàn)在及未來的所有信息及動態(tài)之溝通與聯(lián)絡(luò)。對于乙方獲知的甲方一些信息和動態(tài)即使在一時間段內(nèi)尚未與甲方形成業(yè)務(wù)關(guān)系，乙方亦承諾在與甲方終止關(guān)系之后的五年內(nèi)，不得以任何形式，單獨(dú)或以其它公司雇員的名義與甲方進(jìn)行競爭。the business of party a is highly competitive and depends on information and actions that require the full involvement of parties and party as clients and contacts in current and future b

19、eriod of five years from the party bs relationship termination with party a. 四、保密期限article four. duration甲、乙雙方確認(rèn)，乙方的保密義務(wù)自甲方對本協(xié)議第一條所述的商業(yè)秘密采取適當(dāng)?shù)谋Ｃ艽胧┎⒏嬷曳綍r開始，到該商業(yè)秘密公開時止。乙方是否在職，不影響保密義務(wù)的承擔(dān)。both parties confirm that the confidential obligation of party b commences when party b receives the confidential in

20、formation and terminates when the confidential information is open to public. whether party b is or is not still a staff of party a does not affect the confidential obligation.五、違約責(zé)任article five. liability for breach甲、乙雙方約定：both parties agree that: （1）如果乙方不履行本協(xié)議第二條所規(guī)定的保密義務(wù)，應(yīng)當(dāng)承擔(dān)違約責(zé)任，一次性向甲方支付違約金人民幣 元；

21、(1)if party b fails to obey the confidential obligation provided in article 2, party b shall pay a liquidated damage equal to rmb to party a. （2）如果因?yàn)橐曳角翱钏Q的違約行為造成甲方的損失，乙方應(yīng)當(dāng)承擔(dān)違約責(zé)任（如已經(jīng)支付違約金的，應(yīng)當(dāng)予以扣除）；(2)if any loss of party a occurred due to party bs failure to obey the confidential obligation, party b

(the paid liquidated damage should be deducted from the loss)（3）前款所述損失賠償按照如下方式計算：(3) the indemnification for the loss thereof should be calculated as following:損失賠償額為甲方因乙方的違約行為所受到的實(shí)際經(jīng)濟(jì)損失，計算方法是：因乙方的侵權(quán)行為導(dǎo)致甲方的產(chǎn)品銷售數(shù)量下降，其銷售數(shù)量減少所導(dǎo)致的利潤減少額；a: the indemnification should be equ

23、al to the total reduction of the profit of party a due to party bs breach of contract.如果甲方的損失依照款所述的計算方法難以計算的，損失賠償額為乙方因違約行為所獲得的全部利潤，計算方法是：乙方因違約行為直接獲得的利潤額；b: where the loss is hard to calculate according to the preceding section, the indemnification should be equal to the total income of party b due to the breach. 甲方因調(diào)查乙方的違約行為而支付的合理費(fèi)用（如律師費(fèi)、調(diào)查費(fèi)等），應(yīng)當(dāng)包含在損失賠償額之內(nèi)；c: the investigation cost of party a for party bs breach, including but not limited to attorney fee and state fee should be included in the indemnification.（4）因乙方的違約行為侵犯了甲方的商業(yè)秘密權(quán)利的，甲方可以選擇根據(jù)本協(xié)議要求乙方承擔(dān)違約責(zé)任，或者根據(jù)國家有關(guān)法律、法規(guī)要求乙方承擔(dān)侵權(quán)責(zé)任。(4)wh
