2、he former prc ministry of economic andtrade, party a and party b have reached the following agreement:一、甲方全權(quán)托付乙方代理進(jìn)口產(chǎn)品及報關(guān)，擔(dān)當(dāng)乙方根據(jù)其指示或經(jīng)其同意而進(jìn)展操作的一切后果。party a hereby appoints party b as party a's import agent to provide import agent services .二、甲方應(yīng)在實際進(jìn)口之前將進(jìn)口具體方案告之乙方，并供應(yīng)產(chǎn)品的品名、數(shù)量、重量、價格、產(chǎn)地、貿(mào)易國及hs編碼，以便乙

3、方準(zhǔn)時開頭預(yù)備工作。甲方應(yīng)保證上述資料完好精確，并做到單貨相符、單單相符、單證相符。假設(shè)因甲方供應(yīng)信息有誤或延遲而造成額外費(fèi)用，甲方應(yīng)擔(dān)當(dāng)全部責(zé)任。party a shall provide to party b such detailed documents as the bill of lading and list of goods to be imported indicating the prices, quantity, specifications, purposes and additional documents as requested by the competent a

4、uthorities on a case by case basis. party a shall immediately after arrival of the goods at the port provide the relevant documents to party b. party a shall instruct the exporter and ensure that the exporter issues a proper and complete set of customs clearance documents such as commercial invoices

5、, packing lists, bills of lading (or airway bills, etc. to the effect that all documents are consistent with each other and that all documents are consistent with the conditions of the goods. the customs clearance shall be made according to the facts. if it is found that the documents are not consis

6、tent with the goods, party a shall bear the relevant liabilities.三、甲方應(yīng)主動協(xié)作乙方做好通關(guān)手續(xù)隨時供應(yīng)海關(guān)所需資料，并供應(yīng)必要幫助。party a shall be present at the inspection site designated by the customs authorities.四、甲方應(yīng)在每票操作完畢后付給乙方進(jìn)口代理費(fèi)，代理費(fèi)按進(jìn)口合同金額的*%收取，假設(shè)缺乏人民幣*元，那么按人民幣*元收取。the parties herewith agree that for the provision of

8、ess than renminbi five hundred (rmb 800), it shall be set as renminbi five hundred (rmb800)五、在通關(guān)過程中發(fā)生的其他費(fèi)用，如倉費(fèi)、法定商檢費(fèi)、查驗費(fèi)、保險費(fèi)、運(yùn)雜費(fèi)等以海關(guān)、商檢、船務(wù)、運(yùn)輸公司開據(jù)的發(fā)票為準(zhǔn)，由乙方按實際發(fā)生數(shù)與甲方結(jié)算。miscellaneous expenses incurred in the course of handling customs clearance for the imported goods, including but not limited to fees

9、and expenses for commodity inspection, health quarantine, quarantine for animals and plants, transportation and incidental expenses, fees and expenses incurred in the port area, the port supervision authority, insurance fees and banks charges (“miscellaneous fees) shall be borne by party a, excepted

10、 such miscellaneous expenses miscellaneous expenses incur as a result of party bs intentional default or negligence. in the later case such miscellaneous fess shall be born by party b.六.乙方應(yīng)在甲方貨款到達(dá)乙方帳戶后的三個工作日內(nèi)為甲方做好購、付匯手續(xù)，甲方自行支付購付匯手續(xù)費(fèi)。party b shall apply with designated banks for the conversion of for

11、eign exchange within three (3) working days after party b has received the equivalent renminbi amount for the goods in full from party a. party b shall not divert the funds of party a for other purposes. party b shall pay to party a the respective amount of foreign exchange according to the official

12、 exchange rate of the then current date of the bank. after receipt of the foreign exchange, party a shall settle the payment with party b according to the relevant vouchers for converting foreign exchange issued by the bank.七、乙方僅擔(dān)當(dāng)代理進(jìn)口該商品的義務(wù)，其權(quán)利義務(wù)受且僅受本代理協(xié)議約束。在代理過程中對于經(jīng)甲方指示或確認(rèn)而由乙方以自己名義代為簽定的一系列形式合同，乙方不

13、負(fù)任何責(zé)任，而由甲方作為托付人擔(dān)當(dāng)。對于甲方與實際進(jìn)口商等發(fā)生的一切爭議，如產(chǎn)品質(zhì)量、數(shù)量、規(guī)格、交貨期等，乙方概不負(fù)責(zé)。it is the parties understanding that party b is an independent import agent of party a. no employee of party b shal l be deemed to be an employee of party a. nothing contained in this agreement shall be construed so as to create a partners

14、hip or joint venture; and neither party hereto shall be liable for the debts or obligations of the other. party b shall bear no liability for the disputes arising between party a and the actual users of the goods with respect to the quality, quantity, specifications and delivery date of the goods.八、

15、違約責(zé)任liabilities for breach假如本協(xié)議任一方未能履行本協(xié)議的全部或任一條款、或者以其他方式違背本協(xié)議，該方應(yīng)向另一方擔(dān)當(dāng)應(yīng)履行不能或違約而給對方造成的損失。全部應(yīng)此履行不能或違約而造成的間接或偶爾損害或損失應(yīng)排除在外。本協(xié)議以及中國合同法規(guī)定的、守約方對違約方的其他任何權(quán)利不受影響。if either party to this agreement fails to fulfill all or any obligation(s) under this agreement or commits any other breach of this agreement it

16、shall be liable to the other party for all direct losses or damages caused by such failure or breach. any liability for indirect, consequential or incidental damages or losses caused by such failure or breach shall be excluded. any other rights of the party abiding the agreement against the breachin

17、g party under this agreement and the prc contract law shall not be affected.九、不行抗力條款force majeure因不行抗力造成無法履行或不能如期履行本協(xié)議時，依據(jù)不行抗力的實際影響，局部或全部免除未能履行協(xié)議一方的責(zé)任。if an event of force majeure occurs, neither party shall be responsible for any damage, increased costs or loss which the other party may sustain by

18、reason of such failure or delay of performance. the party claiming force majeure shall take appropriate measures to minimize or remove the effect of force majeure and, within the shortest possible time, attempt to resume performance of the obligation(s) affected by the event of force majeure.十、文字及效力

20、th parties.十一、適用法律applicable law本協(xié)議適用中華人民共和國法律，假設(shè)有其他未盡事宜，在雙方友好協(xié)商未果時挺直適用相關(guān)法律、法規(guī)的規(guī)定。the formation of this agreement, its validity, termination, interpretation, execution and the settlement of any dispute arising thereunder shall be governed by the laws of the prc.十二、爭議的解決dispute settlement有關(guān)本協(xié)議及其履行中發(fā)生

21、的爭議，雙方應(yīng)主動、友好地協(xié)商解決。假如在一方書面通知另一方該爭議的存在后四十五45天內(nèi)協(xié)商不成的，應(yīng)將該協(xié)議提交在香港的香港國際仲裁中心，依該會屆時有效的仲裁規(guī)章進(jìn)展仲裁。all disputes arising from the execution of, or in connection with this agreement shall be settled through friendly consultations between the parties. if no settlement can be reached through consultation within forty five (45) days after either party has given written notice to the other party of the existence of a dispute under this article, the dispute shall be submitted to arbitration with the hong kong international arbitration center (
