1、超市場地出租合同超市場地出租意向協(xié)議(中英文)agreement of intent for supermarket lease本意向書于_由下列雙方簽訂:this agreement of intent is made on _ by and between:(1) 萊蒙都會置業(yè)有限公司,一家根據(jù)中華人民共和國法律正式成立并有效存續(xù)的有限責任公司,其法定地址在 (業(yè)主);及l(fā)e lemon duhui real eastate co., ltd., a limited liability company established and existing under the laws of t

2、he peoples republic of china, with its legal address at , (hereinafter referred to as the “l(fā)andlord”); and(2) 華東百貨有限公司,一家根據(jù)中國法律組建并有效存續(xù)的有限責任公司,其法定地址在中國上海市 (業(yè)主與合稱時為“雙方”)east china stores co., ltd., a limited liability company established and existing under the laws of china, with its legal address at

(landlord and wal-mart shall be collectively referred to as “parties”。)鑒于:(a) 欲承租業(yè)主擬建于 的部分地下室及部分首層 (“房屋”);whereasa) landlord certain area on ground floor and certain area in basement (the wishes to lease from “premises”) of the building named world of ;(b) 業(yè)主亦欲將

4、房屋出租給;landlord seeks to lease to walmart the premises;(c) 和業(yè)主愿按照本意向書列明的條款和條件,尋求雙方達成有關(guān)房屋的租賃協(xié)議的可能性?,F(xiàn)雙方達成下列意向條款和條件并在此基礎(chǔ)上就有關(guān)房屋租賃事宜作進一步協(xié)商和談判以期達成正式的房屋租賃協(xié)議。本意向書僅列明雙方對意向中的房屋租賃協(xié)議條款和條件的初步意見,并不具有法律上的約束力。landlord seek to explore the possibility of entering into a lease agreement for the premises pursuant to the

5、 terms and conditions specified herein. both parties hereby reach the intent as below and, based on such intent, shall further negotiate and discuss with regard to the lease of the premises with a view to concluding a formal premises lease agreement.this agreement of intent sets forth only the preli

6、minary views of both parties towards the terms and conditions of the proposed premises lease agreement and is legally non-binding.(1) 租賃協(xié)議雙方欲在下列條款和條件的基礎(chǔ)上,進行有關(guān)房屋租賃協(xié)議的談判。the parties propose to proceed with negotiation of a lease agreement for the premises based on the following terms and conditions.(a

7、)租用面積leased area如本意向書附件二所示,房屋內(nèi)的租用面積總計為 _平方米( _m 2)(“租用面積“),其中 _的租用面積為 _平方米(m 2)的租用面積為平方米, 房屋的租金應根據(jù)租用面積計算。the overall area leased by wal-mart within the premises, as shown in exhibit ii of this agreement of intent, is _square meters (_m2) (the “l(fā)eased area”), with _ square meters (_m2) on the _floor,

8、 _square meters (_m2) _ and eight thousand and five hundred (_m2) square meters in the _floor. the rent for the premises shall be calculated on the basis of the leased area.若遇本款項下的描述與本意向書附件二的內(nèi)容不一致,租用面積以附件二的內(nèi)容為準。雙方同意,若業(yè)主需對本意向書附件一、附件二所示內(nèi)容進行任何修改,須于租賃協(xié)議簽署之日起三十(30)日內(nèi)書面告知,并在取得書面同意后方可實施。若修改后的租用面積與本意向書附件一、附

9、件二所示的租用面積存有差異,且面積誤差比不超過正負百分之三(±3%)時,應根據(jù)修改后的租用面積向業(yè)主支付租金。若面積誤差比超過正負百分之三(±3%)時,享有同意或拒絕的選擇權(quán)。如果同意,則租金應按修改后的租用面積計算。如果拒絕,如面積誤差比超出正百分之三(+3%),超出部分的房屋租用面積由無償使用;如面積誤差比超出負百分之三(-3%),不足部分的房屋租用面積無需支付租金,業(yè)主還應按不足部分原應付租金的標準雙倍向乙方支付補償金,有權(quán)從應付租金中相應扣除。in the event of any inconsistency between the description here

10、of and the specifications shown in exhibit ii, the specifications with respect to the leased area as shown in exhibit ii shall prevail.both parties agree, in the event that landlord intends to adjust any of the contents contained in exhibit i and exhibit ii of this agreement of intent, landlord must

11、 notify wal-mart in writing of such intention within thirty (30) days from the execution of the lease agreement and shall not make any adjustment without wal-marts written consent. in the case there are differences between the adjusted leased area and the leased area as shown in exhibit i and exhibi

12、t ii hereof, and the variance is no more than ± 3%, wal-mart shall pay landlord the rent according to the adjusted leased area. in the event that the aforesaid variance surpasses ± 3%, walmart has the discretion to accept or reject such variance. if wal-mart agrees to acceptthe variance, t

13、he rent shall be computed according to the adjusted leased area. if walmartrejects the variance, in the case that the variance exceeds +3%, wal-mart has the right to use the extra area for free; in the case that the variance is less than 3%, walmart is not obligated to pay rent for the actual shorta

14、ge area and landlord must on the other hand compensate wal-mart for the shortage area on an amount equal to the double of the originally agreed rent and walmart has the option to set off the above compensation from the future rent.(b)免租期rent-free period業(yè)主同意,自房屋符合本意向書附件四所規(guī)定的進場并開業(yè)之日起的四個月,授予沃爾瑪免費施工租期;和

15、,2)自房屋內(nèi)購物廣場開業(yè)日起,業(yè)主另授予二(2)個月的免租期(合稱“免租期”)landlord agrees, 1) not to charge walmart any rent four(4) months from the day when wal-mart conducts its construction work within the premises upon landlords satisfying the criteria set forth in exhibit iv of this agreement of intent to the grand opening day

16、of wal-marts supercenter within the premises; and, 2) to grant wal-mart an additional rent-free period of two (2) months commencing from the grand opening day of wal-marts supercenter within the premises ( collectively refereed as to “ rent free period ”)(c)租 期term初始租期為十五(15)年,自免租期屆滿日開始計算??蓡畏矫孀们樾惺估m(xù)約

17、權(quán)三(3)次,每次續(xù)約期的最長期限為五(5)年。the initial lease term shall be fifteen (15) years beginning on the expiration date of the rent free period. wal-mart shall be granted the option, exercisable at its sole discretion, to renew the lease term for three (3) consecutive periods of up to five (5) years each.(d)租 金

18、rent房屋的租金已包括租金、管理費(備注:管理費為租用面積每月每平方米人民幣兩元rmb2.00)空調(diào)系統(tǒng)及其它設(shè)施使用費以及依照中國法律應由業(yè)主承擔的房屋所涉及的任何其它費用和支出。the rent for the premises includes rental, management fees (note: management fee for the leased area shall be rmb2.00 per square meter per month), charges for use of air-conditioning system and other utilitie

19、s, and any other costs and expenses related to the premises that shall be borne by the landlord under the laws of china.承租范圍內(nèi)的水費(包括空調(diào)用水)電費(包括空調(diào)用電)氣費,按實際用量,單獨計量,由自行向相關(guān)公用事業(yè)計算。免租期結(jié)束后的次日第一租約年和租期的開始日。初始租期內(nèi)房屋租用面積的租金按如下標準計算charges for water (including water for a/c), electricity (including electricity for

20、a/c) and gas consumed by wal-mart within the leased area shall be separately calculated and directly paid to relevant public utility authorities by wal-mart upon its actual consumption month period. for calculation of rent purpose, the date following the expiration of the rent free period shall be t

21、he date of commencement for lease year 1 and the lease term. the rent for the lleased aarea during the initial lease term shall be calculated as follows:第一個租約年至第三年租約年的租金為每月每平方米人民幣二十八元lease year 1 to lease year 3: rmb28.00 per square meter of leased area per month (rmb28.00 /month);第四個租約年至第五年租約年的租金為每

22、月每平方米人民幣二十八元八角四分lease year 4 to lease year 5: rmb28.84 per square meter of leased area per month (rmb28.84 /month);第六個租約年至第七年租約年的租金為每月每平方米人民幣二十九元七角一分lease year 6 to lease year 7: rmb29.71 per square meter of leased area per month (rmb29.71 /month);第八個租約年至第九年租約年的租金為每月每平方米人民幣三十元六角零分lease year 8 to lea

23、se year 9: rmb30.60 per square meter of leased area per month (rmb30.60 /month);第十個租約年至第十一年租約年的租金為每月每平方米人民幣三十一元五角一分lease year 10 to lease year 11: rmb31.51 per square meter of leased area per month (rmb31.51 /month);第十二個租約年至第十三年租約年的租金為每月每平方米人民幣三十二元四角六分lease year 12 to lease year 13: rmb32.46 per squ

24、are meter of leased area per month (rmb32.46 /month);第十四個租約年至第十五年租約年的租金為每月每平方米人民幣三十三元四角三分初始租lease year 14 to lease year 15: rmb33.43 per square meter of leased area per month期屆滿后,若決定續(xù)約,則續(xù)約租期內(nèi)房屋租用面積的租金按如下標準計算:第十六年至第三十年,月租金每平方米每兩年遞增 3%.if wal-mart decides to renew the lease agreement upon expiration o

25、f the initial lease term, the increased margin of the rent during the extension period shall be 3% every 2 years from lease year 16 to lease year 30.(e)質(zhì)量和交付 quality and delivery業(yè)主建造的房屋應符合有關(guān)政府管理部門規(guī)定的國家質(zhì)量標準,同時還應符合提供的設(shè)計規(guī)格并經(jīng)有關(guān)房地產(chǎn)管理部門驗收合格后移交給業(yè)主。the premises shall be constructed in compliance with the na

26、tional quality standard stipulated by relevant governmental authority as well as with the construction design and specifications provided by wal-mart and shall be delivered to wal-mart with the official approvals of competent governmental department in charge of realty.(f)停車區(qū)parking area業(yè)主應在本意向書附件一所

27、示位置向及其員工提供最少三百(300)個免費停車位,在租期內(nèi),業(yè)主不得就其提供的停車區(qū)向及員工收取任何費用。顧客可以憑當日購物廣場的購物小票在購物廣場的營業(yè)時間內(nèi)免費停車二(2)小時。若停車時間超過二(2)小時,業(yè)主有權(quán)按物價部門核準的收費標準向顧客收取停車費用。landlord shall provide a minimum of three hundred (300) car park spaces free of charge for wal-mart as specified in exhibit i. during the term, wal-mart and its employe

28、es shall not be levied any fee by the landlord for using of the parking area. wal-marts customers shall have the right to park for two (2) hours free of charge upon presenting the shopping receipt of walmarts supercenter of the same day during business hour of wal-mart s supercenter. if the parking

29、time surpasses two (2) hours, landlord shall have the right to charge the customers according to the standard approved by price administrative authority.(g、稅費taxes)業(yè)主負責支付與房屋及將來簽署的租賃協(xié)議有關(guān)的所有稅收(包括房產(chǎn)稅)和政府費用。沃爾瑪只需支付與其經(jīng)營活動有關(guān)的稅費。the landlord is liable for all taxes, including property tax, and government f

30、ees related to or arising out of the the premises and the lease agreement to be signed. wal-mart shall be responsible only for taxes related to its business activities.(h) 分 租sub-leasing在品牌經(jīng)營的前提下,經(jīng)書面通知業(yè)主,有權(quán)無需征得業(yè)主同意而將部分或全部房屋分租或轉(zhuǎn)租。分租戶或受轉(zhuǎn)租人在遵守租賃協(xié)議約定下可將房屋用于合法的經(jīng)營用途。租賃協(xié)議項下的權(quán)利和義務(wù)仍由和業(yè)主繼續(xù)享有和承擔。upon written n

31、otification to landlord, wal-mart has the absolute right to sublease or assign up to 100% of the premises without the landlords approval, however, that the business shall still be conducted under the brand of wal-mart. the sub-lessee or assignee can use the premises for lawful purpose on the pre-con

32、dition of complying with the lease agreement. the rights and obligations under the lease agreement shall be directly enjoyed and borne by wal-mart and landlord .(i)機密情報confidential information無需向業(yè)主提供有關(guān)銷售或其它方面的機密情報或有關(guān)資產(chǎn)方面的信息。there is no requirement for wal-mart to provide sales information or other c

33、onfidential and proprietary information to the landlord.(j)競爭信息competition information業(yè)主承諾在房屋和大廈內(nèi)無其它與購物廣場、山姆會員商店或小區(qū)店形式相同或相似且營業(yè)面積在一千平方米(1, 000m 2)或以上的商場或的直接或間接競爭者。landlord shall warrant that there shall be no other stores with business area of one thousand square meters (1,000m2) or above and being i

34、dentical or similar in the format to wal-mart ssupercenter, sams members cclub or wal-mart nneighborhood mmarket, nor business operators being directly or indirectly in competition with the business of walmart within the building.(k)自第六 (6)個租約年起,有權(quán)以任何理由提前兩(2)個月以書面形式通知業(yè)主終止租賃協(xié)議,無需為此承擔任何責任。 如自租賃協(xié)議簽訂之日起

35、四(4)個月內(nèi),若沃爾瑪或其合資方無法從工商行政管理局取得在該房屋內(nèi)從事經(jīng)營活動的營業(yè)執(zhí)照,沃爾瑪有權(quán)在書面通知業(yè)主后立即解除租賃協(xié)議而無需為此承擔任何責任。from lease year six, wal-mart shall have the right to terminate the lease agreement without any liabilities for any reason(s) upon giving two (2) months prior written notice to the landlord. in the event that wal-mart and

36、 /or its joint venture partner fails to obtain the business license for its operation within the premises from the industrial and commercial bureau within four (4) months from the date of execution of the lease agreement, wal-mart shall have the right to terminate the lease agreement immediately wit

37、hout any liability upon giving a written notice to the landlord.(l)標志牌signage經(jīng)當?shù)卣嘘P(guān)部門同意后,可在房屋或大廈上經(jīng)雙方共同確認的位置樹立、山姆會員商店或其它商標的標志牌。房屋或大廈上至少可有四(4)個免費標牌供使用和兩(2)個免費標牌供的分租戶使用。wal-mart has the right to erect any wal-mart, sams club or other trademark signage at the location agreed by both parties outside the

38、 premises or building and upon the approval by the proper local government authorities. there shall be a minimum of four(4) pylon signs for wal-mart and two (2) signs for walmarts tenant(s) on the premises free of charge.(m)房產(chǎn)的轉(zhuǎn)讓sale of property如業(yè)主將房屋出售、轉(zhuǎn)讓或繼讓,應保證受讓方繼續(xù)履行租賃協(xié)議項下業(yè)主應向履行的義務(wù)。in the event t

39、hat the landlord sells, transfers or assigns the premises, landlord shall warrant that the new landlord shall continue to maintain the obligations of the lease agreement with wal-mart.(n)保險 insurance業(yè)主應自行購買如下保險:1)按房屋重置的價值為該房屋購買財產(chǎn)一切險且保單格式為“一切險”;和2)公眾責任險并附加廣告牌和裝飾物擴展條款、電梯責任條款和交扠責任擴展條款。該保單的每次事故責任賠償限額為一百

40、萬美元,承保期限內(nèi)的責任賠償限額無限額。業(yè)主將向提供所有有關(guān)保險事宜的單證原件,供審核并復印件存檔,并負責前述保險在租期內(nèi)保持其持續(xù)有效。業(yè)主承諾在“財產(chǎn)一切險”和“公眾責任險”保單內(nèi)附加“保險公司放棄代位求償權(quán)”的擴展條款,即放棄因財產(chǎn)一切險和公眾責任險引起的對沃爾瑪?shù)拇蛔穬敊?quán)。投保的保險公司應符合中國有關(guān)的法規(guī)。未經(jīng)事先書面同意,業(yè)主或其保險公司不得取消保單或修正保單項下的任何內(nèi)容。由于業(yè)主未能將列為保單的共同被保險人或受益人,故業(yè)主同意如前述財產(chǎn)一切險的原因而使得蒙受任何損失,業(yè)主愿意按保單項下保險的范圍和賠償原則賠償?shù)膶嶋H損失??筛鶕?jù)需要為其在房屋內(nèi)部的裝修、改進設(shè)施、庫存、現(xiàn)金及其

41、它有形資產(chǎn)和公共責任購買保險。landlord shall, at its sole cost and expense, 1) procure the property all risk insurance for the premises with the policy form of all risk at replacement and/ or reinstatement value of the premises; and 2) public liability insurance, which shall include advertising sign and decoration

42、s extension clause, elevators, lifts and hoists liability extension clause as well as cross liability extension clause. the limits of indemnity for each insured event under this policy shall be usd 1,000,000 and no limits of sums of indemnity during the valid policy term. landlord shall provide wal-

43、mart with all the original insurance documents for walmarts inspection, photocopy and record keeping, and shall keep such insurance policy in full force and effect at all times during the term. landlord ensures to include the insurance carriers waiver of subrogation right in the property all risk in

44、surance policy, by which the insurance carrier waives its subrogation right against walmart. the insurance carrier shall be the qualified one according to the relevant laws of the prc. without prior consent of walmart, neither landlord nor the insurance carrier shall cancel the policy or modify any

45、and all terms of the policy. as a result that landlord does not name wal-mart as an additional insured or beneficiary of the policy, landlord agrees to indemnify wal-mart any actual losses arising from the property all risk liability in accordance with the insurance coverage and compensation princip

46、les stipulated in the insurance policy. walmart may, at its sole discretion, purchase insurance for internal renovations, improvements, inventory, cash and other physical assets within the premises and public liability.(o)商場營業(yè)日 store opening days可以全年每天營業(yè),包括法定節(jié)假日,還有權(quán)一天二十四(24)小時不間斷地使用裝卸區(qū)。wal-marts sup

47、ercenter may open each and every day of the year, including all statutory holidays in china and wal-mart shall have the right to operate the loading dock area twenty-four (24) hours a day.(p) handover statusthe landlord shall complete all the work set forth in exhibit iiiv as suitable for walmartto

48、conduct renovation on or before the handover day of the premises set in the lease agreement業(yè)主應在租賃協(xié)議規(guī)定的房屋進場日或之前完成附件三中所列的進場裝修條件。(q) 雙方的陳述和保證representations and undertakings by both parties業(yè)主和確認并接受,下列內(nèi)容屬本意向書和房屋租賃協(xié)議項下重要條款,對下列任何條款的任何違反,將構(gòu)成嚴重違反本意向書和房屋租賃協(xié)議:landlord and wal-mart confirm and acknowledge here

49、by that the following items are essential to this agreement of intent and the premises lease agreement. a violation of any of the following terms shall be considered a material breach of this agreement of intent and the premises lease agreement:a. 雙方在此同意并確認,在履行雙方本意向書或房屋租賃協(xié)議或其它協(xié)議(若有)過程中、或履行因本意向書或房屋租賃

50、協(xié)議或其它協(xié)議而產(chǎn)生的義務(wù)過程中,業(yè)主不得聘用、使用童工和/或罪犯。both parties hereby confirm and agree that landlord shall not employ use child labor and/or criminal and/or per(nor ) sons undergoing reeducation-through-labor in process in the execution of this agreement of intent or the premises lease agreement or other agreement

51、s if any between the parties, or in performing the obligations arising from and / or in connection with this agreement of intent or the premises lease agreement or other agreements (if any)b. 雙方在此同意并確認,在履行雙方簽訂的本意向書或房屋租賃協(xié)議或其它合同(若有)過程中、或履行因本意向書或房屋租賃協(xié)議或其它合同(若有)而產(chǎn)生的義務(wù)的過程中,業(yè)主不得強制勞工生產(chǎn)、勞動。both parties here

52、by confirm and agree it is unacceptable and intolerable for landlord to force labor to do product and /or work in process in the execution of this agreement of intent or the premises lease agreement or other agreements if any between the parties, or in performing the obligations arising from and/or

53、in connection with this agreement of intent or the premises lease agreement or other agreements (if any)(2) conditions條件本意向書所定條款的完成必須具備以下的條件:(i)業(yè)主需向提供房屋可作商業(yè)用途的房產(chǎn)證;(ii)業(yè)主提供其有權(quán)出租房屋、大樓、用地及改進措施的證明;(iii)雙方已簽署有效完成本交易的全部必要的文件;(iv)百貨有限公司房地產(chǎn)委員會已審核和批準本項交易;和(v)其它行政規(guī)章規(guī)定的和政府的許可。the closing of any contemplated tr

54、ansaction in this agreement of intent will be contingent upon: (i) the landlord providing the ownership certificate of the premises with commercial use purpose to wal-mart; (ii) landlord providing evidence of its legal right to lease the premises, land and improvements; (iii) execution by both parti

55、es of all necessary documents to effectively close the transaction; (iv) review and approval of the proposed transaction by the real estate committee of (v) any other regulatory or other governmental approvals.(3) 其它條款及條件other terms and conditions本意向書中列明的僅是本項交易的主要條款和條件,并未完全列明。租賃協(xié)議將會對條款和條件做更詳細的規(guī)定。其余租

56、賃協(xié)議的條款及條件將由雙方經(jīng)進一步協(xié)商決定。the above terms and conditions of this agreement of intent are the major terms and conditions of this transaction and are not exhaustive. terms and conditions will be set forth in greater detail in the lease agreement. the remaining terms and conditions of the lease agreement s

57、hall be determined through further discussions between the parties.(4) 保 密confidentiality在本意向書有效期間以及本意向書期滿或終止后的五年內(nèi),除非中國政府主管部門和/或有管轄權(quán)的法院要求,否則,和業(yè)主在任何情況下均不得未經(jīng)對方事先書面同意而將與雙方本房屋租賃項目有關(guān)而直接或間接獲得的對方的保密信息(定義如下)泄漏或披露給任何第三方,亦不得未經(jīng)對方事先書面同意而為本房屋租賃項目以外的目的使用該等保密信息,但雙方均有權(quán)向其因工作職責需要而需知悉保密信息的雇員、高級職員、董事、代理和/或顧問披露保密信息;雙方亦有

58、權(quán)因與本意向書有關(guān)的司法程序或按法律顧問意見根據(jù)法律要求而披露相關(guān)保密信息;乙方有權(quán)向其關(guān)聯(lián)公司及其雇員、高級職員、董事、代理人和/或顧問(不問其所在地)披露任何及全部保密信息。except pursuant to an order of a governmental agency or a court, in both cases of competent jurisdiction, during the term of this loi and for a period of 5 years following the termination or expiration of this loi, walmart and landlord shall, under no circumstances, disclose or divulge to any third party, without the prior
