3、術(shù)文件、圖紙、工程量清單及工程報價單或預(yù)算書。合同履行中，發(fā)包人承包人有關(guān)工程的洽商、變更等書面下一或文件視為本合同的組成部分。This contract includes the contract itself, exhibits, construction drawings, explanations ofwork procedures, tender documents, as well as other documents specified by the contract. The contract documents should be mutually explainable a

The scope of as-builtacceptance includes, but not limit to: concealed work, itemized project, reports of experiments, and reports of material testing. In the event of project fails to be accepted at the first ins

13、pection and thus incurs delays beginning of the subsequent projects. Party B shallcompensate Party A at the daily rate of 2 of the total contract amount as penalty, but thetotal amount shall not exceed 5% of the total contract amount.1.1.8 工程資質(zhì)：在實施此合同所涉及的工程時，乙方應(yīng)確保其具有相關(guān)資質(zhì)。如乙方因為不具備相關(guān)資質(zhì)導(dǎo)致甲方的損失或工程進度的滯后，

14、乙方承擔(dān)全部責(zé)任。Qualifications: Party B represents and warrants it is competent and legitimate to carry out the services that set forth under this Agreement when implementing this contract. Party B shall be responsible for any delay of the construction induced by their insufficient qualifications.1.2 合同價款：

15、Contract Amount本合同價款為人民幣xxxx ，為固定總價合同價款。The total contract amount is xxxx, which is fixed contract amount本合同包括設(shè)備材料費、人工費、機械費、管理費、利潤、稅金、代辦費用、保險費、運輸費、勞務(wù)費用、總承包服務(wù)費以及為完成工程所必須的其他一切費用，和工程各系統(tǒng)檢驗檢測、安裝調(diào)試等費用。該款項為甲方應(yīng)付給乙方的全部費用，并已經(jīng)包含物價變動因素。This agreement includes the cost of equipment and materials, labor cost, mac

22、provals2.1 乙方負責(zé)協(xié)助甲方辦理此項施工需要辦理的所有政府報批，包括但不僅限于消防、環(huán)保的報批與其他與本工程相關(guān)的報批，甲方負責(zé)政府行政審批的費用。Party B shall be responsible to process government approvals related to the project, including but not limited to: fire control, environment protection and other approvals related tothis Project. Party A is responsible fo

23、r the costs of these approvals 2.2 乙方負責(zé)其工程報備Party B shall be responsible for construction applications, approvals and related costs.2.3 乙方應(yīng)承擔(dān)2.2 所述報備不全而導(dǎo)致的政府罰金，并且不能順延工期。Party B shall be responsible for any government fines due to incomplete approval processes, and should NOT cause delay in the const

24、ruction period.第三條：甲方的權(quán)利和義務(wù)Article 3 Rights and Obligations of Party A3.1 向乙方提供經(jīng)確認的施工圖紙或做法說明五份，并向乙方進行現(xiàn)場交底，向乙方提供施工所需要的水電設(shè)備，并說明使用注意事項。Party A shall provide FIVE copies of confirmed construction drawings and explanations of work procedures, and shall conduct technical clarification. Party A shall provi

25、de Party B with necessary water and power equipment and the instructions on using the equipment.3.2 指派 xxxx 為甲方駐工地代表，負責(zé)合同的履行。對工程質(zhì)量、進度進行監(jiān)督檢查，辦理驗收、變更事宜。甲方的工地代表如果認為乙方的某雇員行為不當(dāng)或散漫不羈，或甲方認為該雇員不能勝任，則乙方應(yīng)立即進行撤換，并且未經(jīng)甲方實現(xiàn)書面許可，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應(yīng)盡可以能立即由甲方代表所批準(zhǔn)的勝任的人員代替。Party A appoints xxxx as the on-site

In the event of the on-site representative of Party A believes that any employee of Party B has improper conduct or misbeh

27、aviors, or if Party Aconsider such employee is not competent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writingin advance, Party B shall no longer hire the specified employee in the following phase of this proj

Party B should make every effort to replace the dismissed employee with competent personnel authorized by on-site representative of Party A.43.3 甲方按照付款約定向乙方支付工程款。Party A should make payments to Party B according to the payment terms.3.4 如甲方認為乙方確已無能力繼續(xù)履行合同的，則甲方有權(quán)解除合同，乙方必須在接到甲方書面通知后兩周內(nèi)撤離場地以便乙方繼續(xù)施

29、工。對乙方完成工程量的結(jié)算不作為撤離場地的條件，結(jié)算應(yīng)在竣工一個月之內(nèi)完成，付款方式按照本合同條款。In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the contract, and Party B should vacate the project site within two weeks after receiving Party A's not

30、ice, so that Party A can resume construction assoon as possible.Confirmation of finished quantity shall NOT be regarded as a prerequisiteto Party B's vacation of the project site, and the confirmation should be processed within onemonth after the project completion.Payment shall be made accordin

31、g to the payment termsin this contract.3.5 甲方有權(quán)要求乙方按照甲方的組織設(shè)計和施工工期進行施工，乙方如對甲方的要求和指令不予執(zhí)行的，則按照乙方違約處理，乙方應(yīng)承擔(dān)違約責(zé)任。Party A has the right to instruct Party B to do the construction according to Party A's organization and planned construction period; in the event of Party B ignores and refuses toobserve

32、Party A's instructions, Party B will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract.3.6 甲方有權(quán)要求乙方服從甲方的統(tǒng)一安排和管理，乙方的施工人員必須遵守各項規(guī)章制度。對于乙方施工人員違規(guī)操作所產(chǎn)生的后果，乙方承擔(dān)全部責(zé)任。甲方有權(quán)從工程總價款中扣除相應(yīng)的款項。Party A has the right to instruct Party B to obs

33、erve the general arrangement and managementby Party A, and the construction staffs of Party B must observe all rules and regulations. Party B shall be fully responsible for the consequences of such violations by the staff of PartyB. Party A has the right to directly deduct the corresponding amount f

34、rom the total contract amount.3.7 甲方所有的通知可以以書面或口頭形式發(fā)出，乙方接獲甲方的通知后應(yīng)根據(jù)通知規(guī)定的內(nèi)容執(zhí)行。All notices from Party A can be made both in writing and orally, but the oral instructions areonly applicable to the representative of Party A. Party B shall, upon receiving notices from Party A, execute the corresponding m

35、atters according to the content of the notices.3.8 未經(jīng)甲方同意，乙方不得將工程轉(zhuǎn)讓或分包，對于乙方將工程擅自轉(zhuǎn)讓或分包的，甲方有權(quán)解除合同，乙方必須接受并承擔(dān)由此造成的一切后果。Party B shall NOT transfer or subcontract the project to any third party without the consent of Party A; in the event of Party B transfers or subcontracts the project to any third party

36、 without the consent of Party A, Party A has the right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation.3.9 甲方有權(quán)制定專業(yè)分包商，并按照乙方在投標(biāo)文件中承諾的配合管理費率向乙方支付配合管理費。Party A has the right to appoint special sub-contractors, and shall pay the management fee

37、 to Party B according to the rate of subcontract management and coordination fee stipulated in5the bidding documents3.10 按照招標(biāo)文件中的相關(guān)條目，甲方有權(quán)自行采購材料供給乙方，并按照乙方在投標(biāo)文件的相關(guān)條目中汲取人工費、機械費、輔助材料費等向乙方支付費用。甲方?jīng)]有義務(wù)向乙方支付其他費用。Party A has the right to purchase and provide Party B with materials on its own, and shall pay

Party A has no obligations to pay any other costs to Party B第四條：乙方的權(quán)利義務(wù)Article 4 Rights and Obligations of Party B4.1 參加甲方組織的施工圖紙或做法說明的現(xiàn)場交底，擬定施工方案和進度計劃，交由甲方審定。施工過程中，乙方按照甲方的有關(guān)指示及修改變更要求進

39、行相應(yīng)調(diào)整。Party B shall participate in the technical clarification on construction drawings and explanations of work procedures organized by Party A, and should develop the constructionplan and the progress schedule for Party A to review. During construction, Party B should make such adjustment to the c

40、onstruction plan and the progress schedule per Party A's instruction and change-orders.4.2 指派 xxxx 為乙方駐工地代表，負責(zé)合同的履行，按照要求組織施工，保質(zhì)保量、按期完成施工任務(wù)。解決由乙方負責(zé)的各項事宜。乙方駐工地代表在本公司的工作時間不得少于90% 工作日。Party B appoints xxxx as the on-site representative of Party B to take charge of fulfilling thecontract obligations.

41、 The on-site representative of Party B shall organize the construction according to contract requirements so that the project can be completed according to the quality and quantity requirements and on a timely manner. The on-site representative of Party B shall work on the project site for no fewer

42、than 90% of the total working days.4.3 嚴格執(zhí)行施工規(guī)范、安全操作規(guī)程、防火安全規(guī)定、環(huán)境保護規(guī)定。嚴格按照圖紙或做法說明進行施工，做好各項質(zhì)量檢查記錄，參加竣工驗收，編制竣工資料及工程結(jié)算。Party B shall strictly observe construction guidelines, safety requirements, fire safety regulations, environment protection regulations and LEED requirements. Party B shall do the cons

43、truction by strictly adhering to the construction drawings and explanations of work procedures, and shall effectively record each QA/QC inspection. Party B shall attend the completion acceptance, and develop at-built submittals and final project audit.4.4 根據(jù)甲方和設(shè)計方一致通過的設(shè)計圖紙進行施工，遵從甲方工地代表和設(shè)計方的指示，如乙方發(fā)現(xiàn)在

44、工程標(biāo)準(zhǔn)和設(shè)計圖之間存在不一致時，應(yīng)以書面形式通知甲方和設(shè)計方。Party B shall carry out the construction according to the design drawings agreed upon by both Party A and the designer, shall observe the instructions of designer and the representative ofParty A; in the event of Party B finds inconsistence between project standards a

45、nd design drawings, Party B should inform the designer and Party A in writing.4.5 遵守國家或地方政府及有關(guān)部門對施工現(xiàn)場管理的規(guī)定及甲方的規(guī)章制度，妥善保護好施工現(xiàn)場周圍的建筑物、設(shè)備管線等不受損壞。做好施工現(xiàn)場保衛(wèi)、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位（住戶）的關(guān)系；如果由于乙方導(dǎo)致任何設(shè)施、設(shè)備6或管道在工地內(nèi)外受損。將由乙方賠償損失。乙方負責(zé)與甲方的施工協(xié)調(diào)事項，并獨自完全承擔(dān)所有相關(guān)責(zé)任。Party B shall observe policies of on-site manag

50、d as "subcontractors") should purchase corresponding insurance for their own or other parties' properties, such as temporary construction barracks, iron frames and towers, scaffolding, utensils and other materials.4.9 從工程開始至工程竣工驗收報告上所列明的日期之日止，乙方應(yīng)全權(quán)負責(zé)整項工程。不管任何原因?qū)е碌墓こ痰膿p壞，乙方負責(zé)修理還原，以使整個工程竣

53、 the following compensation liabilities, and exempt Party A from all liabilities: all injury and rights claims related to any personal injuries or property damage or loss as a result of the construction project, except for the following compensation or reimbursement:4.10.1工程或其任何部分永久性使用或占用工地。Permanen
