1、外貿(mào)合同范本4篇(現(xiàn)匯)外貿(mào)合同書(shū)（一）合同編號(hào)：甲方：公司（以下簡(jiǎn)稱(chēng)供方），由代表乙方：公司（以下簡(jiǎn)稱(chēng)購(gòu)方），由代表目次第一條合同標(biāo)的第二條技術(shù)資料第三條供貨條件-包裝和標(biāo)記第四條設(shè)備質(zhì)量第五條合同價(jià)格和支付條件第六條保證第七條不可抗力第八條仲裁第九條通知第十條語(yǔ)言第十一條其它條件附件1設(shè)備技術(shù)說(shuō)明書(shū)第號(hào)購(gòu)買(mǎi)合同甲方（供方）與乙方（購(gòu)方）達(dá)成如下協(xié)議：第一條合同標(biāo)的供方同意出售，購(gòu)方同意購(gòu)買(mǎi)。（詳見(jiàn)本合同附件1，該附件為本合同不可分割的一部分）。第二條技術(shù)資料供方應(yīng)向購(gòu)方提供設(shè)備使用及維修技術(shù)資料一份。第三條供貨條件-包裝和標(biāo)記供方應(yīng)在設(shè)備全額信用證開(kāi)立之后的個(gè)月內(nèi)用密封集裝箱或其它包皮包裝

2、從發(fā)運(yùn)設(shè)備。供方有權(quán)從任何對(duì)其方便的港口發(fā)運(yùn)設(shè)備。供方應(yīng)把設(shè)備運(yùn)至商定的港。自設(shè)備從船航運(yùn)抵港口時(shí)起滅失和（或）損壞的風(fēng)險(xiǎn)由供方轉(zhuǎn)移到購(gòu)方。供方承擔(dān)設(shè)備運(yùn)輸?shù)囊磺匈M(fèi)用及運(yùn)抵港口前的保險(xiǎn)費(fèi)。設(shè)備從港口繼續(xù)運(yùn)到安裝地的一切費(fèi)用由購(gòu)方承擔(dān)。發(fā)貨前天內(nèi)供方應(yīng)向購(gòu)方通知發(fā)運(yùn)情況，明確交通工具的種類(lèi)和名稱(chēng)、計(jì)劃發(fā)運(yùn)日期及其它有關(guān)信息。購(gòu)方應(yīng)支付履行海關(guān)手續(xù)的所有費(fèi)用和一切與設(shè)備運(yùn)入境內(nèi)有關(guān)的開(kāi)支。設(shè)備和技術(shù)資料用密封集裝箱或其它包皮裝運(yùn)并附具包裝清單，標(biāo)記使用英語(yǔ)刷寫(xiě)。發(fā)貨單證包：1）發(fā)貨帳單（三份）2）海運(yùn)提單3）裝箱單4）保險(xiǎn)單第四條設(shè)備質(zhì)量按本合同所供設(shè)備的質(zhì)量應(yīng)符合生產(chǎn)廠家的技術(shù)條件。如生產(chǎn)廠家有

3、保證書(shū)，應(yīng)用保證書(shū)加以確認(rèn)。第五條合同價(jià)格和支付條件所供設(shè)備的總額為美元（cif價(jià)）。購(gòu)方應(yīng)在合同簽定后的天內(nèi)開(kāi)立以供方為受益人的不可撤銷(xiāo)的保兌信用證。該信用證在開(kāi)立時(shí)起的天內(nèi)有效。開(kāi)證行應(yīng)為銀行或的某家銀行。一切與在開(kāi)證行開(kāi)立信用證有關(guān)的費(fèi)用由購(gòu)方承擔(dān)，而一切與議付行收取信用證有關(guān)的費(fèi)用由供方承擔(dān)。支付在向議付行提交下列單據(jù)后進(jìn)行：1）發(fā)貨帳單（3份）2）海運(yùn)提單3）裝箱單4）保險(xiǎn)單第六條保證供方保證所供設(shè)備在投入使用日起的個(gè)月內(nèi)，但不超過(guò)發(fā)貨日起的月內(nèi)正常工作。第七條不可抗力在發(fā)生不可抗力情況致使合同一方不能全部或部分履行本合同的義務(wù)時(shí)，按此種不可抗力情況存在某個(gè)單位的時(shí)間推遲履行合同義務(wù)

4、。不可抗力情況是指雙方不能預(yù)見(jiàn)或預(yù)測(cè)的由于非常事件而出現(xiàn)的情況，即：影響履行所承擔(dān)義務(wù)的火災(zāi)、風(fēng)暴、地震和其它自然現(xiàn)象，以及戰(zhàn)斗、任何性質(zhì)的軍事行動(dòng)，各國(guó)政府的封鎖與制裁等。因不可抗力情況而不能履行義務(wù)的一方，應(yīng)在不可抗力情況發(fā)生和停止的20天內(nèi)書(shū)面通知另一方關(guān)于其發(fā)生和停止的情況。收信人所在國(guó)郵局在收到通知函日加蓋的日期作為得悉該信息的日期。協(xié)約雙方國(guó)商會(huì)出具的證明書(shū)將成為證明上述情況發(fā)生及延續(xù)時(shí)間的必要證據(jù)。如有些情況延續(xù)3個(gè)多月，每一方都有權(quán)拒絕繼續(xù)履行本合同義務(wù)，同時(shí)任何一方都無(wú)權(quán)要求對(duì)方賠償可能發(fā)生的損失。第八條仲裁所有可能由本合同而產(chǎn)生的糾紛或分歧均應(yīng)由合同雙方友好解決。如果無(wú)法解

5、決糾紛，則該糾紛應(yīng)提交下設(shè)外貿(mào)仲裁委員會(huì)按其業(yè)務(wù)規(guī)章審理（提交一般法院審理者除外），該委員會(huì)的決定對(duì)于雙方為終審，必須執(zhí)行。第九條通知一切通知等雙方均應(yīng)按本合同條件以書(shū)面形式進(jìn)行。第十條語(yǔ)言本合同用語(yǔ)書(shū)就。供方提供英文的全部技術(shù)資料和供貨單證。第十一條其它條件自本合同簽署之日起，所有在此以前的有關(guān)談判和往來(lái)信函均告失效。對(duì)本合同的任何修改和補(bǔ)充只有在以書(shū)面形式形成并經(jīng)雙方有關(guān)全權(quán)代表簽后方能生效。任何一方都無(wú)權(quán)在未征得對(duì)方書(shū)面同意之前將自己對(duì)合同的權(quán)利和義務(wù)轉(zhuǎn)讓給第三者。本合同于年在蘇聯(lián)簽署，一式兩份，兩份具有同等效力。供方：購(gòu)方：附件1本附件為和于簽訂的第號(hào)購(gòu)貨合同不可分割的一部分。按照合同

30、ment。（15）品質(zhì)與數(shù)量、重量的異議與索賠：貨到目的口岸后，買(mǎi)方如發(fā)現(xiàn)貨物品質(zhì)及或數(shù)量重量與合同規(guī)定不符，除屬于保險(xiǎn)公司及或船公司的責(zé)任外，買(mǎi)方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣(mài)方提出異議，品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量重量異議須于貨到目的口岸之日15天內(nèi)提出。賣(mài)方應(yīng)于收到異議后30天內(nèi)答復(fù)買(mǎi)方。qualityquantityweight discrepancy and claim ：in case the quality andr quantityweight are fund by the buyer t be nt in cnfrmity with the
