19、The Deposit shall be refunded to Party B (without interest) within 10 days after the return of the Leased Unit by Party B in accordance with this Lease to Party A and the settlement of all outstanding Rent and Other Charges upon the expiry of the Term.    如乙方履行本合同各項(xiàng)條款至合同期滿,乙方不再續(xù)租,并將完好房屋歸還甲

20、方,甲方在確認(rèn)乙方已結(jié)清各種費(fèi)用后十日內(nèi)將保證金(不計(jì)利息)返還乙方。6.   Internal Fitting Out六、        房屋裝修6.1  Party B may fit out the Leased Unit during the Term provided that it shall complete fitting-out formalities with Party A before the commencement of the fitting-out works. Party B sh

21、all bear all the costs in fitting out the Leased Unit. The procedures of fitting-out formalities, cost rate and other requirements are set out in the “Fitting Out Manual”provided by Party A.6.2  Party B shall not cause any damage to the exterior and internal structure of the Property and i

22、ts ancillary facilities when fitting out the Leased Unit and shall strictly comply with safety and otherwise regarding decoration designs, construction, inspection and acceptance.    乙方可在承租期內(nèi)對(duì)承租房屋進(jìn)行裝修。乙方開(kāi)始裝修前,向甲方辦理裝修手續(xù),乙方自己承擔(dān)裝修費(fèi)用,有關(guān)裝修的手續(xù)、費(fèi)用和要求以甲方提供的裝修手冊(cè)為準(zhǔn)。乙方在裝修中不得改變或損壞大廈的外觀、內(nèi)部結(jié)構(gòu)、及期附屬設(shè)施設(shè)備,并

23、嚴(yán)格遵守裝修手冊(cè)的相關(guān)規(guī)定。乙方應(yīng)對(duì)承租單元的消防安全、裝修設(shè)計(jì)及建造負(fù)責(zé)并接受檢查。7.   Other Charges七、        其它費(fèi)用7.1  party B shall bear the indoor electricity charges incurred by its use of the lighting and other electricity consuming facilities of the Leased Unit according to the actual electric

24、ity consumption measured by the separate electricity meter installed therein. Party B shall make payment of such charges payable to the ShiDu Mansion Property Management Office direct.    乙方須負(fù)擔(dān)所租用房屋的室內(nèi)用電費(fèi)用,有關(guān)電費(fèi)乙方每月按水電表讀數(shù),向大廈管理處繳付。7.2  Party B shall during the term pay all charges

25、 any deposit required to be payable to the Telecom Department arising from and in connection with the application and use of the telephone or fax lines applied by Party B directly from Telecom Department and shall observe the regulations of the Telecom Department for using of telephone and fax lines

26、.    乙方在租賃期間須對(duì)其所使用的電話、傳真費(fèi)用及接駁費(fèi)負(fù)責(zé)繳納,并遵守電信管理部門(mén)的相關(guān)規(guī)定。7.3  Party B shall during the term pay all property management fee at RMB15.00/sm/month of the leased unit and deposit required to be payable to ShiDu Mansion Property Management Office.    乙方在租賃期間須繳納其房屋的物業(yè)管理費(fèi)和保證金,物業(yè)管理費(fèi)為

27、每月每平方米人民幣15元正。7.4  Party A shall pay all taxes arising from the performance of this lease in accordance with the laws of Peoples Republic of China.    有關(guān)因租賃房屋所發(fā)生的政府稅項(xiàng)(包括但不限于所得稅、營(yíng)業(yè)稅及房產(chǎn)稅等)由甲方承擔(dān)。7.5  Lease registration fee shall be equally shared by both parties.若需辦理該合同備案登

28、記,應(yīng)由甲方負(fù)責(zé)辦理,該費(fèi)用甲、乙雙方各自承擔(dān)一半。8.   Repair and Maintenance八、        維修保養(yǎng)8.1  Party B shall notify Party A forthwith if the internal structure and the central air-conditioning system of the Leased Unit require and maintenance.8.2  Such repair and maintenan

29、ce shall be carried out by and at the cost and expense of Party A, provided that for any damage to the internal structure, central air-conditioning system or fire system is caused by reasons attributable to party B, the corresponding repair and maintenance shall be carried out at the expenses of Par

30、ty B.8.3  Repair and maintenance required for the interior decoration, equipment and facilities within the Leased Unit shall be carried out by and at the sole expense of Party B.    承租房屋內(nèi)部結(jié)構(gòu)及中央空調(diào)系統(tǒng)需要維修保養(yǎng)(除乙方裝修改動(dòng)部分)時(shí),乙方應(yīng)及時(shí)通知甲方。上述維修保養(yǎng)由甲方進(jìn)行并承擔(dān)費(fèi)用,若由于乙方原因?qū)Τ凶夥课莸膬?nèi)部結(jié)構(gòu)或中央空調(diào)系統(tǒng)、消防系統(tǒng)造成損壞,則由乙

31、方承擔(dān)相應(yīng)責(zé)任和費(fèi)用。承租單元內(nèi)的室內(nèi)裝修、設(shè)施設(shè)備等的維修保養(yǎng)由乙方自行負(fù)責(zé)。9.   Force Majored九、        不可抗力:9.1   If either party fails or is unable to perform its obligation under this lease for over 30 consecutive days as a result of war, natural disaster or any force majored event not forese

32、eable, avoidable and surmountable by any party, or the Leased Unit is rendered not useable and restorable for 30 days as a result of destruction of the Premises or substantial part thereof due to force majored, this Lease shall be terminated.9.2   In the event of termination of this Lease

33、for force majored, the Lease shall be deemed as terminated upon expiration of its term. However, neither party shall be discharged from any liability arising from any default committed by it prior to the termination of the Lease. Party B shall settle all outstanding rent and other charges within 10

34、(ten) days after the termination of this Lease. Party A shall refund the Deposit to Party B within 10 days of such termination.    Neither party shall be required to compensate for the damages caused by force majored.承租期間,如因法律明確規(guī)定之不可抗力導(dǎo)致承租房屋毀損,導(dǎo)致乙方不能完全使用該房屋,乙方不需支付發(fā)生不可抗力后至承租房的修復(fù)期間的租金,若不可抗力事

35、件維持一個(gè)月以上仍未解決,乙方可以提出終止合同。承租房屋租金只須交付至發(fā)生不可抗力事件的前一天止。乙方結(jié)清所有費(fèi)用后,甲方應(yīng)于十日內(nèi)退回乙方履約保證金及多交的房屋租金,雙方均無(wú)須對(duì)因不可抗力造成的損害承擔(dān)任何賠償責(zé)任。10.   Termination of the Lease十、        租約的終止:10.1  This Lease shall be terminated upon occurrence of any of the following:本合同將因下述任何一事件發(fā)生而終止:(1) 

36、      The expiry of the Term. And after the term expiry, under the same condition, Party B have precedence right to lease the unit.承租期屆滿。承租期屆滿后,同等條件下,乙方有優(yōu)先續(xù)租權(quán)。(2)        Performance or continuous performance of the Lease becomes impossible due to the force majored

37、stipulated in this Lease during Term;在承租期內(nèi),因本合同約定的不可抗力事件出現(xiàn)而致使本合同無(wú)法或不能繼續(xù)履行。(3)  Party A agreed when the Lease performed 9 months, Party B may be allowed to terminate this Lease by giving          months prior written notice to Party A without any penalty. 

38、         在承租期內(nèi),乙方可以     個(gè)月書(shū)面通知,提前終止租賃而無(wú)須付終止合同罰款。但乙方必須在履行本承租合同九個(gè)月后方能行使本條款。11.   Return of the Leased Unit十一、房屋交還11.1  Upon early termination or expiration of this Lease, Party B shall reinstate the Leased Unit to its original condition

39、(normal wear and tear excepted) and return it to Party A.      乙方租賃期滿或退還終止租賃時(shí),須交還房屋及恢復(fù)房屋原狀(房屋及其設(shè)備因自然磨損除外)給甲方。12.   Other Obligations十二、違約責(zé)任:12.1  During the term, if Party B break the contract and make damage to Party A, Party A shall be entitled to deduct dam

40、age amount from deposit, and Party B shall complement the amount in 10 days. Party A can withhold part or all deposit to offset the damage. If Party B doesnt complement the deposit, Party A shall have the right to terminate the lease, and forfeit the residual deposit.      在合同履行期

41、間,乙方如違反合同規(guī)定,造成甲方經(jīng)濟(jì)損失,甲方有權(quán)從履約保證金中扣除實(shí)際損失費(fèi),乙方應(yīng)在十日內(nèi)補(bǔ)足保證金。甲方可以扣留部分或全部保證金抵付乙方造成損失的費(fèi)用開(kāi)支。如乙方?jīng)]在規(guī)定時(shí)間內(nèi)補(bǔ)足保證金,甲方有權(quán)終止本合同,并不退還剩余保證金。If the case of early termination of the lease is caused by Party B, Party A shall be entitled to forfeit all deposit paid by Party B. If the Deposit or any part of it has been deducte

42、d by Party A in accordance with this Lease, party B shall make up for the deducted amount and settle all amounts in arrears. If the case of early termination of the lease is caused by Party A, Party A shall return all the deposit to Party B as well as compensation amount equivalent to the Deposit.如果

43、因?yàn)橐曳降脑驅(qū)е伦饧s提前終止,甲方有權(quán)沒(méi)收乙方的履約保證金,若保證金已在租賃期間扣除且尚未補(bǔ)足,乙方應(yīng)補(bǔ)足保證金并付清所有欠繳費(fèi)用;如果因?yàn)榧追降脑驅(qū)е伦饧s提前終止,甲方應(yīng)返還乙方履約保證金并支付相當(dāng)于保證金金額的賠償金。12.2  In the event of any accident happening within the leased Unit due to Party Bs default and causing any damage or injury to the property or third party, Party A shall be ent

44、itled to claim against Party B for any actual losses suffered by itself or third party.      如乙方在裝修期間和租賃期間,因管理或使用不當(dāng)造成火災(zāi)或其他損失,應(yīng)承擔(dān)由此給甲方和其他各方的賠償。12.3  If any Rent or Other Charges becomes overdue for 30 days, Party A shall have the right to withhold the Deposit paid by Par

45、ty B, charge late payment penalty of 0.1% per day on the overdue amount, terminate the Lease and discontinue the supply of electricity and central air-conditioning service to the Leased Unit.      乙方未按本合同約定的時(shí)間交付租金及其他相關(guān)費(fèi)用的,每逾期一天,按照月租金的0.1%交納違約金,逾期30日不交租金的,甲方可以單方解除合同,追究應(yīng)付租金,并中止中央空調(diào)

46、、供電等服務(wù)。乙方的履約保證金作為支付甲方的違約金不予返還。12.4  If any property management fee or other charges payable by Party B becomes overdue, Party A shall have the right to discontinue the supply of electricity and central air-conditioning service to the Leased Unit. Party B shall pay a late payment penalty of

47、 0.1% per day on the overdue amount until the property management fee or other charges payable have been settled by party B.      乙方未按本合同約定的時(shí)間交付物業(yè)管理費(fèi)及其他相關(guān)費(fèi)用的,每逾期一日,按照應(yīng)交費(fèi)用的0.1%交納違約金,同時(shí)甲方可以中止中央空調(diào)、供電等服務(wù)。12.5  During the term, Party B shall not transfer in whatever manner o

48、r create any security upon the lease right under this Lease; sub-let or permit the use of the whole or part of the Leased Unit to or by any third party; or share the use of the Leased Unit with any third party.      在合同履行期間,乙方未經(jīng)甲方同意,不得擅自將租賃房屋的全部或部分轉(zhuǎn)租與乙方無(wú)關(guān)聯(lián)的公司。12.6  Duri

49、ng the term of the lease, Party B should observe the Building Management rules & regulations.      在合同履行期間,乙方應(yīng)遵守世都大廈物業(yè)管理規(guī)定及管理。Governing Law and Dispute Resolution爭(zhēng)議解決12.7  This Lease shall be governed by the laws of the Peoples Republic of China.      本合同是根據(jù)中華人民共和國(guó)法律制定。12.8  Any dispute arising in connection with this Lease shall be resolved in the first instance through amicable discussi
