10、賣方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運到目的港，不許分批，允許轉(zhuǎn)運。12. shipping advice: the sellers shall, immediately upon the pletion of the loading of the goods, advise by fax the buyers of the contract no., modity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. in case due to the sellers not hav

11、ing faxed in time, all losses caused shall be borne by the sellers. 裝運通知：賣方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號、貨物、數(shù)量、發(fā)票價值、毛重、運輸工具名稱、交貨日期、貨物預(yù)計抵達日等資料通知買方。如果由于賣方未能通知買方而造成的所有損失均由賣方承擔(dān)。13. guarantee of quality: the sellers guarantee that the modity hereof is made of the best materials with first class workmanship, brand ne

12、w and unused, and plies in all respects with the quality and specification stipulated in this contract. the guarantee period shall be 12 months counting from the date of signing the acceptance report of this machine at the end-user"s site. 質(zhì)量保證：賣方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。質(zhì)保期為

13、最終用戶簽定驗收報告后12個月內(nèi)。15. force majeure: the sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. the sellers shall advise the buyers immediately of

14、the occurrence mentioned above and within fourteen days thereafter, the sellers shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the petent government authorities where the accident occurs as evidence thereof. under such circumstances the sellers, howe

15、ver, are still under the obligation to take all necessary measures to hasten the delivery of the goods. in case the accident lasts for more than 10 weeks, the buyers shall have the right to cancel the contract. 不可抗力：對于制造或裝船運輸過程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣方可以不承擔(dān)責(zé)任。賣方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買方，并且賣方應(yīng)用航空郵件將有關(guān)

16、政府當(dāng)局部門出具的證明不可抗力產(chǎn)生的文件寄送給買方。在此情況下，賣方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運。如果事故持續(xù)十周，買方有權(quán)取消該合同。16. late delivery and penalty: should the sellers fail to make delivery on time as stipulated in the contract, with exception of force majeure causes specified in clause 15 of this contract. the buyers shall agree to postpone

17、the delivery on condition that the sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. the penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. the rate of penalty is charged at 0.5% for every seven days. odd day

18、s less than seven days should be counted as seven days. in case the sellers fail to make delivery ten weeks later than the time of shipment stipulated in the contract, the buyers shall have the right to cancel the contract and the sellers, in spite the cancellation, shall still pay the aforesaid pen

19、alty to the buyers without delay. 遲交貨和罰金：如果賣方未能按合同規(guī)定及時交貨(除了本合同15條款所言的不可抗力)，買方同意在賣方付罰金的前提下遲交貨。罰金的金額不超過遲交貨的合同貨物部分的價值的5%，罰金按每7日0.5%計算，少于7日的增加天數(shù)按7日計。如果賣方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運，買方有權(quán)取消該合同，除此之外，賣方仍要將有關(guān)罰金不加拖延地付給買方。17. arbitration: any dispute arising from or in connection with this contract shall be submitted to china international economic and trade arbitration mission for arbitration which shall be conducte
