8、:上述各方經(jīng)平等自愿協(xié)商,簽訂本合同以共同遵守。第一條委任與接受在本協(xié)議有效期內(nèi),賣(mài)方指定代理商為本協(xié)議第四條項(xiàng)下商品的獨(dú)家代理商,在 第三條所規(guī)定的區(qū)域內(nèi)招攬顧客的訂單。代理商同意并接受上述委任。第二條代理商的義務(wù)代理商應(yīng)嚴(yán)格遵守賣(mài)方隨時(shí)給予的任何指令,而且不得代表賣(mài)方作出任何擔(dān)保、 承諾以及訂立契約、合同或作其他對(duì)賣(mài)方有約束力的行為。對(duì)于代理商違反賣(mài)方 指令或超出指令范圍所用的一切作為或不作為,賣(mài)方都將不承當(dāng)任何責(zé)任。第三條代理區(qū)域本協(xié)議所指的代理區(qū)域是: (以下簡(jiǎn)稱(chēng)區(qū) 域)。第四條代理商品本協(xié)議所指的代理商品是 (以下簡(jiǎn)稱(chēng)商品)。第五條獨(dú)家代理權(quán)基于本協(xié)議授予的獨(dú)家代理權(quán),賣(mài)方不得在代理

9、區(qū)域內(nèi),直接地或間接地,通過(guò) 其他渠道銷(xiāo)售、出口代理商品。代理商也不得在代理區(qū)域內(nèi)經(jīng)銷(xiāo)、分銷(xiāo)、或促銷(xiāo) 與代理商品相似或有競(jìng)爭(zhēng)性的商品,也不能招攬或接受到區(qū)域外銷(xiāo)售為目的訂單。在本協(xié)議有效期內(nèi),對(duì)來(lái)自于區(qū)域內(nèi)其他顧客有關(guān)代理商品的訂單、詢(xún)價(jià),賣(mài)方 都應(yīng)將其轉(zhuǎn)交給代理商。第六條最低代理額和價(jià)格在本協(xié)議有效期內(nèi),如果賣(mài)方通過(guò)代理商每所(12個(gè)月)從顧客處收到的貨款總金額低于人民幣 元,那么賣(mài)方有權(quán)提前30天書(shū)面通知代理商解除本協(xié)議。賣(mài)方應(yīng)經(jīng)常向代理商提供最低的價(jià)格表以及商品可以成交的條款、條件。第七條訂單的處理在招攬訂單時(shí),代理商應(yīng)將賣(mài)方成交的條件、合同的一般條款充分通知顧客,也 應(yīng)告知顧客任何合同

10、的訂立都須經(jīng)賣(mài)方確實(shí)認(rèn)。代理商應(yīng)將其收到的訂單立即轉(zhuǎn) 交給賣(mài)方,以供賣(mài)方選擇是否接受訂單。賣(mài)方有權(quán)利拒絕履行或接受代理商所獲 得的訂單或訂單的一局部,而代理商對(duì)于被拒絕的訂單或其中的一局部,無(wú)任何 傭金請(qǐng)求權(quán)。第八條費(fèi)用分擔(dān)除另有約定外,所有的費(fèi)用和支出,如電訊費(fèi)、差旅費(fèi)以及其他有關(guān)商品銷(xiāo)售的 費(fèi)用,都應(yīng)由代理商承當(dāng)。除此以外,代理商還應(yīng)承當(dāng)維持其辦公處所、銷(xiāo)售人 員以及用于執(zhí)行賣(mài)方中有關(guān)代理商的義務(wù)而發(fā)生的費(fèi)用。第九條傭金賣(mài)方接受代理商直接獲得的所有訂單后,就應(yīng)按商品凈銷(xiāo)售額的百分之 ,以 (貨幣)支付給代 理商傭金。傭金只有在賣(mài)方收到顧客的全部貨款后,每6個(gè)月支付一次,以匯付 方式支付。第

11、十條商情報(bào)告 賣(mài)方和代理商都應(yīng)按季度或按對(duì)方要求提供有關(guān)市場(chǎng)信息的報(bào)告,以盡可能促進(jìn) 商品的銷(xiāo)售。代理商應(yīng)向賣(mài)方報(bào)告商品的庫(kù)存情況、市場(chǎng)狀況及其他商業(yè)活動(dòng)。 第十一條商品的推銷(xiāo)在代理區(qū)域內(nèi),代理商應(yīng)積極地充分地進(jìn)行廣告宣傳以促進(jìn)商品的銷(xiāo)售。賣(mài)方應(yīng) 向代理商提供一定數(shù)量的廣告印刷品、商品樣本、小冊(cè)子以及代理商合理要求的 其他材料。第十二條 工業(yè)權(quán)保護(hù)在本協(xié)議有效期內(nèi),代理商可使用賣(mài)方的商標(biāo),但僅限于代理商品的銷(xiāo)售。如果 在本協(xié)議終止后,代理商地銷(xiāo)售庫(kù)存代理商品時(shí),仍可使用賣(mài)方的商標(biāo)。代理商 也成認(rèn)使用于或包含于代理商品中的任何專(zhuān)利、商標(biāo)、版權(quán)以及其他工業(yè)產(chǎn)權(quán), 都屬于賣(mài)方所有,并且不得以任何方式

12、提出異議。一旦發(fā)現(xiàn)浸權(quán),代理商應(yīng)及時(shí) 通知賣(mài)方并協(xié)助賣(mài)方采取措施保護(hù)賣(mài)方產(chǎn)權(quán)利益。第十三條協(xié)議期限本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個(gè)月,賣(mài)方或代理商應(yīng)共同協(xié)商 協(xié)議的續(xù)延。如果雙方一致同意續(xù)延,在上述規(guī)定的條款、條件下,附上補(bǔ)充文 件,本協(xié)議將繼續(xù)有效另外 年。發(fā)生續(xù)延,本協(xié)議將 于 年 月 日終止。第十四條協(xié)議的終止在本協(xié)議有效期內(nèi),任何一方當(dāng)事人不履行合同或違反本協(xié)議的條款,如第五、 六、十一條,雙方當(dāng)事人爭(zhēng)取及時(shí)解決爭(zhēng)議的問(wèn)題以期雙方滿(mǎn)意。如果在違約方 接到書(shū)面通知后30日內(nèi)問(wèn)題仍不能解決,非違約方將有權(quán)終止本協(xié)議,由此造 成的損失、無(wú)力償付債務(wù)、清算、死亡以及被第三人兼并,另

13、一方當(dāng)事人可提出 終止本協(xié)議,而無(wú)需書(shū)面通知對(duì)方。第十五條不可抗力任何一方對(duì)由于以下原因而導(dǎo)致不能或暫時(shí)不能履行全部或局部協(xié)議義務(wù)的,不 負(fù)責(zé)任:自然災(zāi)害、政府采購(gòu)或禁令以及其他任何雙方在簽約時(shí)不能預(yù)料、無(wú)法控制且不 能防止和克服的事件。但受不可抗力影響的一方,應(yīng)盡快地將發(fā)生的事件通知對(duì) 方,并附上證明材料。第十六條準(zhǔn)據(jù)法本協(xié)議有關(guān)貿(mào)易條款應(yīng)按incoterm90解釋。本協(xié)議的有效性、組成以及履行受 中華人民共和國(guó)法律管轄。第十七條仲裁對(duì)于因履行本協(xié)議發(fā)生的一切爭(zhēng)議,雙方應(yīng)友好協(xié)商解決,如協(xié)商無(wú)法解決爭(zhēng)議, 那么應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)那么,仲裁費(fèi)應(yīng)由 敗訴一方承
