10、lrequirements which is signed and approved by both parties。2、有關(guān)訂貨產(chǎn)品的質(zhì)量標準、技術(shù)要求等 ,雙方在乙方制造訂貨產(chǎn)品前或交貨前，須對以下圖紙、規(guī)格書等進行確認.當技術(shù)、質(zhì)量要求等有新變更時，由雙方協(xié)商后進行確認。For quality standards and technical requirements of ordering product, bothtwo parties shall confirm the following drawings and specifications beforemanufacturing

16、，乙方應在接到通知后兩個工作日內(nèi)對品質(zhì)異常進行調(diào)查、分析、處理，以書面的形式通知甲方。Party A should inform Party B timely once Party A deny the delivery acceptanceof Part B， and Party B should inspect, analyze and process the qualityabnormality within two workdays and inform the Party A literally。3對于在甲方驗收檢查及后續(xù)生產(chǎn)直至最終用戶處發(fā)現(xiàn)的不合格品，甲方有權(quán)從應付給乙方的貨款中

17、扣除不合格品造成的損失,如果是預付款，甲方有權(quán)要求還款。For the rejected products that occurred in the delivery acceptance anddelivered to customer, Party A has authority to minus the cost of rejectedproducts from the payment to Party B。 If it is advance payment， Party Ahas authority to require repayment。4甲方保管不合格品期間，由于可歸責于乙方的事

18、由導致不合格品的全部或部分損失、損壞或變質(zhì)時，該損失由乙方承擔。During the period of Party A keeping rejected products， the total or partialloss ， damage and deterioration of rejected products that canbe attributed to the party Bs cause， the Party B should bear the loss.5乙方應確保所供物品不會因其不良給甲方的生產(chǎn)活動造成困擾，由于乙方的原因造成的甲方生產(chǎn)的產(chǎn)品或相關(guān)的設(shè)備發(fā)生不良或損壞以及

19、停產(chǎn)造成甲方不能及時完成客戶訂單時，乙方應賠償所產(chǎn)生的全部實際損失。Party B should ensure the delivery product wont cause any trouble to themanufacturing activity to Party A because of quality abnormality. 25、交期保證 Delivery Guarantee1、乙方在收到訂單后需對甲方的采購訂單內(nèi)容進行核對,內(nèi)容包括物料名稱、規(guī)格、數(shù)量、交期。且需在 24 小時內(nèi)回傳。如若未回傳,視為默認訂單內(nèi)容及交期。Party B should check the purchasing order of Party A once received the order,the information of check include the name of material ， specification ，quantity and delivery time。 The check sheet of order s

26、hould return to PartyA within 24 hours。 No returns represent Party B already confirm the orderand delivery date.2、訂單回簽后，乙方需嚴守交貨日期，如交貨期延誤,每天以合同總金額的 0.5起進行罰款.特殊情況需提前 7 天書面通知甲方，并經(jīng)過甲方的同意后延遲交貨期，且每月協(xié)商延遲交貨筆數(shù)不得超過本月總訂單筆數(shù)的 5，否則將采取同第 2 點相同的處罰方式。After the return of order， Party B should comply the delivery date

All consequence that cause of unconfirmedchanges should undertake by Party B!7、所有來料需有送貨單,并在外箱和最小包裝上貼有物料標識卡.送貨單和標識卡上須清晰注明供貨廠商與甲方訂單相符的產(chǎn)品編號產(chǎn)品名稱數(shù)量生產(chǎn)日期等 ,否則甲方有權(quán)拒收，由此引發(fā)的交期延誤等損失由乙方全額賠付。All incoming materials should have delivery not。e Material identificationcard should be pasted on outer carton and

35、。七、變更，異常時的聯(lián)絡 Contact of Change and Abnormity1、乙方作出下列變更時應征得甲方的認可和同意，并保證所作出的變更不會影響所供物品的質(zhì)量技術(shù)指標。Party B should get permission of Party A when following changes are made,and to ensure the change won t influence the quality technical standers ofproduct：給甲方交貨開始后,訂貨物品的設(shè)計變更；1）第 12 頁 共 16 頁 (完整版)QualityAgreem

37、商和供應商有變更時。When the manufacturer and supplier of material have changed.甲方由于自身理由要求變更時，應立即以書面形式通知乙方，甲乙雙方在協(xié)商的基礎(chǔ)上實施變更.變更物料需提供要求的檢測報告,第一次變更物料來料時需有易于識別的標識.2、If Party A need to change the specification for own reason， Party A is supposedto inform Party B immediately and literally。 The change can be executed

The changing material should havecorresponding inspection report, and the first changing of incoming materialsshould have obvious mark to indentify。訂貨物品由于已定的協(xié)議例如質(zhì)量特性、期限、發(fā)貨數(shù)量等明顯地不可能做到 ,設(shè)計或制造工程不合格，預想或已發(fā)生了與質(zhì)量要求不符或其他質(zhì)量異常時,乙方應立即與甲方書面聯(lián)絡，且由乙方立即調(diào)查產(chǎn)生的原因，及預防糾正措施對策，報甲方認可后實

41、類協(xié)議作廢。This Agreement shall become effective upon the signature and seal of bothparties， then all such agreements signed by both parties are void。本協(xié)議在雙方購銷關(guān)系存續(xù)期內(nèi)有效，直至更新版本的質(zhì)量協(xié)議書生效時止。This agreement is valid for the duration of the relationship between thetwo parties until new version of quality agreement come into effect。2、協(xié)商解決 Negotiation對本協(xié)議未作規(guī)定的事項及相關(guān)內(nèi)容產(chǎn)生疑義或異議時 ,甲乙雙方竭誠協(xié)商解決。協(xié)商不成，可提交第三方仲裁機構(gòu)仲裁或遵循司法途徑解決。For any doubt or agreement related to unspecified issues in agreement, bothparties should settle them by negotiation 。 In case no settlement can b
