采購合同通用條款(中英文)

1、GeneralConditionsofPurchaseContract采購合同通用條款General/總則Byacceptingourorderorbysupplyingthegoodsordered,theSupplierisdeemedtohaveacceptedthepresentconditions.供應(yīng)商一旦接受我們的訂單，或者供給我們所訂購的貨物，即確認接受了該通用采購條款。Onlyordersintraceableform(inwriting,byTelefax,E-Mail)arebinding.Verbalordersorordersbyphoneaswellaschange

2、sandadditionstoourordershallbebindingonlyifconfirmedbyusintraceableform.TermsatvariancewithourGeneralPurchaseConditionsandadditionalterms,includingreservationsregardingpriceorexchangerates,aswellas,inparticular,deviatingGeneralConditionsofSaleandDeliveryoftheSuppliershallbevalidonlyifacceptedbyusint

3、raceableform.只有以可以追溯格式(書面形式，如傳真、電子郵件)發(fā)放的采購訂單才具有效力。以口頭或電話形式對訂單進行更改或增加只在我們書面確認以后生效。與本通用采購條款和附加條款有分歧的條款，以及那些與供應(yīng)商通用銷售和發(fā)貨條款相沖突的其他條款特別包括價格或者匯率的約定，只在我們以書面形式確認后才生效。TheSupplieriskindlyaskedtoimmediately(within2workingdays)returnhisorderconfirmationandtonotifytheexactdeliverydate.供應(yīng)商需要在最短時間(兩個工作日)內(nèi)確認我們的訂單，并通知

4、確切的交貨日期。Theassignmentoftheorderinwholetothirdpartiesshallrequireourpriorconsentintraceableform.供應(yīng)商如果要把訂單整體外包給第三方，事先必須征得我公司的書面確認。TheSuppliershallbeliableforallcostsincurredbyusasaconsequenceofhisfailuretoobserveourinstructionsorduetofaultyornotvalidlyagreeddeliveries.所有因為供應(yīng)商失誤而產(chǎn)生的費用都必須由供應(yīng)商承擔，這些失誤包括供應(yīng)

5、商沒有遵守我們的說明、發(fā)貨不完整、或者沒有按照協(xié)議發(fā)貨等。TheseGeneralPurchaseConditionsshallequallyapplytofutureorders.本通用采購條款同等適用于今后訂單。Ouremployeesareforbiddentoacceptgifts,commissionsorothercompensationsofwhateverkind.我們的員工禁止接受禮物、傭金或者其他任何形式的補償。PricesandTransportCosts/價格和運輸成本Unlessotherwiseagreed,thepricesareconsideredfirm.除非

6、另有約定，該處擬定的價格確認有效。Incaseofordersshowingnopriceoranindicativepriceonlywereservetherighttoapprovethepricefollowingthereceiptoftheorderconfirmation.如果采購訂單中沒有標明價格，或者只有指導性價格，我們保留按照所收到的確認單確定價格的權(quán)利。Unlessotherwiseagreed,allexpensesforpacking,transport,customs,weighing,measuringaswellasallothertransportcostss

7、hallbeforSuppliersaccount.除非另有約定，供應(yīng)商應(yīng)承擔所有含包裝、運輸、報關(guān)、計重、測量以及其他的運輸費用。InvoiceandPayment/發(fā)票和付款I(lǐng)nvoicesaretobesubmittedimmediatelyfollowingdispatchofthegoodstotheaddressindicatedintheorder.發(fā)貨后，供應(yīng)商需要把發(fā)票立即送到訂單指定的地址。TheSuppliermaynotclaimpaymentsbeingcontingentonthefulfilmentofhisobligations,priortothefulfil

8、mentofsuchobligations,unlessthenon-performanceshallbecausedbyouractsoromissions.除非由于我們的行為或疏忽所至，否則供應(yīng)商不應(yīng)在履行其職責的過程中或開始履行其職責之前敦促付款。Delivery/發(fā)運DeliveriesarrivingwithouttherequiredtransportdocumentsshallbestoredatSuppliersexpenseandriskuntilsuchdocumentsareproperlysupplied.對于沒有提供相關(guān)運輸單據(jù)的到貨，在我公司收到所有必要單據(jù)之前所發(fā)

9、生的所有費用和風險均由供應(yīng)商承擔。Partshipmentsandadvancedeliveriesrequireourpriorconsent.分批發(fā)貨或者提前發(fā)貨必須征求我公司的事先同意。Deliveriesbymessengersareonlybedeemedeffectedifevidencedbydeliverynotesproperlycountersignedbyus.Deliveriesaretobemadetotherespectivedepartmentsofourworks.通過物流公司的發(fā)貨只有當我公司在交貨單上正式簽字后才被認定有效，同時物流公司該將貨物直接發(fā)給我公司

10、相關(guān)部門。Thetimeofdeliveryshallbeofessence.Thetimeofdeliveryismet,whenthegoodshavearrivedatourworks.Foreseeabledelayshinderingthetimelydeliveryinwholeorinpartshallbenotifiedimmediatelyspecifyingthereasonsforandtheestimateddurationofthedelay.Suchnoticeshallwithoutprejudicetoourremediesatlaw(e.g.partialor

11、totalterminationorrescissionoftheorder).交貨期非常重要，且交貨期指貨物到達我公司的時間。供應(yīng)商一旦預見到可能發(fā)生整體或部分延期交貨的情況必須立即通知我們并闡明原因和延遲時間。該通知將不影響我方的法律補救措施（如部分或者整體終止或廢除訂單）。Incaseofthedelay,theSuppliershallnotbeexcusedbymissingdocuments,hardwareorcomponentstobesuppliedbyusunlesshehastimelyrequestedtheirsupply.Insuchcase,thepartiess

12、hallmutuallyagreeonareasonableextensionofthedeliveryperiod.供應(yīng)商不能以需方?jīng)]能提供全部文件、部件或零件為由延期交貨，除非供應(yīng)商曾及時向需方提出過要求；如供應(yīng)商確實及時向需方提出上述要求，雙方應(yīng)共同協(xié)商延遲交貨的期限。Theriskinthegoodsorderedshallpassonusupontheirarrivalattheplaceoffulfilment,or,ifanacceptancetestisagreed,uponsuccessfulcompletionofsaidtest.所購貨物的風險在貨物到達指定交貨地點后；如

13、果雙方有約定的驗收檢驗，檢驗通過后，風險才轉(zhuǎn)移到我公司。Packing/包裝TheSuppliershallbeliableifthegoodsaredamagedontransportduetofaultypacking.供應(yīng)商必須對因包裝不良產(chǎn)生的運輸過程中的貨物損毀負責。Atourelection,theSuppliershallcredituswiththepricechargedforpackagingmaterialreturnedbyusfreeofchargeorshallprovideforapertinentrefund.根據(jù)我們的選擇，供應(yīng)商應(yīng)該針對我公司退還的包裝材料給

14、予我公司相應(yīng)的貨款抵扣或退款。NotificationofDefects/缺陷通知Withoutbeingboundbystatutoryinspectionperiods,weshallexaminethegoodssuppliedatourearliestconvenience.我們將根據(jù)自己的安排盡快檢測鑒定貨物/產(chǎn)品的質(zhì)量，而不受法定的檢測期限制。Bymakingpaymentsorconductingpre-shipmenttests,wearenotwaivingourlegalremediesforfaultydeliveries.我公司的付款或交貨前驗收等行為并不導致我公司放棄

15、對供應(yīng)商交貨過程中的缺陷采取法律補救措施的權(quán)利。Warranty/質(zhì)量保證TheSupplierwarrantsthatthegoodscomplywiththeorder,inparticularthattheyarefreefromdefectsimpairingtheirvalueorfitnessfortheintendeduseandthattheycomplywiththewarrantedcharacteristicsandperformancecriteria.TheSupplierfurtherwarrantsthatthegoodsarefitfortheintendedp

16、urposeandthatintheirmanufacturehighqualitymaterialshavebeenused.供應(yīng)商保證貨物符合訂單要求，特別是無導致貨物價值或使用功能受損的缺陷發(fā)生；供應(yīng)商保證其產(chǎn)品符合使用標準和設(shè)計目的要求并保證其產(chǎn)品有高質(zhì)量原材料加工制造。Thegoodsmustcomplywithallapplicablelaws,regulationsandaccidentpreventionrulesbeinginforceinPeoplesRepublicofChina.貨物必須符合中國所有現(xiàn)行的法律、制度和事故預防規(guī)定。Incaseofdefectsinthe

17、goodssuppliedweshallbeentitledtoavailourselvesofthepertinentremediesatlaw.HoweverweGeneralPurchaseConditionsshallonlybeentitledtorescindthecontractiftheSupplier,withinareasonableperiod,hasbeenunableorunwillingtorepairthedefectortoreplacethedefectiveproductathisexpense.IncaseofurgencyoriftheSupplieri

18、sdefaultinginhisobligationtoremedythedefect,weareentitledtohavethedefectsremediedatSupplierscost.如果供應(yīng)商提供有缺陷產(chǎn)品，我們有權(quán)依據(jù)法律作出相應(yīng)的補救。無論采用何種方法，如果供應(yīng)商在合理的期限內(nèi)無法或無意免費對缺陷產(chǎn)品進行修復或更換，我們有權(quán)取消合同。在緊急情況下，如果供應(yīng)商未能履行對缺陷產(chǎn)品的補救職責時，我們有權(quán)對缺陷產(chǎn)品進行補救，相關(guān)費用由供應(yīng)商承擔。TheSuppliershallreimbursethecostsofdismantlingdefectivegoodsorproductsw

19、hichhavebecomedefectiveasaresultofdefectivegoodssuppliedbySupplieraswellasthecostsofreinstallinggoodsorproductsbeingfreefromdefects.如果供應(yīng)商提供的有缺陷產(chǎn)品導致采用（含有）該產(chǎn)品的產(chǎn)品出現(xiàn)質(zhì)量問題，供應(yīng)商應(yīng)該承擔更換、拆除故障產(chǎn)品以及重新安裝無質(zhì)量缺陷產(chǎn)品的全部費用。Unlessotherwiseagreed,thewarrantyperiodshallbe26monthsfollowingthereceiptofthegoodsinourworks.Tothe

20、extentthepartieshaveagreedonsubjectingthegoodstoafunctionalacceptancetestinourworks,thewarrantyperiodshallcommencewiththesigningoftheacceptanceprotocol.除非另有約定，質(zhì)量保證期為我方收到產(chǎn)品后26個月以內(nèi)。如果雙方約定貨物必須在我方工廠通過性能測試后才可被接收，則質(zhì)量保證期從我公司簽署產(chǎn)品驗收性能測試合格報告之日起計算。Thestatuteoflimitationsofclaimsfordefects,whichhavebeendulynoti

21、fiedduringthewarrantyperiodshallbe6monthsfromthedateofnotification.對于所有發(fā)生在質(zhì)保期內(nèi)并且適時通知供應(yīng)商的產(chǎn)品質(zhì)量問題，索賠期限為自通知供應(yīng)商之日起6個月之內(nèi)有效Defectivegoodsorpartsthereofshallremainatourdisposaluptotheirreplacementorcancellationofthecontract.FollowingreplacementthedefectivegoodsareplacedatSuppliersdisposalinourworks.在得到更換之前或

22、采購合同被撤銷之前，缺陷產(chǎn)品或部件由我公司負責處置；缺陷產(chǎn)品被更換后，即使是存放在我公司也應(yīng)由供應(yīng)商負責處置。Thewarrantyforreplacementandrepairsshallbethesameasagreedfortheoriginaldelivery;thewarrantyperiodforreplacedpartsandcomponentsshallstartrunninganew.Thisshallequallyapplytoreplacedpartsandcomponents.被更換或被修復部件的質(zhì)保期應(yīng)該與原始供貨相同，保質(zhì)期的計算應(yīng)該從更換或修復之日起計算。該原則適

23、用于所有被更換或修復的零部件。ProductLiability/產(chǎn)品責任TheSuppliershallindemnifyusagainstanyclaims,damages,losses,liabilities,suitsandexpensesarisingfromthesupplyofdefectivegoodsorservices.供應(yīng)商應(yīng)該賠償我公司任何因其提供的產(chǎn)品或服務(wù)缺陷而導致的索賠、財產(chǎn)損失、浪費、債務(wù)和費用等。Tools,Patents,Drawings,etc/工具，專利，圖紙等Alldata,drawings,equipment,patents,tools,models,

24、etc.placedbyusatSuppliersdisposalforthemanufactureoftheourgoodsshallremainourpropertyandmaynotbeusedforotherpurposes,copiedordisclosedtothirdparties.Copyrightsthereinshallremainvestedinus.Alldocumentsshallbereturned,freeofcharge,assoonastheyarenolongerneededfortheexecutionoftheorder.Ifnodeliveriesar

25、eagreed,thedocumentsshallequallybereturnedtous.我公司為使供應(yīng)商生產(chǎn)我方產(chǎn)品而向供應(yīng)商提供的所有數(shù)據(jù)、圖紙、設(shè)備、專利、工具、模據(jù)等均屬我公司財產(chǎn)，版權(quán)歸我公司所有。供應(yīng)商不得用于其它用途或復印、泄露給第三方。一旦供應(yīng)商在執(zhí)行合同過程中不再需要上述資料，必須立即免費歸還給我公司。即使雙方最終沒能達成供貨協(xié)議，所有資料也必須歸還。Productsmanufacturedaccordingtodrawings,patents,confidentialdata,ourtoolsorcopiesthereof,(our)shallnotbeusedbyth

26、eSupplierforhisownusenormaytheybeofferedordeliveredtothirdparties.Thisshallequallyapplytoprintingorders.所有按照我公司圖紙、專利、保密工藝參數(shù)、工具及其副本制造的產(chǎn)品，供應(yīng)商均不得自己使用，也不得銷售或發(fā)運給第三方。以上原則同樣適用于我方的訂貨文件。Secrecy/保密TheSuppliershalltreattheorderandallrelateddeliveriesasconfidential.供應(yīng)商必須對我公司的所有訂單和相關(guān)發(fā)貨承擔保密義務(wù)。IndustrialPropertyRi

27、ghts/工業(yè)產(chǎn)權(quán)TheSupplierwarrantsthatthegoodsandservicessupplieddonotinfringethirdpartypropertyrights.Hewillindemnifyusfromanythirdpartyclaimsrelatedthereto.供應(yīng)商保證所提供的產(chǎn)和服務(wù)不侵犯第三方的知識產(chǎn)權(quán)并賠償我公司因此而遭到的第三方索賠。astrademark/brand,andourcompanynamearestrictlyprotectedbyrelevantlaws作為商標/品牌和我公司名稱受到相關(guān)法律嚴格的保護。Allrightstouseandourcompanyname,whichincludesbutisnotlimitedtomould,print,engravethemontheproduct,remainwithGeorgFischerAGinSwitzerland設(shè)立于瑞士的GeorgFischerAG公司擁有我公司名稱的一切相關(guān)權(quán)力，包括但不限于通過模壓、印刷、雕刻等方法使用公司名稱標示產(chǎn)品。Thesuppliersarestrictlyforbiddentoapplythetrademark/brandandcomp
